Overview
BNP Paribas Fortis is a Belgian universal bank headquartered in Brussels and the Belgian banking subsidiary of the French BNP Paribas Group. The modern bank was created in 2009 during the restructuring of Fortis after the financial crisis of 2008. BNP Paribas acquired a controlling interest in the Belgian banking activities of Fortis Bank from the Belgian state, while the Belgian state became a shareholder in BNP Paribas. The transaction separated the Belgian banking franchise from the Dutch and Luxembourg activities that had been transferred to the respective governments during the crisis. The institution combines the legacy of several major Belgian financial organizations. Its historical predecessors include the nineteenth-century Société Générale de Belgique and Generale Bank, the General Savings and Loan Fund, known in Belgium as ASLK or CGER, and the National Society for Credit to Industry. These businesses were consolidated through successive mergers before becoming part of Fortis. In 1999, Fortis Bank was formed through the combination of Belgian and Dutch banking businesses. The group subsequently expanded through the attempted acquisition of ABN AMRO, a transaction that increased its exposure to the deteriorating financial environment and contributed to the crisis-driven break-up of Fortis. In Belgium, BNP Paribas Fortis offers financial services to private individuals, self-employed customers, liberal professionals, small and medium-sized enterprises, large companies, institutional clients, public authorities and nonprofit organizations. Its commercial organization is built around Retail Banking, Affluent and Private Banking, and Corporate Banking. Retail Banking provides current accounts, payments, savings, lending, mortgages, investments and related services to individuals and smaller businesses. Affluent and Private Banking serves customers with higher levels of financial assets, while its wealth-management activities target clients with substantial investable wealth. Corporate Banking supports enterprises and public-sector organizations with cash management, trade finance, leasing, factoring, capital-markets services, mergers and acquisitions advice, securities services, real-estate finance and other specialized solutions. The bank is a major participant in the Belgian retail market and has a particularly strong position among professionals, entrepreneurs and small businesses. It describes itself as a leading Belgian private bank and a leading provider of corporate banking services. Insurance is offered in cooperation with AG Insurance, with BNP Paribas Fortis acting as a tied agent for relevant products. The bank also has international connections through the BNP Paribas network and participates in businesses that extend beyond Belgium. It is the majority shareholder of BGL BNP Paribas in Luxembourg, has a significant interest in Turkish bank TEB, and owns Arval BNP Paribas, the group's vehicle-leasing and mobility-solutions business. The brand's Belgian distribution footprint expanded through its relationship with bpost. In 2022, BNP Paribas Fortis acquired bpost's remaining 50 percent stake in bpost bank, becoming its sole shareholder, and entered into a seven-year commercial agreement under which bpost offices distribute BNP Paribas Fortis products and services. On 22 January 2024, bpost bank was integrated into BNP Paribas Fortis and the bpost bank name was removed from post-office locations. BNP Paribas Fortis also participates in Batopin, the Belgian ATM Optimization Initiative, alongside Belfius, KBC and ING Belgium. Batopin operates a shared ATM network under the neutral Bancontact CASH identity. The bank remains active and is led by Chairman of the Board Max Jadot and Chief Executive Officer Michael Anseeuw. Its market positioning combines the reach of a mass-market Belgian bank with the capabilities of a large international banking group, spanning everyday banking, professional finance, wealth ma…
History
BNP Paribas Fortis is the product of a long sequence of Belgian banking mergers and the emergency restructuring of Fortis during the global financial crisis. Its institutional ancestry reaches back to 1822, when King William I of the Netherlands established the Algemeene Nederlandsche Maatschappij ter Begunstiging van de Volksvlijt in Brussels. That organization became associated with the later Société Générale de Belgique and Generale Bank, both important components of Belgian commercial and industrial finance. Another major predecessor was the General Savings and Loan Fund, known as ASLK in Dutch and CGER in French. Created in 1865, it developed a broad savings and retail-banking franchise. The National Society for Credit to Industry, established in 1919, was later acquired by ASLK in 1995. These institutions, together with other Belgian and Dutch banks, were subsequently brought into broader consolidation movements. Fortis Bank was created in 1999 through the merger of Generale Bank and ASLK in Belgium with several Dutch banking businesses, including Generale Bank, VSB Bank and MeesPierson. The new group sought to operate across banking and insurance and became one of the most significant financial institutions in the Benelux. Its scale increased further when Fortis participated in the consortium acquisition of ABN AMRO. The transaction placed substantial demands on the group just as the subprime mortgage crisis was weakening global credit markets. During 2008, Fortis encountered severe liquidity and confidence pressures. The banking operations were divided geographically as governments intervened. The Dutch banking activities were sold to the Dutch state, while the Luxembourg banking activities were transferred to the Luxembourg government. In Belgium, the Belgian state first acquired a substantial part of Fortis Bank for approximately 4.7 billion euros and later became the owner of 99.93 percent of the Belgian bank. The restructuring separated the surviving Belgian banking franchise from the former Fortis group structure. In 2009, BNP Paribas agreed to acquire 75 percent of Fortis Bank Belgium from the Belgian government. As part of the arrangement, the Belgian state received a 10.3 percent interest in BNP Paribas. The transaction established BNP Paribas Fortis as the Belgian banking arm of the French group while preserving the Fortis name in the new brand. BNP Paribas Fortis initially remained partly state-owned, but in November 2013 BNP Paribas purchased the remaining 25 percent held by the Belgian state for 3.25 billion euros. The corporate name BNP Paribas Fortis became the bank's trading name in 2013. After the ownership transition, the bank developed as a universal Belgian institution within the international BNP Paribas network. It organized its commercial activities around retail banking, affluent and private banking, and corporate banking. Its customer base spans households, independent professionals, SMEs, large companies, public bodies, institutions and nonprofit organizations. Its banking platform is complemented by insurance distribution in cooperation with AG Insurance and by access to BNP Paribas capabilities in areas such as capital markets, global transaction banking and international finance. The group structure also gives BNP Paribas Fortis interests beyond Belgium. It is the majority shareholder of BGL BNP Paribas in Luxembourg, has a 48.7 percent interest in TEB in Turkey, and owns Arval BNP Paribas, a vehicle-leasing and mobility-services company. In Belgium, the bank joined Belfius, KBC and ING Belgium in founding Batopin on 10 March 2020. Batopin manages a shared ATM network under the Bancontact CASH brand. A further distribution change followed the 2022 acquisition of bpost's 50 percent stake in bpost bank. BNP Paribas Fortis became the sole owner and signed a seven-year commercial agreement with bpost. On 22 January 2024, bpost bank was absorbed into BNP Paribas Fortis, with customers transferred and the bpost bank identity removed from post-office locations. The bank continues to operate as a major Belgian retail, professional, private and corporate bank under BNP Paribas ownership.
