Overview

Inter Pipeline Ltd. was a Canadian energy infrastructure business whose assets connected petroleum production, natural-gas processing, oil-sands operations, storage terminals, and downstream markets. The company traced its origins to Koch Pipelines Canada, a conventional oil-pipeline business established in 1997 after the restructuring of Koch Industries' Canadian pipeline interests. It became publicly traded on the Toronto Stock Exchange in 1998 under the symbol KPC.UN. The company expanded through a series of infrastructure acquisitions and ownership transactions. It acquired an initial interest in the Cold Lake pipeline system in 2000 and increased its position through a transaction with EnCana. In 2003, it acquired a 70 percent interest in the system from EnCana, strengthening its position in the transportation of heavy oil from the Cold Lake oil-sands region to Alberta market and distribution hubs. The Cold Lake system later became one of the company's principal operating platforms. Inter Pipeline broadened its business beyond conventional oil transportation in 2004 by acquiring three large Canadian natural-gas treatment plants from The Williams Companies. These facilities separated natural gas from associated liquids, including ethane, propane, butane, and pentanes. The resulting natural-gas-liquids business gave Inter Pipeline exposure to hydrocarbon products used in fuels, asphalt, lubricants, and petrochemical applications. The company entered European bulk-liquid storage in 2005 through the acquisition of Simon Storage, a major United Kingdom terminal operator. It subsequently expanded that business with the 2006 purchase of Germany's Tanklager-Gesellschaft Hoyer mbH and the 2018 acquisition of NuStar Energy's European bulk-liquid storage operations. Through its Inter Terminals subsidiary, the business operated storage facilities across several European countries, handling petroleum products, chemicals, and other bulk liquids. Inter Pipeline became a major oil-sands infrastructure operator in 2007 when it acquired the Corridor Pipeline from Kinder Morgan. Corridor, together with the Cold Lake system, transported bitumen from Alberta's oil-sands projects to upgrading, refining, and distribution infrastructure. The company's oil-sands transportation network became one of its most important assets, and its pipelines served producers and energy companies including Canadian Natural Resources, Shell Canada, Chevron, Marathon Oil, Imperial Oil, and others. By the early 2010s, Inter Pipeline's operations were generally described through four principal areas: conventional oil pipelines, oil-sands transportation, natural-gas-liquids extraction, and bulk-liquid storage. Its Canadian pipeline systems included Cold Lake, Corridor, Bow River, Central Alberta, and Mid-Saskatchewan. The European storage business operated through Inter Terminals and had facilities in the United Kingdom, Ireland, Denmark, Germany, Sweden, and the Netherlands. The company remained a publicly traded energy infrastructure entity until its acquisition by Brookfield Infrastructure Partners. Inter Pipeline rejected an unsolicited proposal associated with Li Ka-shing in 2019 and later rejected Brookfield's initial hostile offer in 2021. Brookfield increased its bid and completed the acquisition in November 2021. Inter Pipeline therefore ceased to operate as an independent publicly listed company, although many of its assets and operations continued within Brookfield's infrastructure portfolio.

History

Inter Pipeline's roots date to 1997, when Koch Industries' Canadian pipeline interests were reorganized into Koch Pipelines Canada. The business focused initially on conventional crude-oil transportation. In 1998 it became publicly traded on the Toronto Stock Exchange under the symbol KPC.UN, providing capital for a broader expansion strategy. The first major stage of expansion centered on Alberta's Cold Lake region. Inter Pipeline acquired a 15 percent interest in the Cold Lake pipeline system in 2000 and later increased its ownership through an arrangement involving EnCana. In early 2003, it acquired a 70 percent interest in the system from EnCana. The Cold Lake network transported oil from the oil-sands region toward Edmonton and Hardisty, linking production with storage, upgrading, refining, and distribution infrastructure. In 2004, Inter Pipeline purchased three Canadian natural-gas treatment plants from The Williams Companies. The facilities had combined stated processing capacity of approximately 3.9 billion cubic feet per day. This transaction added a natural-gas-liquids extraction business to the company's pipeline activities. The plants separated natural gas from valuable liquids such as ethane, propane, butane, and pentanes, which have applications in fuels, asphalt, lubricants, and petrochemical manufacturing. The company diversified internationally in 2005 by acquiring Simon Storage, a United Kingdom bulk-liquid terminal operator. In 2006 it purchased Germany's Tanklager-Gesellschaft Hoyer mbH, helping establish a broader European storage platform. The business was subsequently operated through Inter Terminals, which maintained storage assets in the United Kingdom, Ireland, Germany, Denmark, Sweden, and the Netherlands. These facilities handled bulk liquids including petroleum products and industrial chemicals. A decisive transformation occurred in 2007, when Inter Pipeline acquired the Corridor Pipeline from Kinder Morgan. The transaction added a major oil-sands transportation system and made Inter Pipeline one of the principal infrastructure owners serving Alberta's bitumen industry. Corridor and Cold Lake together formed a large network linking oil-sands production with Alberta's major transportation and processing hubs. Pipeline routing and expansion decisions were also made with attention to environmental exposure and operational risk, including a change in the route of certain infrastructure east of the Labiche River. During the following decade, Inter Pipeline organized its activities around four broad operating areas: oil-sands transportation, conventional oil pipelines, natural-gas-liquids extraction, and bulk-liquid storage. Its conventional Canadian systems included Bow River, Central Alberta, and Mid-Saskatchewan, while its oil-sands assets included Cold Lake and Corridor. The company served producers and energy companies that depended on pipeline access to move crude oil and related products to refineries, upgraders, storage sites, and distribution markets. Inter Pipeline continued to enlarge its European storage platform. In 2018 it acquired NuStar Energy's European bulk-liquid storage business, known as NuStar Europe, for cash consideration reported in the reference material as US$270 million. In 2019 it began exploring a sale of the European bulk-liquid storage business. The reference material states that most of the European operations, other than Denmark and Sweden, were sold to Spain's CLH in late 2020. Ownership became the company's dominant strategic issue from 2019 onward. Inter Pipeline received an unsolicited takeover proposal in 2019, later reported as having been made by Li Ka-shing, but the proposal was rejected. In March 2021 the board unanimously rejected Brookfield Infrastructure Partners' initial hostile offer. Brookfield increased its bid, and the acquisition was completed in November 2021. Inter Pipeline consequently ceased to be an independent listed company, with its remaining operations becoming part of Brookfield's infrastructure holdings.
