Overview
SNS Reaal was a Dutch financial-services group active in banking, insurance, pensions, asset management and property finance. The group was created in 1997 through the combination of SNS Bank and Reaal Verzekeringen and developed a broad domestic financial-services platform focused primarily on private customers, small and medium-sized businesses, and institutional clients. Its banking activities were conducted principally through SNS Bank and related brands, while insurance products were distributed through Reaal and independent intermediaries. SNS Bank also used branches, online banking, telephone channels and independent distribution partners. The group expanded substantially during the 2000s. It established SNS Asset Management in 1997 and launched Proteq Dier & Zorg, a pet and care insurer, in 1998. After its 2006 initial public offering on Euronext Amsterdam, SNS Reaal used new capital and acquisition financing to broaden its position in insurance and property-related finance. The purchase of Bouwfonds Property Finance from ABN AMRO in 2006 created SNS Property Finance and increased the group’s exposure to commercial real estate and property development lending. In 2007, SNS Reaal acquired the Dutch activities of AXA, including AXA Nederland, Winterthur Nederland and DBV Hypotheken. Later that year it acquired the Dutch and Belgian activities of Zwitserleven, strengthening its position in pensions and life insurance. AXA and Winterthur activities were subsequently integrated into Zwitserleven, while DBV Hypotheken was later discontinued as a separate brand. The property-finance portfolio became the group’s central weakness during and after the global financial crisis. Falling property values and losses connected with SNS Property Finance undermined the group’s capital position. SNS Reaal received a €750 million Dutch government capital injection in November 2008, in exchange for securities issued under the government’s support terms. The group remained listed until 31 January 2013, having first floated on 18 May 2006, but its financial condition deteriorated further as property impairments accumulated. On 1 February 2013, the Dutch Minister of Finance expropriated the securities and assets of SNS Reaal and SNS Bank in order to protect financial-system stability. The initial stated cost of the nationalisation was €3.7 billion. Unlike senior bondholders, junior bondholders were not protected and lost their investment. The nationalisation ended SNS Reaal’s existence as a privately controlled listed financial group and placed its banking and insurance operations under state ownership. The Dutch government subsequently reorganised the group. The property-finance business was separated and renamed Propertize in 2013. The insurance division became Vivat Verzekeringen, later Vivat N.V., incorporating Reaal, Zwitserleven, Actiam and Proteq-related activities. Vivat was sold to the Chinese financial group Anbang in 2015 for a reported €1.4 billion. Propertize was sold in 2016 to a consortium involving Lone Star Funds and JPMorgan for a reported €895 million. SNS Securities was sold to NIBC Bank in 2015. The principal banking activities were consolidated under SNS Bank. In 2017, SNS Bank was renamed De Volksbank, completing the separation of the banking platform from the former SNS Reaal group. SNS Reaal is therefore defunct as an operating group, although several of its former brands and businesses continued under new ownership or within successor institutions.
History
SNS Reaal emerged in 1997 from the merger of SNS Bank and Reaal Verzekeringen. The combination brought together a Dutch banking franchise and an insurance business, creating a group aimed at private customers and small and medium-sized enterprises. In its early years, the group also developed specialist businesses, including SNS Asset Management, established in 1997, and Proteq Dier & Zorg, a pet and care insurer launched in 1998. The group’s expansion accelerated after its 2006 stock-market flotation. SNS Reaal used the capital raised through the offering to pursue acquisitions, particularly in insurance and property finance. In 2006 it acquired Bouwfonds Property Finance from ABN AMRO and renamed the activity SNS Property Finance. The business provided financing connected with property and development and was intended to diversify the group beyond household mortgages. In 2007 SNS Reaal acquired the Dutch operations of AXA, including AXA Nederland, Winterthur Nederland and DBV Hypotheken. It also acquired the Dutch and Belgian activities of Zwitserleven later that year. The AXA and Winterthur insurance businesses were progressively integrated into Zwitserleven, while DBV Hypotheken was eventually discontinued as a separate brand. By 2011, SNS Reaal had become a substantial Dutch financial group, with reported assets of approximately €132 billion and around 7,000 full-time-equivalent employees. Its activities included retail and commercial banking, mortgages, pensions, life insurance, general insurance, asset management and securities services. SNS Bank distributed products through branches, independent intermediaries, the internet and telephone channels. Reaal’s insurance products were principally distributed through independent brokers. The group’s property-finance strategy became highly damaging during the financial and real-estate crises. Declining property values and impairments in the SNS Property Finance portfolio weakened SNS Reaal’s financial position. In November 2008, the Dutch government supplied €750 million in capital support. Although SNS Reaal remained a listed company, pressure on the group continued as losses accumulated. On 1 February 2013, the Dutch government nationalised SNS Reaal and SNS Bank. The finance minister cited the need to safeguard the stability of the financial system. The state expropriated securities and assets, with the initial cost of the operation placed at €3.7 billion. Junior bondholders were not rescued and lost their investment, while senior bondholders remained protected. The intervention ended SNS Reaal’s existence as a privately controlled listed group. After nationalisation, the government separated the organisation into more focused successor businesses. In 2013, SNS Property Finance became Propertize. The insurance arm was renamed Vivat Verzekeringen in 2014 and later Vivat N.V.; its portfolio included Reaal, Zwitserleven, Actiam and Proteq-related activities. Vivat was sold to Anbang in 2015. SNS Securities was also sold to NIBC Bank in 2015. Propertize was put up for sale in 2015 and sold in 2016 to a consortium involving Lone Star Funds and JPMorgan. The remaining banking platform was concentrated in SNS Bank and related brands, and SNS Bank became De Volksbank in 2017. SNS Reaal itself therefore ceased to operate as an independent financial group.
