Overview

Smurfit Westrock plc is an Irish paper and packaging company headquartered in Dublin. The company was created when Smurfit Kappa combined with WestRock, a United States-based corrugated-packaging producer, in a transaction completed on 5 July 2024. The combination brought together Smurfit Kappa's European and international paper and packaging operations with WestRock's substantial presence in North and South America, creating one of the world's largest paper-based packaging groups. The company's principal activities include the manufacture of corrugated boxes, containerboard, cartonboard, paper bags, consumer packaging and other fiber-based packaging formats. Its operations are vertically integrated: packaging facilities obtain much of their paper requirements from company-operated mills, while recovered fiber and wood fiber are sourced through recycling, forestry and external procurement networks. This structure is intended to give the group greater control over material supply, product quality and the environmental characteristics of its packaging products. Smurfit Westrock operates in 35 countries, comprising 22 countries in Europe and 13 in the Americas. Dublin serves as the global headquarters, with regional headquarters in Amsterdam and Miami. The company supplies packaging to a broad range of industrial, consumer, food, beverage, agricultural and retail customers. Its offering is positioned around scalable, fiber-based and recyclable alternatives to some plastic packaging applications, although the actual environmental profile of a package depends on its design, material mix, production and end-of-life recovery. The business also includes a publishing and educational-products operation in Ireland through the Educational Company of Ireland, commonly known as Edco. Edco produces and distributes textbooks, examination papers, revision materials and other resources for the Irish primary and post-primary education markets. The corporate history behind Smurfit Westrock extends well before the 2024 creation of the current company. Its Irish predecessor began as a Dublin box-making business in 1934 and was acquired by Jefferson Smurfit in 1938. Jefferson Smurfit expanded through international investment, including a partial interest in the Chicago-based Time Industries in 1974, a combination with Stone Container's business in 1998, and a merger with Kappa Packaging in 2005 that created Smurfit Kappa. Smurfit Kappa subsequently returned to public markets through a 2007 initial public offering and continued expanding through acquisitions in the United States and Brazil. In September 2023, Smurfit Kappa and WestRock announced their planned combination, which was completed the following year.

History

The corporate lineage of Smurfit Westrock begins with an Irish box-making business established in the Rathmines area of Dublin in 1934. Jefferson Smurfit acquired the business in 1938, after which it traded under the Jefferson Smurfit name. The company gradually moved from a local box maker toward an international paper and packaging group, expanding through acquisitions, investments and the development of integrated paper, recycling and packaging operations. Jefferson Smurfit became a public company on the Irish Stock Exchange in 1964. Its international expansion included the acquisition of a partial interest in Time Industries, a Chicago-based paper and packaging company, in 1974. The business grew under the leadership of Sir Michael Smurfit, who became chief executive in 1977 and led the company during an important period of international development. In 1998, Jefferson Smurfit combined its 46-percent-owned United States business with Chicago-based Stone Container Corporation. The resulting Smurfit-Stone Container Corporation strengthened the group's North American position and expanded its manufacturing and paper assets in the region. Jefferson Smurfit later became the subject of a management buyout financed by Madison Dearborn Partners, Cinven and CVC Capital Partners in 2002. A further strategic transformation occurred in 2005, when Jefferson Smurfit merged with Kappa Packaging. The enlarged company adopted the name Smurfit Kappa. Smurfit Kappa completed an initial public offering in 2007, returning the business to public ownership and providing a platform for additional international expansion. In 2012, it acquired Orange County Container in the United States for $340 million. In 2016, it acquired two Brazilian companies for a combined consideration of €186 million, extending its presence in Latin America. The next major stage was the proposed combination with WestRock. In September 2023, Smurfit Kappa and WestRock announced that they had agreed to merge. WestRock was headquartered in Sandy Springs, Georgia, and was a significant producer of corrugated and paper-based packaging in the Americas. The transaction documents described Smurfit Kappa as acquiring WestRock and then changing the combined group's name to Smurfit Westrock. Smurfit Kappa shareholders and directors were expected to hold a majority representation in the combined entity. The transaction completed on 5 July 2024. Smurfit Westrock became a Dublin-headquartered public company with operations spanning 35 countries: 22 in Europe and 13 in the Americas. The group operates paper mills, recycling activities, forestry-related operations and packaging plants. Its integrated model links fiber sourcing and paper production with the manufacture of corrugated and other paper-based packaging. In addition to packaging, the company retains an Irish educational publishing business through the Educational Company of Ireland, known as Edco. That operation serves the Irish education system with textbooks, examination papers, revision books and other curriculum resources. The combined company is therefore rooted in a long-established Irish packaging history while operating as a geographically diversified paper, packaging and educational-products group.
