Overview
Smurfit Westrock is an Ireland-based multinational packaging company headquartered in Dublin. It manufactures corrugated packaging, paper-based consumer and industrial packaging, containerboard and related paper products. The company operates an integrated production model that connects forestry, recovered-fibre collection, paper mills, packaging plants and recycling activities. This structure gives the group direct involvement in much of the supply chain used to produce its packaging materials, although it also relies on purchases from external suppliers. The business traces its origins to a box-making operation established in the Rathmines area of Dublin in 1934. Jefferson Smurfit acquired the operation in 1938, after which it traded under the Jefferson Smurfit name. Jefferson Smurfit was taken private in a 2002 management buyout backed by Madison Dearborn Partners, Cinven and CVC Capital Partners. In 2005, it merged with Kappa Packaging and adopted the Smurfit Kappa name. Smurfit Kappa returned to the public markets through an initial public offering in 2007. Subsequent expansion included the 2012 acquisition of Orange County Container in the United States and the 2016 purchase of two Brazilian packaging companies. The company entered a new phase in 2023 when Smurfit Kappa agreed to combine with WestRock, a major corrugated packaging producer headquartered in Sandy Springs, Georgia. The transaction was structured as Smurfit Kappa acquiring WestRock and then changing the combined company’s name to Smurfit Westrock. The deal was completed on 5 July 2024, creating one of the world’s largest paper and packaging producers. Smurfit Kappa shareholders and directors represented the majority position in the combined entity according to the transaction documents. Smurfit Westrock operates in 35 countries, comprising 22 countries in Europe and 13 in the Americas. Its regional headquarters include Amsterdam and Miami, in addition to its global headquarters in Dublin. The group also has an Irish educational publishing business, The Educational Company of Ireland, commonly known as Edco, which distributes textbooks, examination papers, revision materials and other resources aligned with the Irish curriculum. History
Smurfit Westrock developed from a Dublin box-making business established in Rathmines in 1934. Jefferson Smurfit acquired the operation in 1938, and the company subsequently traded under his name. Its early development established the industrial base from which it later expanded into paper production, packaging conversion, recycling and forestry-related activities. The company became listed on the Irish Stock Exchange in 1964. In 1974 it acquired a partial interest in Time Industries, a Chicago-based paper and packaging company, marking an important step in the internationalization of the business. The group’s growth accelerated under Sir Michael Smurfit, who became chief executive in 1977 and led the company during a period of substantial expansion in Europe and North America. Smurfit Kappa’s operating model combined paper mills, packaging plants, recycling operations and forestry activities. WestRock was a major United States-based corrugated packaging company headquartered in Sandy Springs, Georgia. The transaction was structured so that Smurfit Kappa would acquire WestRock and then rename the combined entity Smurfit Westrock. The circular and prospectus indicated that Smurfit Kappa shareholders and board members would hold the majority representation in the combined company. Completion took place on 5 July 2024. The resulting company is headquartered in Dublin and operates across 35 countries: 22 in Europe and 13 in the Americas. It also maintains regional headquarters in Amsterdam and Miami. Its business covers corrugated and paper-based packaging, containerboard, paper production, recycling and forestry-linked activities.
