Overview

RMB Holdings, commonly known as RMH and formally RMB Holdings Limited, is a South African diversified financial-services holding company headquartered in Sandton. Its corporate history is closely linked to Rand Merchant Bank, Momentum, FirstRand and a number of financial-services ventures that helped shape South Africa's modern banking and insurance landscape. Although the company was created as a holding structure for the expanding Rand Merchant Bank in 1987, its later development involved a series of restructurings, listings, mergers and demergers that changed the nature of the business substantially. The origins of the group extend to two earlier enterprises. Rand Consolidated Investments was established in 1977 by Paul Harris, Gerrit Ferreira and Lauritz Dippenaar. It pursued leveraged leasing and off-balance-sheet financing but was unable to obtain a banking licence. In 1985, it joined forces with Johann Rupert's Rand Merchant Bank, an institution founded in 1968. The combined organisation continued under the Rand Merchant Bank name and became the foundation for the later holding-company structure. RMH was formed in 1987 and reached the public market through a reverse listing connected with Momentum Life on 1 July 1992. It acquired stakes in Momentum Life from ABSA and Remgro, then transferred its entire interest in Rand Merchant Bank to Momentum. This transaction increased RMH's interest in Momentum Life to 76.4 percent. During the same year, the group established Discovery Limited with Adrian Gore as a subsidiary of Momentum Life, adding another important insurance and financial-services business to its portfolio. In February 1998, the group also founded OUTsurance, a short-term insurance company. A major strategic turning point came in 1998, when RMH agreed with Anglo American Corporation of South Africa, now Anglo American plc, to combine their financial-services interests. The transaction created FirstRand, which was listed on the Johannesburg Stock Exchange on 25 May 1998. FirstRand brought together banking and insurance operations through FirstRand Bank and FirstRand Insurance. RMH held a significant interest in the new group, making it an important shareholder in one of South Africa's largest financial-services organisations. The group's insurance interests were subsequently reorganised. In 2010, Momentum merged with Metropolitan Holdings to create MMI Holdings. In 2011, RMH, Remgro and FirstRand agreed to separate their insurance portfolios from the broader banking-related structure. The insurance assets, including interests in MMI Holdings, Discovery, OUTsurance and RMB-SI Investments, were placed in RMI Holdings, a wholly owned subsidiary of RMH, and then distributed to shareholders. The demerger was completed on 7 March 2011, when RMI Holdings began trading on the Johannesburg Stock Exchange. Following the insurance separation, RMH remained primarily a bank holding company through its interest in FirstRand. In June 2020, it unbundled its approximately 34.1 percent holding in FirstRand to its shareholders. After that transaction, RMH's investment portfolio was centred on property interests held through RMH Property. These included stakes in Atterbury, a developer of commercial, retail and industrial property in South Africa, other African markets and Europe, and Propertuity, a company focused on regenerating underused industrial and office districts in Johannesburg and Durban. The post-2020 RMH therefore represents a markedly different business from the diversified financial-services group that existed during the FirstRand and insurance era: it is a listed investment holding company whose remaining portfolio is principally associated with property development and urban regeneration.

History

RMB Holdings developed from the South African merchant-banking and investment activities associated with Rand Consolidated Investments and Rand Merchant Bank. Rand Consolidated Investments was founded in 1977 by Paul Harris, Gerrit Ferreira and Lauritz Dippenaar. Its business model involved leveraged leasing and off-balance-sheet financing, but the company could not obtain a banking licence. It consequently combined with Johann Rupert's Rand Merchant Bank in 1985. Rand Merchant Bank, founded in 1968, provided the banking platform and name under which the combined organisation continued. In 1987, RMB Holdings was established as a holding company for the expanding Rand Merchant Bank. Its structure changed significantly in 1992, when it became publicly listed through a reverse listing involving Momentum Life. RMH acquired holdings in Momentum Life from ABSA and Remgro and transferred its full interest in Rand Merchant Bank to Momentum. The resulting transactions gave RMH a 76.4 percent interest in Momentum Life. Momentum also became the vehicle through which RMH participated in the creation of Discovery Limited, founded with Adrian Gore in 1992. The group expanded further into insurance in 1998 with the establishment of OUTsurance, a short-term insurer. Later that year, RMH agreed with Anglo American Corporation of South Africa to combine their financial-services businesses. The transaction created FirstRand, which was listed on the Johannesburg Stock Exchange on 25 May 1998. FirstRand was organised around banking and insurance businesses, including FirstRand Bank and FirstRand Insurance, and RMH became one of its significant shareholders. The insurance side of the portfolio was subsequently reshaped. Momentum merged with Metropolitan Holdings on 31 March 2010, creating MMI Holdings. In March 2011, RMH, Remgro and FirstRand agreed to separate their insurance holdings from the rest of the structure. MMI Holdings, Discovery, OUTsurance and RMB-SI Investments were placed into RMI Holdings, a wholly owned RMH subsidiary. The entire RMI Holdings interest was then unbundled to shareholders. The restructuring was completed on 7 March 2011, when RMI Holdings shares began trading on the Johannesburg Stock Exchange. After the insurance demerger, RMH continued as a holding company with a major banking investment through FirstRand. That phase ended in June 2020, when RMH unbundled its approximately 34.1 percent FirstRand stake to shareholders. The company was left with a property-focused portfolio held through RMH Property. Its disclosed investments included Atterbury, in which RMH Property held a 27.5 percent interest, and Propertuity, in which it held a 34 percent interest. Atterbury develops prime commercial, retail and industrial property in South Africa, elsewhere in Africa and in Europe. Propertuity focuses on the redevelopment of deteriorated industrial and office areas in Johannesburg and Durban. This sequence of restructurings makes RMH a useful example of a South African financial holding company that evolved from merchant banking into a broad financial-services investment group and later narrowed its portfolio toward property. Its historical significance rests less in a consumer product range than in the businesses, listings, mergers and demergers assembled through its holding-company structure.

Rand Merchant Bank was the core banking asset around which RMH was originally organised.
