Overview

Rand Merchant Investment Holdings, commonly abbreviated as RMI Holdings or RMIH, was established in South Africa as an investment holding company for insurance and wider financial-services assets associated with RMB Holdings, Remgro and FirstRand. It was incorporated on 24 March 2010 as a wholly owned subsidiary of RMB Holdings and was created as part of a broader restructuring intended to separate banking interests from insurance interests. The restructuring was completed on 7 March 2011. On that date, the relevant insurance holdings were transferred into RMI Holdings, RMB Holdings shareholders received shares through an unbundling, and RMI Holdings began trading separately on the Johannesburg Stock Exchange. The resulting company provided shareholders with focused exposure to a portfolio of insurance and financial-services businesses rather than to the broader banking interests held through the RMB Holdings structure. RMI Holdings initially held interests in businesses including OUTsurance, Discovery, Momentum Metropolitan, RMB Structured Insurance and other specialist insurance operations. Its investment portfolio covered several customer segments and activities. These included short- and long-term insurance, life assurance, general insurance, investment management, financial technology, working-capital finance and education finance. Portfolio companies served retail, commercial, corporate and public-sector customers. The group’s insurance exposure extended beyond South Africa through investments such as Youi in Australia, an insurance venture in Namibia and the former Hastings Group investment in the United Kingdom. In January 2016, the company changed its name from RMI Holdings to Rand Merchant Investment Holdings. The change reflected an intention to broaden the investment mandate beyond a narrowly defined insurance portfolio and to participate in a wider range of financial-services and technology businesses. During the same period, the company disposed of its entire interest in RMB-SI Investments to Santam; that transaction was completed in March 2017. RMI Holdings subsequently developed a portfolio that included OUTsurance Holdings, RMI Investment Managers, the AlphaCode technology-investment platform, Entersekt, Merchant Capital and Prodigy Finance, alongside its larger insurance interests. OUTsurance became its principal continuing operating investment, with businesses spanning general and life insurance in South Africa and general insurance operations in Australia and Namibia. In 2022, the company undertook a major restructuring. It unbundled its interests in Discovery Limited and Momentum Metropolitan Holdings to shareholders and sold its stake in Hastings Group Holdings. The company also resolved to change its name to OUTsurance Group, reflecting the increasing centrality of OUTsurance to the remaining portfolio. Accordingly, Rand Merchant Investment Holdings is best understood as the former name and historical investment-company identity of the listed South African group now associated with OUTsurance Group, rather than as a standalone consumer insurance brand.

History

Rand Merchant Investment Holdings originated in the restructuring of RMB Holdings, a South African financial-services investment group with interests in both banking and insurance. The restructuring was announced on 10 December 2010 and sought to create more focused entities by separating insurance assets from banking interests. Before the reorganisation, RMB Holdings had exposure to FirstRand, OUTsurance, Momentum Metropolitan, Discovery and several structured-insurance businesses. RMI Holdings was incorporated and registered in South Africa on 24 March 2010 as a wholly owned subsidiary of RMB Holdings. The new company served as the vehicle into which insurance interests held by RMB Holdings, Remgro and FirstRand could be transferred. In exchange for the transferred assets, the contributing parties received additional shares in RMI Holdings. The restructuring was completed on 7 March 2011. RMB Holdings unbundled its shares in RMI Holdings to its own shareholders, and RMI Holdings was separately listed on the Johannesburg Stock Exchange by way of introduction. Its creation gave investors a separately traded vehicle focused on insurance and adjacent financial services. Although separately listed, RMI Holdings and RMB Holdings initially shared management and other resources under a management arrangement. The initial portfolio included significant holdings in OUTsurance, Discovery, Momentum Metropolitan and RMB Structured Insurance. These investments gave RMI exposure to life insurance, short-term insurance, health-related financial services, investments and employee-benefit activities. The portfolio was not limited to South Africa: investments such as Youi extended the group’s general-insurance exposure into Australia, while other interests reached Namibia, the United Kingdom and additional markets. In January 2016, the company adopted the name Rand Merchant Investment Holdings. This change was intended to reflect a broader mandate covering the wider financial-services ecosystem rather than insurance alone. The company subsequently added or maintained interests in investment management, financial technology, alternative finance and venture-oriented platforms. Its portfolio included RMI Investment Managers, AlphaCode, Entersekt, Merchant Capital and Prodigy Finance. Portfolio management also involved disposals and consolidation. RMI sold its entire 76% interest in RMB-SI Investments to Santam, with the sale completed in March 2017. RMB-SI had operated across short- and long-term insurance through a collection of South African and international entities. The most consequential later change came in 2022. RMI Holdings unbundled its entire interests in Discovery Limited and Momentum Metropolitan Holdings to its shareholders and sold its stake in Hastings Group Holdings. After these transactions, OUTsurance represented the central continuing operating investment. The company therefore resolved to change its name to OUTsurance Group. The RMI identity describes the group’s formation, expansion and investment-holding period, while the successor identity reflects the simplified portfolio and its increased concentration around OUTsurance.
