Overview
Mondi is an international packaging and paper group headquartered in Weybridge, England. Its activities span the production of packaging materials, paper products and converted packaging used by industrial manufacturers, consumer-goods companies, retailers, agriculture, construction and e-commerce businesses. The group operates across multiple stages of the packaging value chain, combining paper and pulp production with converting capabilities such as corrugated packaging, paper bags, flexible packaging and other consumer-focused formats. The company traces its roots to South Africa, where Anglo American built the Merebank paper mill in Durban in 1967. Mondi subsequently expanded through investments and acquisitions in Central and Eastern Europe, including interests in Austrian businesses Neusiedler and Frantschach, the Polish company Cofinec, the Syktyvkar mill in Russia and Celuloza Swiecie in Poland. These transactions helped transform Mondi from a South African-centered paper operation into a broader international packaging and paper group. A major corporate turning point came in July 2007, when Mondi was separated from Anglo American and became a dual-listed group consisting of Mondi Limited on the Johannesburg Stock Exchange and Mondi plc on the London Stock Exchange. In 2011, Mondi Packaging South Africa was demerged and listed separately as Mpact. Mondi continued to build its consumer-packaging activities, including the 2012 acquisition of Nordenia, while also investing in large paper and pulp assets. In 2017, the group approved a €335 million modernization of its Štětí mill in the Czech Republic. Mondi simplified its corporate structure in 2019, moving from the dual-listed arrangement to a single holding company under Mondi plc. Peter Oswald served as group chief executive from 2017 until Andrew King succeeded him in April 2020. During the early 2020s, Mondi also faced strategic and reputational issues connected with its Russian operations. It announced an intention to divest those assets in 2022, but regulatory approvals delayed the process. The sale of its Russian business was completed in September 2023, after which Mondi stated that it no longer traded in Russia. The group has continued to pursue targeted expansion and portfolio development. In January 2023, it completed the acquisition of the Duino paper mill in Italy from Burgo Group for €40 million. In 2024, Mondi agreed to offer £5.1 billion for DS Smith, another major packaging company, but withdrew after International Paper made a competing offer. Mondi's strategic profile therefore combines organic investment in mills and manufacturing capacity with acquisitions, disposals and restructuring intended to concentrate the group on packaging and paper markets. Mondi's brand positioning is centered on integrated materials expertise, industrial scale and packaging innovation. Its portfolio is relevant to both traditional paper markets and newer demand areas such as e-commerce shipping, flexible consumer packaging and recyclable or fiber-based formats. The company is active internationally, but its corporate history and asset base remain particularly associated with Europe, Southern Africa and the wider paper and packaging industries.
History
Mondi's origins lie in South Africa's paper industry. In 1967, Anglo American built the Merebank Mill in Durban, establishing the industrial base from which the Mondi business developed. Over subsequent decades, the group expanded beyond South Africa through ownership increases, acquisitions and investment in pulp and paper assets across Europe and elsewhere. In 2000, Mondi increased its holdings in the Austrian businesses Neusiedler AG and Frantschach AG to 100% and 70%, respectively, and acquired Cofinec in Poland. In 2002, it increased its interest in the Syktyvkar Mill in the Komi Republic to 90%. Further consolidation followed in 2004, when Mondi took full ownership of Frantschach AG and increased its holding in Celuloza Swiecie AG in Poland to 71%. The Polish business was subsequently renamed Mondi Packaging Paper Swiecie. The company's independence from Anglo American became formal in July 2007, when Mondi demerged from its former parent. The resulting group used a dual-listed structure, with Mondi Limited listed in Johannesburg and Mondi plc listed in London. This arrangement reflected the company's South African origins while supporting its growing international business. In 2011, Mondi Packaging South Africa was separated from the group and listed independently as Mpact. Mondi continued to broaden its packaging portfolio during the 2010s. Its acquisition of Nordenia in 2012 strengthened its consumer-packaging activities. In 2017, Peter Oswald became group chief executive, and the company approved a €335 million modernization program for the Štětí mill in the Czech Republic. The investment illustrated Mondi's approach of combining acquisitions with upgrades to major production assets. In 2019, Mondi completed a simplification of its corporate structure by moving from the dual-listed arrangement to a single holding company under Mondi plc. Andrew King succeeded Peter Oswald as chief executive on 1 April 2020. The group entered the 2020s as a diversified packaging and paper producer with operations serving industrial, consumer and logistics-related demand. Mondi's Russian operations became a major strategic and reputational issue after Russia's invasion of Ukraine. In May 2022, the company announced plans to divest its Russian assets. The process was delayed by approval requirements and uncertainty around the proposed transaction. In February 2023, Ukraine added Mondi to its International Sponsors of War list. Mondi later abandoned an earlier proposed sale of the Syktyvkar Pulp and Paper Mill because required approvals had not progressed, before completing the sale of its Russian business in September 2023. The group stated that it no longer traded in Russia after the disposal. Alongside this exit, Mondi pursued portfolio expansion elsewhere. In January 2023, it completed the €40 million acquisition of the Duino paper mill in Italy from Burgo Group. In March 2024, Mondi agreed to a £5.1 billion offer for DS Smith. The proposed combination would have joined two substantial packaging businesses, but Mondi withdrew after International Paper made a competing offer. These events demonstrate the continuing importance of mergers, disposals, mill investments and geographic portfolio management to Mondi's development.
