History
Houlihan Lokey was established in Los Angeles in 1972 by Richard Houlihan and O. Kit Lokey, who had previously worked at PricewaterhouseCoopers. The original business advised privately held companies on general business matters. Robert F. Howard joined in 1974, followed by James H. Zukin in 1976; the expanded name Houlihan Lokey Howard & Zukin was used during part of the firm’s history. A significant early development was the expansion of valuation services after the passage of the Employee Retirement Income Security Act in 1974. The legislation helped create demand for independent valuations of private companies, particularly companies with employee stock ownership plans. Houlihan Lokey used this opportunity to build expertise in business valuation, fairness opinions, solvency opinions, estate-related valuation, and other forms of independent financial analysis. In 1986, Kenneth Friedman founded and became president of the firm’s investment-banking broker-dealer. The new platform was intended to provide middle-market clients with mergers-and-acquisitions advice and access to debt and equity financing. As leveraged transactions completed earlier in the decade began to experience financial pressure, the firm moved further into restructuring. In 1987, the broker-dealer acquired Cheviot Capital Corporation, helping Houlihan Lokey assemble a restructuring group led by specialists including Jeff Werbalowsky and Irwin Gold. During the 1980s and 1990s, the firm expanded its American office network, including offices in New York, San Francisco, and Chicago. Large investment banks increasingly sought Houlihan Lokey’s independent expertise for fairness, solvency, and employee stock ownership plan opinions. In 1995, the company acquired Mergerstat from Merrill Lynch to strengthen its information-services and mergers-and-acquisitions research activities. Internationalization began in 2001 with the opening of a London office. The firm also broadened its industry groups and private-equity coverage. Its restructuring practice gained prominence through work for official creditors’ committees in the bankruptcies of WorldCom, Enron, and Conseco in 2002, and through its advisory role to Lehman Brothers’ creditors in 2008. European expansion included offices in Paris in 2005 and Frankfurt in 2006. In 2006, Houlihan Lokey agreed to merge with ORIX USA, the U.S. corporate-lending operation of Japan’s ORIX Corporation, in response to growing international demand for middle-market investment-banking services. The firm entered Asia with offices in Hong Kong and Tokyo in 2007 and later opened an office in Beijing. In 2010, it purchased a substantial minority interest in Avista Advisory Group, providing operations in Mumbai and Singapore. Subsequent transactions broadened the firm’s industry and product coverage. The 2013 acquisition of Milestone Advisors expanded the Financial Institutions Group, while the launch of an Illiquid Financial Assets practice added advice on assets such as loan-pool interests, life settlements, minority holdings, pharmaceutical royalties, and operating leases. ArchPoint Partners was acquired in 2014. A particularly active expansion period occurred in 2015. Houlihan Lokey acquired Bridge Strategy Group, MESA Securities, McQueen Ltd., and the operations of Leonardo & Co. in several continental European markets. These transactions added management consulting, digital media and entertainment, consumer, and European corporate-finance capabilities, including operations in Germany, the Netherlands, Spain, Italy, and Switzerland-related market coverage. On August 13, 2015, Houlihan Lokey completed its initial public offering and began trading on the New York Stock Exchange as HLI. From 2017 through 2019, the firm continued adding specialist businesses. Black Stone IP expanded technology and intellectual-property advisory. Quayle Munro strengthened corporate-finance advice for data and analytics companies, while BearTooth Advisors added strategic advice and placement-agent services for alternative investment managers. Fidentiis Capital expanded European corporate finance, and Freeman & Co. added advisory services for financial-institution clients. The 2020s brought further sector and geographic diversification. MVP Capital was acquired in 2020. Baylor Klein expanded consumer coverage in 2021, and GCA Corporation strengthened technology advisory in Asia and Europe. Oakley Advisory joined the firm in 2023, followed by 7 Mile Advisors, which increased capabilities in IT services and the Business Services Group. Triago was acquired in 2024 to expand private capital advisory and placement capabilities. Prytania Solutions, Waller Helms Advisors, and Park Sutton Advisors were also acquired in 2024. In 2026, the firm acquired Mellum Capital, a real estate advisory business operating in Munich and London, and secured a controlling interest in French boutique Audere Partners, which operates under the Natixis Partners brand. Houlihan Lokey’s development has therefore combined organic growth in restructuring, valuation, and transaction advice with acquisitions that add sector specialists and local execution teams.
