Overview
Guotai Junan Securities (Hong Kong) Limited is a wholly-owned subsidiary of Guotai Junan International Holdings Limited, responsible for securities brokerage and related businesses in Hong Kong.
History
Guotai Junan was formed in 1999 through the merger of Guotai Securities and Junan Securities. The combination brought together two established Chinese securities businesses at a time when China's capital markets and securities-industry infrastructure were undergoing rapid institutional development. From its beginning, the group pursued a broad model covering brokerage, investment banking, proprietary and institutional markets, research and asset management rather than relying on a single product line. During the 2000s and early 2010s, Guotai Junan expanded its mainland branch network and developed a substantial retail and institutional customer base. Its brokerage business supported trading in equities and other permitted instruments, while its investment-banking franchise participated in domestic equity, debt, restructuring and advisory work. Research, fixed-income, derivatives and institutional-sales capabilities added further depth to the platform. The firm also developed asset-management and investment businesses, allowing it to serve clients across distribution, advisory and investment functions. The group became a major participant in China's securities industry as the country's stock exchanges, bond markets and institutional-investor ecosystem grew. It invested in electronic trading and online customer service as brokerage increasingly shifted from branch-led transactions toward internet and mobile channels. Digital tools became an important part of its retail and wealth-management proposition, although the company continued to operate a large traditional service and institutional network. Guotai Junan completed an initial public offering on the Shanghai Stock Exchange in 2015. The listing strengthened its capital base and made the company one of the prominent publicly traded Chinese securities firms. In 2017, it extended its listed-company profile to Hong Kong, giving the group a second international financial-market presence and supporting its cross-border business. Its Hong Kong operations and overseas activities have been used to connect mainland clients and issuers with international investors and markets. The firm's activities have remained closely connected to China's regulatory environment. Securities brokerage, underwriting, margin financing, asset management, derivatives and investment activities are subject to licensing, capital, conduct, disclosure and risk-management requirements. As a result, the company's development has involved both business expansion and continuing efforts to strengthen compliance, internal controls, technology and risk governance. In September 2024, Guotai Junan and Haitong Securities announced a proposed absorption merger. The transaction was framed as a way to combine complementary platforms, increase scale and improve the merged group's ability to serve retail, corporate and institutional customers. The proposal required approvals from shareholders, regulators and other relevant authorities and involved arrangements for the treatment of Haitong shares and the resulting corporate structure. In 2025, the transaction moved forward through further approvals and implementation steps, with the combined business expected to operate under the Guotai Haitong name. This merger is the latest major turning point in the history of the Guotai Junan brand and may change its role from a standalone listed securities group to a legacy and operating brand within a larger combined institution.
