Overview
GoTo Group, legally PT GoTo Gojek Tokopedia Tbk, is an Indonesian technology holding company created in 2021 through the combination of Gojek and Tokopedia. The transaction brought together one of Indonesia's leading ride-hailing and on-demand platforms with one of its largest online marketplaces, creating a business spanning mobility, food delivery, logistics, e-commerce, digital payments, merchant software, and consumer and business finance. The group's roots lie in two separate startups. Gojek began in 2010 as a small call center coordinating motorcycle taxis and courier trips. It later developed an app-based platform and expanded into food delivery, logistics, ticketing, payments, and other everyday services. Tokopedia was established in 2009 as an online marketplace connecting merchants and consumers, and grew with backing from Indonesian and international venture investors. The two companies began cooperating in 2015, when Gojek drivers supported same-day delivery for Tokopedia sellers and customers. That operational relationship eventually became the basis for a broader corporate combination. Gojek and Tokopedia announced their planned merger in May 2021. The name GoTo refers to the first parts of the two brands and also evokes gotong royong, an Indonesian concept associated with collective cooperation. The merged group was presented as an Indonesian-built digital ecosystem capable of linking consumers, merchants, drivers, couriers, and financial-service users. At the time of the combination, the businesses together reported a large user, merchant, and driver base and offered services including e-commerce, ride-hailing, food delivery, payments, and lending. GoTo operates through three principal areas. Gojek provides mobility products such as GoRide and GoCar, delivery through GoSend and GoBox, and local commerce through GoFood, GoMart, and GoShop. Tokopedia provides a marketplace for merchandise and also supports specialist commerce businesses such as wedding and children's activity marketplaces through Bridestory and Parentstory. GoTo Financial includes the GoPay wallet and related services, merchant payment infrastructure such as Midtrans, point-of-sale software through Moka, and regulated or partner-based products including GoPayLater and merchant financing. The group's integrated model is intended to increase the frequency with which customers use its services while giving merchants several routes to reach demand. A restaurant can sell through GoFood and accept GoPay; a driver can provide mobility and delivery; and a marketplace merchant can use logistics and payment services within the wider ecosystem. This super-app strategy places GoTo among Southeast Asia's major digital-platform groups, alongside regional competitors such as Grab and Sea's Shopee, although GoTo's principal market remains Indonesia. GoTo became a publicly traded company on the Indonesia Stock Exchange in April 2022 under the ticker GOTO. In late 2023, TikTok's parent company, ByteDance, agreed to acquire a controlling interest in Tokopedia. History
GoTo's history is the result of the convergence of two Indonesian internet companies with different starting points. Tokopedia was founded in 2009 by William Tanuwijaya and Leontinus Alpha Edison as an online marketplace intended to make it easier for merchants, including smaller businesses, to sell nationally. It raised early capital from Indonesian and regional investors and later attracted major international backers. Funding from Sequoia Capital and SoftBank helped Tokopedia scale, while Alibaba became a significant investor in 2017. The company reached unicorn status as its marketplace expanded across Indonesia. Gojek began in 2010 under Nadiem Makarim as a call center coordinating motorcycle-taxi and courier requests. Its initial fleet was small, but the business addressed a practical Indonesian need: connecting customers with informal transport and delivery providers through a more organized dispatch system. In 2015, Gojek introduced a mobile application that sharply increased order volume and allowed the company to add adjacent services. These included food delivery, ticketing, grocery delivery, logistics, payments, and other on-demand offerings. Gojek became Indonesia's first unicorn startup in 2017 and was repeatedly recognized in Fortune's Change the World rankings for the perceived social and economic impact of its platform model. The companies developed a commercial relationship in 2015 when Gojek drivers handled same-day Tokopedia deliveries during periods of lower mobility demand. That relationship illustrated the potential benefits of combining marketplace demand with an on-demand driver and courier network. Both companies also faced the strategic challenge of competing with increasingly integrated regional platforms. Discussions concerning a possible Gojek-Grab transaction took place in early 2021 but did not produce an agreement. Attention then shifted toward a Gojek-Tokopedia combination. On 17 May 2021, Gojek and Tokopedia announced their intention to merge. The proposed name, GoTo, combined elements of both original names and referenced gotong royong, an Indonesian idea of mutual cooperation. The transaction was completed in 2021 and created a technology group with operations covering e-commerce, mobility, food delivery, logistics, payments, and financial technology. GoTo Financial was established as the group-level home for services such as GoPay, merchant payments, and selected lending and financial products. GoTo pursued a public listing as it sought to fund expansion and establish a long-term capital-market presence. Reports in late 2021 described preparations for an offering, and the company announced in March 2022 that it intended to list in Indonesia. GoTo began trading on the Indonesia Stock Exchange on 11 April 2022 under the symbol GOTO. The listing was priced at 338 Indonesian rupiah per share, and the shares rose above the offer price during the first trading session. The IPO made GoTo one of the most prominent technology listings in Indonesia, while also placing greater scrutiny on its path toward sustainable profitability. The group subsequently adjusted its portfolio. Gojek's Thailand operation was sold to AirAsia in 2021, and the group later divested or discontinued several non-core activities, including the GoLife service portfolio and the Coins.ph investment. Other changes included the integration of Dhanapala's small-business lending activity into GoModal and the sale of the GoPlay video business. These actions reflected a stronger focus on the Indonesian core and on businesses with clearer links to the group's main ecosystem. In 2023, Indonesian regulation reshaped the relationship between social media and online commerce. After complaints from some physical-market traders about competition and alleged predatory pricing, the government issued Regulation No. 31 of 2023, which prevented a social-media license from also being used as an e-commerce license. TikTok suspended TikTok Shop operations in Indonesia while seeking a compliant structure. In December 2023, ByteDance acquired 75 percent of Tokopedia, with GoTo retaining 25 percent. TikTok Shop subsequently resumed through Tokopedia's licensed e-commerce entity. This transaction reduced GoTo's direct control over the marketplace that had been central to its original merger, while preserving a continuing economic interest. GoTo today is best understood as a portfolio and ecosystem company built around Gojek, GoPay, and its continuing relationship with Tokopedia.
