Overview
Eni S.p.A. is an Italian multinational energy company headquartered in Rome. Its name derives from Ente nazionale idrocarburi, the National Hydrocarbons Board, the state energy organization established in 1953 from the earlier Agip enterprise. Eni was created to coordinate Italy’s hydrocarbon resources and to strengthen national industrial and energy capabilities in the postwar period. Enrico Mattei, who became the organization’s first chairman, shaped its early identity and international approach. The company developed from a principally state-led oil and gas organization into an integrated energy group. Over several decades, its activities extended beyond exploration and production into natural-gas transportation and marketing, refining, fuel distribution, petrochemicals, engineering, electricity generation, mining, nuclear-related activities, construction and other industrial or consumer businesses. Some of these activities were later sold, separated or reorganized as the group concentrated on energy and related technologies. Eni’s historic core is the exploration, development and production of hydrocarbons. It has operated or held interests in numerous producing regions, including Italy, North and West Africa, the Middle East, the Mediterranean and other international basins. Natural gas has become increasingly important to its portfolio and strategic planning. The group also participates in liquefied natural gas, gas marketing, trading, refining and fuel retailing through specialized businesses. Its downstream and transition activities include Eni Live, the group’s mobility and service-station business; Plenitude, which combines renewable generation, electricity and gas retailing, energy services and electric-vehicle charging; Versalis, its chemicals and polymers business; and Eni Rewind, which manages environmental remediation and industrial waste-related activities. Eni also has interests in power generation, engineering and project services, and research into lower-carbon and alternative energy technologies. Since Claudio Descalzi became chief executive in 2014, Eni has emphasized a portfolio transition rather than an immediate withdrawal from hydrocarbons. The stated approach has combined continued gas and upstream investment with growth in renewables, biorefining, charging infrastructure, carbon capture, circular-economy projects and other lower-carbon businesses. The group has used separate entities and partnership structures to develop these activities, including the partial separation and potential market listing of Plenitude discussed in 2021 and 2022. Eni remains a major Italian corporate institution and an internationally active energy brand. Its business is exposed to commodity prices, geopolitical conditions, regulation and the global shift toward decarbonization. The company is therefore positioned simultaneously as a traditional integrated energy producer and as a group attempting to build a broader portfolio of electricity, renewable energy, mobility and industrial transition businesses.
History
Eni was established in February 1953 by the Italian state, building on Agip, the oil company created in 1926. The new organization was intended to coordinate national hydrocarbon development and give Italy a stronger position in energy and industrial markets. Enrico Mattei became its first chairman and promoted an internationally minded model of cooperation with producing countries. Under his leadership, Eni sought arrangements that differed from the prevailing concessions model and helped make the company a prominent instrument of Italian economic policy. During the 1950s and 1960s, Eni expanded its exploration, refining, distribution and natural-gas activities. The group developed a broad industrial structure and became involved in chemicals, engineering, construction, electricity and other sectors in addition to petroleum. This diversification reflected the company’s role in national industrial development, although it also made Eni more complex than a conventional oil producer. Eni continued international exploration and production during the following decades, building positions in Africa, the Middle East, Europe and other regions. It also expanded gas marketing and infrastructure activities and developed a substantial downstream presence. The group’s history includes periods of acquisition, divestment and restructuring as energy markets and Italian public-ownership policy changed. The privatization and public listing process in the 1990s and early 2000s transformed Eni into a widely held listed company while the Italian state retained a significant strategic role. In the 2000s, Eni pursued international growth through upstream acquisitions and gas-market expansion. Notable transactions included the acquisition of Burren Energy assets and the purchase of a majority interest in Belgian gas company Distrigas, followed by a mandatory offer for minority shareholders. The company also retained a broad integrated model spanning exploration and production, gas and power, refining and marketing, chemicals, engineering and services. From 2014, chief executive Claudio Descalzi led a strategic period focused on capital discipline, large-scale gas discoveries and portfolio reorganization. Eni increasingly described natural gas as a bridge and growth business while developing renewable electricity, energy retail, electric-vehicle charging, biorefining and circular-economy projects. Its business units were reorganized to give transition activities greater visibility and operational independence. Plenitude became the principal platform for renewable generation, customer supply, energy services and charging infrastructure, while Enilive developed mobility, service-station and lower-carbon fuel activities. Versalis remained the group’s chemicals arm, and Eni Rewind focused on remediation and environmental management. The modern Eni group therefore combines upstream oil and gas, gas marketing, refining, fuels, chemicals and power with transition-oriented businesses. Its strategy has not been a simple abandonment of hydrocarbons: it continues to rely on upstream and gas operations while seeking to reduce emissions intensity and increase exposure to renewables and new energy technologies. This creates both opportunities and tensions. Eni benefits from scale, technical expertise and international relationships, but faces commodity volatility, geopolitical risk, climate regulation, litigation and scrutiny of the environmental impact of fossil-fuel operations. The company remains headquartered in Rome and operates through a network of subsidiaries, joint ventures and affiliates. Its principal branded businesses include Enilive, Plenitude, Versalis, Eni Rewind, EniPower and EniProgetti. Eni’s evolution from a state-created hydrocarbons institution into a publicly traded integrated energy group is central to its identity: it remains closely associated with Italy while competing in international oil, gas, chemicals, power and energy-transition markets.
