Overview

Discovery, Inc. was an American multinational media and entertainment company that operated from 1982 until April 8, 2022. It developed from the Cable Educational Network, founded by John Hendricks, and became associated with the Discovery Channel, a factual-television service whose programming emphasized science, nature, technology, history and real-world adventure. The company later expanded its portfolio into a broad group of nonfiction, lifestyle, education, sports and general-entertainment brands. Discovery’s business model combined television-network ownership, content production, international channel operations, advertising sales, distribution agreements and digital products. Its principal U.S. portfolio included Discovery Channel, TLC, Animal Planet and Science Channel. Through international operations and joint ventures, the company also held or operated localized versions of its brands in multiple territories. Sports became increasingly important through Eurosport and related European businesses, while digital distribution expanded through products such as discovery+. In 2018, Discovery Communications completed the acquisition of Scripps Networks Interactive and adopted the Discovery, Inc. name. The transaction added prominent food, home, travel and lifestyle properties, including Food Network, HGTV and Travel Channel, as well as Scripps’s related content and digital assets. This materially broadened Discovery beyond factual programming and strengthened its position in advertiser-supported lifestyle television. Kenneth W. Lowe, Scripps Networks Interactive’s former chairman, president and chief executive, joined Discovery’s board after the transaction. David Zaslav became chief executive of Discovery Communications in 2006 and led the company through its public-market period, the Scripps transaction and the subsequent WarnerMedia combination. Under his leadership, Discovery increasingly presented itself as a global content company rather than only a cable operator, using established channel brands across linear television, online video, streaming and international markets. Discovery also promoted advertising products such as on-air promotions, content marketing, sponsorships, sweepstakes and customized digital campaigns across its lifestyle brands. On May 17, 2021, Discovery and AT&T announced a transaction under which AT&T would separate WarnerMedia and combine it with Discovery. The transaction closed on April 8, 2022, creating Warner Bros. Discovery, Inc. Discovery’s former securities stopped trading after the closing, and Warner Bros. Discovery began trading on Nasdaq under WBD on April 11, 2022. Discovery, Inc. therefore no longer exists as a standalone operating company, although many of its networks, services, franchises and international operations continue within Warner Bros. Discovery.

History

Discovery originated in 1982 as the Cable Educational Network, an initiative associated with John Hendricks and designed to deliver educational programming through cable television. The Discovery Channel became the company’s defining property and established a recognizable editorial identity around factual programming, including science, nature, technology, history and exploration. In 1994, the corporate organization became known as Discovery Communications, reflecting the channel’s development into a larger media enterprise. Over subsequent decades, Discovery expanded through new networks, international licensing and local channel versions. Its portfolio moved beyond the original factual remit into lifestyle, reality, health, home, food and family-oriented programming. Animal Planet, TLC and Science Channel became important U.S. properties, while international operations added regional versions of Discovery brands and sports assets. Eurosport gave the company a substantial position in European sports broadcasting, and Discovery also developed digital and streaming distribution as viewing habits shifted away from traditional pay television. David Zaslav became chief executive in 2006. He oversaw Discovery’s transformation into a publicly traded company in 2008 and promoted a strategy that treated networks as multiplatform content brands rather than solely as linear cable channels. The company used television, online video, social media, international distribution and advertising partnerships to extend the reach of its programming. Its commercial offering included conventional network advertising as well as sponsorships, branded content, on-air promotions and customized digital marketing. A major expansion occurred in 2018, when Discovery Communications completed the acquisition of Scripps Networks Interactive. The combination brought Food Network, HGTV, Travel Channel and related businesses into Discovery’s portfolio. Discovery adopted the name Discovery, Inc., presenting the enlarged group as a global content company with complementary factual, lifestyle and international entertainment assets. Kenneth W. Lowe, Scripps’s former chairman, president and chief executive, joined the Discovery board. The company’s final strategic transformation followed the 2021 agreement with AT&T to combine Discovery with WarnerMedia. The transaction was structured as a separation of WarnerMedia from AT&T followed by a combination with Discovery. It received regulatory approvals and closed on April 8, 2022. The resulting company was named Warner Bros. Discovery, Inc.; Discovery’s separate corporate identity and Nasdaq listings ended, while its channel brands, streaming products, sports operations and content libraries became core components of the new group.
