Overview

Ambuja Cements Limited is an Indian cement manufacturer and marketer whose principal products are cement and clinker. Established in 1983 as Gujarat Ambuja Cements, the company developed around India's expanding demand for housing, commercial construction, infrastructure and industrial projects. Its business combines manufacturing, logistics, distribution and dealer relationships, with products sold in the domestic market and, where applicable, export markets. The company became one of India's best-known cement brands as it expanded production capacity and distribution beyond its original Gujarat base. Its operating model has historically emphasized large-scale cement production, access to raw materials, efficient transport and broad retail availability. The Ambuja brand is used across products intended for general building work as well as more specialized construction requirements, although the exact product portfolio may vary by market and plant network. Ambuja entered a strategic partnership with Holcim in 2006. Holcim subsequently held a controlling interest of 61.62% from 2010 until its exit from India in 2022. On 15 May 2022, the Adani Group acquired Holcim's interests in Ambuja Cements and ACC in a transaction reported at US$10.5 billion, creating the foundation of the Adani Cement platform. Ambuja therefore operates within a group structure alongside ACC and other cement assets, while retaining its own listed-company identity and consumer-facing brand. Following the change in ownership, Ambuja pursued expansion through acquisitions. It acquired Sanghi Industries in 2023, Penna Cement Industries in 2024 and Orient Cement in 2024. These transactions broadened the group's manufacturing footprint and strengthened its position in India's cement market. Ambuja's current business remains centered on cement and clinker production and sales, supported by an extensive Indian distribution network and the wider resources of Adani Cement. As a listed Indian company, its ownership, acquisitions and operating performance are subject to stock-market disclosure and Indian corporate regulation.

History

Ambuja Cements was established in India in 1983 under the name Gujarat Ambuja Cements. It built its business around cement manufacturing and the supply of cement and clinker to India's growing construction sector. The company developed production facilities, transport capabilities and a distribution network able to serve both institutional construction projects and retail building customers. Over time, the public-facing name was shortened to Ambuja Cements. A major change in the company's ownership structure began in 2006, when Ambuja entered a strategic partnership with Holcim, then one of the world's largest cement manufacturers. Holcim acquired a 14.8% promoter stake in Gujarat Ambuja Cements in January of that year for a reported ₹2,140 crore. Holcim's influence increased, and from 2010 through 2022 it held a 61.62% controlling stake in Ambuja Cements. This relationship placed the Indian company within an international cement network and linked it operationally with ACC, another major Indian cement producer. Holcim announced in April 2022 that it would leave the Indian market after 17 years as part of a strategy to concentrate on selected core markets. Its interests in Ambuja Cements and ACC were offered for sale. On 15 May 2022, the Adani Group completed the acquisition of Holcim's stakes in the two companies in a transaction reported at US$10.5 billion. Ambuja and ACC subsequently became central assets of Adani Cement, while continuing to operate as separately listed companies and established brands. Under Adani ownership, Ambuja pursued inorganic expansion. It acquired Sanghi Industries in 2023, adding manufacturing capacity and strengthening its presence in western India. In June 2024, it acquired Hyderabad-based Penna Cement Industries at an enterprise value reported at ₹10,422 crore. In October 2024, it acquired Orient Cement from the CK Birla Group at an approximate value of ₹8,100 crore. These transactions formed part of a broader effort to expand the Adani Cement platform and increase its geographic and production reach. The company has also faced legal disputes associated with its acquisitions and brand protection. After the Sanghi transaction, Ambuja pursued proceedings connected with a disputed personal guarantee and pre-acquisition electricity-related liabilities. Separately, in 2025 it brought a trademark action against JSW Cement concerning the similarity it alleged between the Ambuja Kawach and Jal Kavach brands. The trademark matter was referred to mediation. Ambuja's continuing identity is that of a major Indian cement producer, with cement and clinker production, domestic distribution and export activity at the center of its business.
