Overview

YTL Power International Berhad is the utilities and infrastructure arm of YTL Corporation Berhad, a Malaysian business group. The company began in the early 1990s as Malaysia’s first independent power producer and subsequently developed into an international multi-utility owner and operator. Its activities have expanded beyond conventional electricity generation into power transmission, water and wastewater services, telecommunications, data centres, digital infrastructure and selected property-related projects. The company’s original Malaysian power business was established through a government power-purchase agreement for 1,212 megawatts of combined-cycle generation capacity at Paka in Terengganu and Pasir Gudang in Johor. YTL Power was listed on Bursa Malaysia on 23 May 1997 and remains traded on the exchange’s Main Market in the utilities sector. Its Malaysian generation operations continue to form the historical foundation of the group, although the portfolio has become geographically and operationally broader. International expansion has been a defining feature of YTL Power’s development. The company acquired a stake in ElectraNet, an electricity transmission business in South Australia, in 2000 and acquired the United Kingdom water and sewerage company Wessex Water from Enron in 2002. It entered Indonesia through a shareholding in PT Jawa Power, which owns a large coal-fired power station at the Paiton complex in East Java, and entered Singapore’s generation and retail electricity market through the acquisition of PowerSeraya from Temasek Holdings in 2009. The ElectraNet investment was later divested in 2022, while Wessex Water and the Singapore power platform remain important parts of the group’s international utility portfolio. In Singapore, the company operates generation assets through YTL PowerSeraya and markets electricity to commercial, industrial, household and small-business customers under the Geneco brand. The Singapore business also acquired the Tuaspring power and desalination facility in 2022. Cross-border electricity trading and cooperation with Malaysia’s national electricity companies have made the Singapore platform part of the wider Malaysia-Singapore energy relationship. YTL Power also owns a majority interest in YTL Communications, whose Yes brand provides mobile and broadband services in Malaysia. The communications business participated in the government’s 1BestariNet programme, which sought to connect national schools with high-speed internet and cloud-based educational tools. More recently, YTL Power has pursued data-centre development in Malaysia and Singapore. Its YTL Green Data Center Park in Kulai, Johor, is planned as a large regional campus supported in part by on-site solar generation. The company has also developed the Sentul edge data centre and acquired a Singapore facility through Dodid. Artificial-intelligence infrastructure became a major strategic theme in 2023 and 2024. YTL Power announced cooperation with NVIDIA on high-performance computing, AI cloud services and a Malay-language large language model, with the planned infrastructure to be hosted at the Johor data-centre campus. The initiative positions the company at the intersection of electricity supply, renewable generation, data-centre capacity and cloud computing. Separately, the company and partners increased their exposure to Malaysian water and energy assets through Ranhill Utilities, whose businesses include Johor water supply, Sabah generation and renewable energy. YTL Power’s positioning is therefore that of an integrated infrastructure owner rather than a single-service utility. Its businesses require substantial capital, long-term contracts, regulatory licences and reliable access to fuel, land, grid connections and digital networks. The portfolio spans regulated and contracted utilities, competitive electricity retailing, communications and emerging digital infrastructure. As of the financial year ended 30 J…

History

YTL Power’s history is rooted in the liberalisation and expansion of Malaysia’s electricity-generation sector. In 1992, the company became Malaysia’s first independent power producer after securing a 21-year power-purchase agreement with the government. The agreement supported the construction of 1,212 MW of combined-cycle generation capacity at Paka in Terengganu and Pasir Gudang in Johor. The first open-cycle plant was completed in ten months, while the gas-fired combined-cycle plant was completed in 22 months. Financing included a long-term ringgit-denominated bond supported by the Employees Provident Fund, a structure that helped reduce exposure to foreign-currency pressures during the Asian Financial Crisis. YTL Power became a Bursa Malaysia-listed company on 23 May 1997. Its growth thereafter relied on a combination of long-term power contracts, acquisitions and investments in regulated infrastructure. In 2000, it purchased a 33.5 percent interest in ElectraNet, the South Australian electricity-transmission operator. ElectraNet transmitted electricity from regional and interstate sources to metropolitan and regional customers under a long-term lease arrangement. YTL Power sold this investment in 2022, realising a substantial gain according to the company material cited for this dossier. The group entered the United Kingdom water sector in 2002 by acquiring Wessex Water from Enron. Wessex Water provides clean-water and wastewater services across southwest England, including Dorset, Somerset, Bristol, most of Wiltshire and parts of Gloucestershire and Hampshire. Its activities are regulated by Ofwat and conducted under a UK government appointment. The acquisition established a durable second pillar alongside power generation and gave YTL Power experience operating in a heavily regulated utility market. In 2004, YTL Power acquired a 35 percent interest in PT Jawa Power in Indonesia. Jawa Power owns a 1,220 MW coal-fired power station at the Paiton complex in East Java and sells its output under a long-term agreement with Indonesia’s state electricity company. YTL’s Indonesian subsidiary PT Jawa Timur provides operations and maintenance services for the project. In Jordan, the group later invested in the Attarat power project, while its European portfolio also included utility and infrastructure interests in the Netherlands. Singapore became another major operating base in 2009, when YTL Power acquired all of YTL PowerSeraya from Temasek Holdings. PowerSeraya operates generation assets on Jurong Island and has a licensed generating capacity of approximately 3,100 MW across combined-cycle, cogeneration and steam-turbine facilities. It began exporting electricity to Malaysia in 2011. In 2018, its retail business was relaunched under the Geneco name, serving commercial and industrial customers as well as households and small and medium-sized enterprises. The acquisition of Tuaspring in 2022 added a 396 MW gas-fired plant and associated desalination infrastructure. YTL Power diversified into communications through YTL Communications, which operates Malaysia’s Yes brand. Yes has provided mobile services using spectrum in the 2.3 GHz and 2.6 GHz bands since 2010. The company also participated in 1BestariNet, a national school-connectivity initiative involving broadband access and the Frog virtual learning environment. This expansion gave YTL Power a consumer-facing technology business alongside its wholesale utility assets. The next phase of growth centred on digital infrastructure. YTL Data Center Holdings acquired Dodid in Singapore in 2021, obtaining a Tier-3 facility and establishing a platform outside Malaysia. In 2022, YTL Power began developing the YTL Green Data Center Park in Kulai, Johor, near Singapore and within the Iskandar region. The campus was designed to combine large-scale data-centre development with renewable power from a planned solar farm. A co-development with Sea Limited formed the first phase of the campus. YTL Power also operates the YTL Sentul edge data centre in Kuala Lumpur. In late 2023 and 2024, the company connected its power and data-centre strategy with artificial intelligence. Its collaboration with NVIDIA covered advanced computing infrastructure, AI cloud services, a Malay-language large language model and ecosystem development. YTL subsequently announced YTL AI Cloud and plans involving advanced NVIDIA systems. In Malaysia’s utility sector, YTL Power and SIPP Power also became major shareholders of Ranhill Utilities in 2024, adding exposure to Johor’s water network, Sabah power generation, solar power and engineering services. By this stage, YTL Power had evolved from a Malaysian independent power producer into a multi-country infrastructure group spanning electricity, water, communications and computing.
