Overview

Yes Bank is an Indian private-sector commercial bank headquartered in Mumbai. It was established by bankers Rana Kapoor and Ashok Kapur after their earlier involvement in Rabo India Finance, a finance venture created with Dutch banking group Rabobank. The bank was incorporated in 2003 and received its banking licence from the Reserve Bank of India in May 2004. Its first branch opened in August of that year. Yes Bank initially positioned itself as a professionally managed, technology-oriented new-generation private bank, targeting corporate customers and expanding later into retail banking, small and medium-sized enterprises, wealth management and transaction banking. The bank became publicly listed through an initial public offering in June 2005. Over the following decade it expanded its branch, ATM and institutional networks and developed a broad balance-sheet business covering corporate lending, retail deposits, payments, treasury services, investment banking and financial-market activities. It also participated in syndicated lending and promoted green-finance initiatives, including financing connected with renewable-energy projects. Through its wholly owned subsidiary YES Securities, the group extended its offering into securities broking, institutional equity sales and trading research, and services for retail, high-net-worth and institutional clients. Digital initiatives included YES Pay, a wallet and payments product connected with BHIM and the Unified Payments Interface. Yes Bank's growth was accompanied by increasing exposure to stressed borrowers and difficulties in raising sufficient new capital. By 2019 and early 2020, concerns about asset quality, potential loan losses, disclosure practices, liquidity and the bank's ability to obtain funding had intensified. The Reserve Bank of India concluded that intervention was necessary. On 5 March 2020, it superseded the bank's board, placed the institution under a moratorium and restricted withdrawals, while beginning a reconstruction process. The moratorium temporarily limited most customer withdrawals to ₹50,000, subject to specified exceptions. The episode disrupted some digital-payment and e-commerce transactions and led to sharp credit-rating downgrades. The reconstruction plan brought in State Bank of India and other financial institutions as investors and replaced the previous board and senior management structure. Prashant Kumar, formerly a senior executive at State Bank of India, became managing director and chief executive officer under the reconstruction arrangement. The moratorium was lifted and full banking operations resumed on 18 March 2020. Yes Bank subsequently completed a follow-on public offering in July 2020, and several rating agencies later improved their assessments of the bank's debt instruments as liquidity and deposits recovered. Today, Yes Bank serves retail customers, MSMEs, corporate clients and institutions through branches, business correspondent outlets, ATMs and digital channels across India. Its activities include deposits, loans, working-capital finance, corporate and transaction banking, cards, payments, wealth and investment services, treasury operations and asset-management-related services. The bank has also pursued partnerships in cross-border payments and sports sponsorship. Its identity combines the reach of a national Indian bank with a continuing emphasis on digital delivery, corporate relationships and financial products, while its 2020 reconstruction remains a defining event in its institutional history.

History

Yes Bank's origins are linked to Rabo India Finance, which was co-founded in the late 1990s by Rana Kapoor, Ashok Kapur and Harkirat Singh in partnership with Rabobank of the Netherlands. After the founders sold their interests in that venture, Kapoor and Kapur used the proceeds and their banking experience to establish Yes Bank. The institution was incorporated in 2003 and received a banking licence from the Reserve Bank of India in May 2004. Its first branch opened in August 2004. At launch, Kapoor and Kapur were significant shareholders, while Rabobank, directors and private-equity investors also held interests. The bank pursued rapid growth as a new-generation private-sector institution. It built businesses in corporate banking, retail banking, MSME finance, transaction services, treasury and wealth management. Its public listing followed an IPO in June 2005. During the 2000s and 2010s, Yes Bank expanded its physical distribution, developed relationships with large companies and institutions, entered syndicated lending and promoted financing for renewable-energy projects. It also added digital payment products and built a securities subsidiary, YES Securities, which provides broking, research, equity-market and wealth-related services. A major loss occurred in November 2008 when co-founder and non-executive chairman Ashok Kapur was killed during the Mumbai terrorist attacks. The bank continued to grow, but its expansion increasingly exposed it to stressed corporate borrowers and funding pressure. In 2016, a proposed billion-dollar share sale was abandoned because of market conditions, and subsequent attempts to raise capital did not resolve the institution's longer-term needs. By early 2020, Yes Bank faced severe financial and governance pressure. It had struggled to raise capital, while concerns about loan losses and non-performing assets contributed to rating downgrades, deposit withdrawals and the invocation of bond covenants. On 5 March 2020, the RBI superseded the board and imposed a 30-day moratorium. The intervention restricted most withdrawals to ₹50,000, with exemptions for specified emergencies and essential expenses. The disruption affected some digital and e-commerce payment activity. The RBI also began a reconstruction process, with State Bank of India and several other banks and investors providing capital and support. Prashant Kumar, a former senior executive of State Bank of India, was appointed to lead the reconstructed bank, while Sunil Mehta became non-executive chairman. The reconstruction scheme was approved in March 2020. Yes Bank exited the moratorium and resumed full banking operations on 18 March. It then completed a follow-on public offering in July 2020, helping replenish capital. During the post-reconstruction period, deposits and liquidity improved and several rating agencies upgraded debt instruments from default or deeply stressed levels. In June 2021, the board approved a further debt-securities fundraising plan. The bank continued to broaden its operating and partnership agenda. It acquired a minority stake in Dish TV in 2020, launched employee equity initiatives, maintained retail, MSME and corporate operations, and pursued digital and cross-border payments. In 2024 it announced an Olympic banking partnership for India's contingent in Paris and a collaboration with EBANX for cross-border e-commerce payments. The bank's history is therefore defined by two contrasting phases: fast expansion as an innovative private-sector lender, followed by a highly consequential regulatory reconstruction and a continuing effort to rebuild capital, trust, governance and sustainable growth.
