Overview

WEC Energy Group is an American energy utility holding company headquartered in Milwaukee, Wisconsin. Its operating businesses provide electricity and natural gas to approximately 4.4 million customers in Wisconsin, Illinois, Michigan, and Minnesota. The group combines regulated electric and gas distribution businesses with power generation, gas storage, infrastructure development, and selected real-estate activities. The company's roots reach back to 1896, when the Milwaukee Electric Railway and Light Company was established as an interurban railway and electric-lighting enterprise. As electricity demand grew, the company sold surplus generation to homes and businesses and gradually developed into a broader electric utility. Its operating history includes several important developments in power generation, including early work on pulverized-coal technology, the construction of large coal-fired stations, participation in nuclear generation through the Point Beach plant, and later investment in natural gas, biomass, and wind facilities. Wisconsin Electric Power Company was formed in 1921 to develop and operate the Lakeside Power Plant in St. Francis, Wisconsin. The plant was described as the first power station designed to burn pulverized coal exclusively. During the following decades, Wisconsin Electric expanded its generating system and utility territory through construction and acquisitions. In 1938, the Milwaukee Electric Railway and Light Company was merged into Wisconsin Electric. The company subsequently acquired Wisconsin Gas & Electric Company and Wisconsin Michigan Power Company in 1941 and became independent from the North American Company in 1946. In 1987, Wisconsin Electric reorganized as Wisconsin Energy Corporation, creating a holding-company structure that included Wisconsin Electric, Wispark, Wisvest, and Witech. The company expanded its gas operations through acquisitions, including Wisconsin Southern Gas Company and WICOR, the holding company of Wisconsin Gas. In 2002, Wisconsin Electric and Wisconsin Gas began operating under the shared customer-facing name We Energies. The company later divested several non-energy WICOR assets as part of a strategy to concentrate on utility and energy infrastructure activities. A major transformation occurred with the acquisition of Integrys Energy Group, completed in 2015. The transaction added Peoples Gas and North Shore Gas in Illinois, Wisconsin Public Service, and other utility and infrastructure businesses to the group. Following the transaction, Wisconsin Energy adopted the name WEC Energy Group. Its portfolio subsequently included electric and gas utilities in several Midwestern states, as well as generating assets, gas storage, and infrastructure operations. WEC Energy Group's generation portfolio has changed over time. The company expanded its Oak Creek generating complex with two 615-megawatt coal-fired units that entered service in 2010 and 2011, while also developing natural-gas generation at Port Washington. It added renewable and lower-carbon generation through the Blue Sky Green Field Wind Farm, the Glacier Hills Wind Park, and a biomass cogeneration facility at the Domtar paper mill in Rothschild, Wisconsin. The company sold the Point Beach Nuclear Plant in 2007 but retained rights to its output for the plant's operating life under the transaction described in reference material. The group also operates or owns businesses supporting the utility system. Bluewater Gas Storage provides natural-gas storage and hub services. WEC Infrastructure develops, builds, and owns electric generating plants, while Wisconsin River Power Company is jointly owned with Alliant Energy. Utility subsidiaries and operating brands include We Energies, Wisconsin Public Service, Peoples Gas, North Shore Gas, Minnesota Energy Resources, Michigan Gas Utilities, and Upper Michigan Energy Resources. WEC Energy Group is therefore best understood as a regulated energy-infrastructur…

History

WEC Energy Group developed from Milwaukee's nineteenth-century electric railway and lighting business into a multi-state regulated utility holding company. The Milwaukee Electric Railway and Light Company was formed in 1896 to operate interurban rail service and provide electricity in southeastern Wisconsin. Electricity not required by the railway system was sold to residential and commercial users, creating the foundation for a broader utility business. Wisconsin Electric Power Company was established in 1921 to build and operate the Lakeside Power Plant. The company became associated with advances in large-scale generation, including the use of pulverized coal. Its generating system expanded through the Port Washington, Oak Creek, Pleasant Prairie, and Point Beach facilities. In 1938, Milwaukee Electric Railway and Light was merged into Wisconsin Electric. Wisconsin Electric acquired Wisconsin Gas & Electric Company and Wisconsin Michigan Power Company in 1941, and became independent of the North American Company in 1946. The company continued to expand through generation construction, utility acquisitions, and corporate restructuring. In 1987, Wisconsin Electric became part of Wisconsin Energy Corporation, a holding company with several operating subsidiaries. Wisconsin Energy acquired Wisconsin Southern Gas Company in the 1990s and later purchased WICOR, bringing Wisconsin Gas into the corporate group. A proposed merger with Northern States Power to create Primergy was announced in 1995 but was abandoned in 1997 after prolonged regulatory review and declining expected transaction benefits. In 2002, Wisconsin Electric and Wisconsin Gas began doing business under the We Energies name. Wisconsin Energy subsequently sold non-energy WICOR assets to focus more closely on utility and energy operations. It also transferred transmission-line ownership to American Transmission Company in 2001 in exchange for an ownership interest in that multi-state transmission company. The generation portfolio expanded during the 2000s and 2010s. The company developed natural-gas generation at Port Washington, expanded the Oak Creek plant with two 615-megawatt coal-fired units, and added wind generation through Blue Sky Green Field and Glacier Hills. It also developed a biomass cogeneration facility in Rothschild, Wisconsin, supplying electricity to the grid and steam to a paper mill. The company sold the Point Beach Nuclear Plant to FPL Energy in 2007 while retaining rights to the plant's output under the reported arrangement. The most important corporate expansion came through the acquisition of Integrys Energy Group. Announced in 2014 and completed in 2015, the transaction brought Peoples Gas, North Shore Gas, Wisconsin Public Service, and other businesses into the group. Wisconsin Energy adopted the WEC Energy Group name, reflecting its enlarged regional portfolio. In 2017, the group acquired Bluewater Gas Storage, adding a gas-storage business serving its distribution system. Today, WEC Energy Group operates through a collection of state- and market-specific utility brands. We Energies serves Wisconsin customers, Wisconsin Public Service serves northeastern and north-central Wisconsin, Peoples Gas serves Chicago, North Shore Gas serves Chicago's northern suburbs, Minnesota Energy Resources serves Minnesota, and Michigan Gas Utilities and Upper Michigan Energy Resources serve Michigan markets. The group also maintains generation, infrastructure, gas-storage, and selected development activities.
