Overview

Vista Outdoor was an American designer, manufacturer, and marketer of shooting-sports and outdoor-recreation products. It was created in 2015 when Alliant Techsystems separated its sporting-goods and ammunition operations from the aerospace and defense businesses that were combined with Orbital Sciences. The resulting company became a publicly traded house of brands on the New York Stock Exchange under the ticker VSTO. The company’s shooting-sports portfolio included ammunition, primers, propellants, accessories, and related products. Its principal ammunition brands included Federal Premium, CCI, Alliant Powder, and Remington Ammunition. Vista also owned or operated brands associated with firearms, optics, hunting, and shooting accessories, including Bushnell and, for a period, Savage Arms and Stevens Arms. Its outdoor-products portfolio covered camping, cooking, cycling, action sports, fishing, golf technology, paddlesports, and related equipment. Brands acquired or developed in these areas included Bell, Giro, Blackburn, Camp Chef, QuietKat, Simms Fishing Products, Fox Racing, Foresight Sports, and Jimmy Styks. Vista’s strategy changed repeatedly during its existence. After becoming independent, it expanded through acquisitions, including the BRG Sports action-sports business, Camp Chef, QuietKat, Foresight Sports, Fox Racing, and Simms Fishing Products. At the same time, the company faced debt, impairment charges, portfolio complexity, and pressure to concentrate on businesses with stronger strategic or financial prospects. In 2018 it announced plans to review or sell several firearms, eyewear, and action-sports assets. The sale of Savage Arms and Stevens Arms was completed in 2019, while the Bolle, Cébé, and Serengeti eyewear brands were also divested. Vista acquired selected Remington ammunition assets after Remington Outdoor Company entered bankruptcy proceedings in 2020. This transaction gave Vista the Remington ammunition brand and the Lonoke, Arkansas, ammunition plant, but not the Remington firearms business. The plant was restarted and expanded after retooling in 2021. Vista also supplied ammunition to Ukraine and announced a donation of one million rounds following Russia’s 2022 invasion. The company pursued a major structural separation in the early 2020s. In 2023 it announced a transaction under which its shooting-products business would be acquired by Czechoslovak Group, while the outdoor-products segment would become an independent company called Revelyst. Regulatory and political opposition surrounded the proposed sale of the ammunition and shooting business. In November 2024, the separation was completed: the outdoor business became Revelyst and the shooting-products business became The Kinetic Group, a subsidiary of Czechoslovak Group. Revelyst was subsequently acquired by Strategic Value Partners in an all-cash transaction announced and completed in January 2025. These transactions ended Vista Outdoor as the operating corporate structure represented by the VSTO listing.

History

Vista Outdoor originated in the sporting-goods and ammunition activities of Alliant Techsystems, commonly known as ATK. ATK entered the ammunition and outdoor-products sector in 2001 and expanded through acquisitions and increased demand from military, law-enforcement, hunting, and civilian shooting markets. Its portfolio eventually included ammunition manufacturers, optics companies, firearms businesses, and recreational-product brands. In December 2014, ATK and Orbital Sciences described a transaction that would merge ATK’s aerospace and defense operations with Orbital while separating ATK’s sporting-goods and ammunition activities into an independent public company. The new company was named Vista Outdoor. ATK shareholders received Vista shares in connection with the tax-free separation. Vista began regular trading on the New York Stock Exchange on February 10, 2015, under VSTO. Vista initially operated as a house of brands rather than as a single consumer-facing product label. It controlled ammunition franchises such as Federal Premium, CCI, and Alliant Powder, while also participating in optics, firearms, hunting, camping, cycling, and action sports. In 2016 it acquired the Bell Sports action-sports business, adding Bell, Giro, Blackburn, and C-Preme. It also acquired Camp Chef, a maker of camp cooking equipment, and Jimmy Styks, a stand-up-paddleboard business. The company entered a period of financial and strategic pressure during the second half of the 2010s. In 2017 it warned of a substantial impairment charge in its hunting and shooting accessories reporting unit. Management subsequently pursued debt reduction and portfolio simplification. In 2018 Vista said it was considering sales of its firearms subsidiaries and selected outdoor brands, while also pursuing the divestiture of Bolle, Cébé, and Serengeti eyewear. The company stated that its firearms review reflected strategic and investment considerations rather than the consumer boycotts then affecting some firearms businesses. Savage Arms and Stevens Arms were sold in 2019 for $170 million to an investor group led by Savage management. Vista acquired selected assets of Remington Outdoor Company in 2020 after that company’s bankruptcy. The purchase included Remington’s ammunition brand and trademarks and the Lonoke, Arkansas, ammunition plant, but not the Remington firearms business. Vista retooled the plant and resumed production in 2021, increasing its workforce as production expanded. The acquisition strengthened Vista’s position in ammunition while leaving the Remington firearms name under a separate licensing arrangement. During 2021 and 2022, Vista broadened its outdoor portfolio. It acquired QuietKat, an electric-bicycle manufacturer, and announced acquisitions of Foresight Sports, Fox Racing, and Simms Fishing Products. These deals expanded its exposure to electric mobility, golf technology, mountain biking, motocross, BMX, fishing apparel, and fishing equipment. The acquisitions also increased the complexity of the portfolio and preceded management’s plan to divide the business into distinct outdoor and shooting-products companies. Vista’s ammunition businesses supported Ukraine after Russia’s 2022 invasion. The company said it had supplied ammunition to Ukraine since 2015 and pledged one million rounds of small-caliber ammunition following an appeal from President Volodymyr Zelenskyy. Federal and Remington also used merchandise sales to raise money for Ukrainian refugees. In 2023, after Christopher Metz resigned and Gary McArthur became interim chief executive, Vista announced a proposed restructuring. The outdoor-products business would be separated into a publicly traded company named Revelyst, while the shooting-products business would be sold to Czechoslovak Group. The proposed sale generated political opposition from some U.S. senators, a representative, and the National Sheriffs’ Association, with concerns focused on ownership of major ammunition assets. After regulatory review and revisions to the transaction, the separation was completed in November 2024. Revelyst became the independent outdoor-products company, while the shooting business became The Kinetic Group under Czechoslovak Group. Revelyst was acquired by Strategic Value Partners in January 2025. Consequently, Vista Outdoor no longer operated as the combined public company created in 2015.
