Overview
Virgin Media O2 is a British telecommunications and media company established in June 2021 through the combination of Virgin Media, the UK cable and broadband business owned by Liberty Global, and O2 UK, the mobile telecommunications business owned by Telefónica. The transaction created a 50–50 joint venture between Liberty Global and Telefónica after approval by the UK's Competition and Markets Authority. The combined company operates across mobile communications, fixed-line telephony, broadband, television and related digital services. The company brings together two businesses with different but complementary histories. O2 UK traces its origins to Telecom Securicor Cellular Radio, formed in 1983 by British Telecom and Securicor. Its Cellnet network launched in 1985 alongside Vodafone as one of the UK's first two cellular networks. After BT Wireless was separated from British Telecom in 2001, the O2 name was introduced, and the business was subsequently acquired by Telefónica in 2006. Virgin Media's roots lie in the consolidation of UK cable and internet businesses. NTL acquired Virgin.net in 2004, NTL and Telewest combined in 2006, and the enlarged business acquired Virgin Mobile UK that year. The resulting group was rebranded Virgin Media in 2007 and acquired by Liberty Global in 2013. Virgin Media O2's consumer proposition is built around the convergence of mobile and fixed connectivity. Virgin Media supplies cable and fibre-to-the-premises broadband, Virgin TV and fixed-line services, while O2 provides 2G, 4G and 5G mobile connectivity. The company also operates the Virgin Mobile brand, although Virgin Mobile customers were migrated to the O2 network in 2023 and Virgin Mobile stopped offering new plans and services. Through the Volt proposition, eligible households combining Virgin Media broadband with an O2 Pay Monthly plan can receive benefits such as faster broadband, additional mobile data, roaming benefits and Wi-Fi extender pods. Virgin Media customers also gained access to O2 Priority benefits, including offers, ticket presales and experiences. The merger was intended to create a large-scale integrated communications provider capable of competing with BT, EE, Vodafone and Three across multiple services. It also gave the owners a platform for investment in fixed and mobile network infrastructure. Subsequent activity has included the acquisition of regional broadband operator Upp, network modernisation, further 5G deployment and plans to improve rural coverage through satellite connectivity. The company has also undertaken workforce reductions and addressed the operational challenge of integrating the two legacy businesses. Virgin Media O2 remains privately held and is not separately listed on a stock exchange. It reports as a major UK connectivity provider, with both mobile connections and fixed-line customers. Its public positioning combines Virgin Media's broadband and entertainment heritage with O2's mobile, sponsorship, retail and customer-loyalty ecosystem. The business continues to operate under both established consumer brands rather than replacing them with a single Virgin Media O2 retail identity.
History
Virgin Media O2 combines the histories of two major UK communications businesses. O2 UK began in 1983 as Telecom Securicor Cellular Radio, a joint venture between British Telecom and Securicor. The company launched the Cellnet mobile network in 1985, one of the UK's first two cellular networks. British Telecom later acquired Securicor's interest, and the operation became BT Cellnet. In 2001, BT separated its wireless activities into mmO2 plc, later known as O2 plc. The O2 brand replaced BT Cellnet in 2002, and Telefónica acquired O2 plc in 2006. Virgin Media developed from the consolidation of cable and internet operations. NTL acquired Virgin.net, an internet access provider, in 2004. NTL and Telewest completed their merger in 2006, creating a larger UK cable company. The enlarged business then acquired Virgin Mobile UK, creating a notable quadruple-play provider offering television, broadband, fixed-line telephony and mobile services. The company obtained a long-term licence to use the Virgin brand and was renamed Virgin Media in 2007. Liberty Global acquired Virgin Media in 2013. In 2020, Liberty Global and Telefónica began discussions about combining Virgin Media and O2 UK. The transaction received approval from the Competition and Markets Authority and completed on 1 June 2021. Virgin Media O2 was established as an equal joint venture, with Liberty Global and Telefónica each holding half of the company. The transaction was one of the largest UK telecommunications combinations of its period and brought together O2's mobile network with Virgin Media's fixed broadband and television infrastructure. After formation, the company concentrated on making the two businesses commercially complementary. In October 2021 it introduced Volt, a bundle of benefits for households taking Virgin Media broadband and an eligible O2 Pay Monthly service. Depending on the customer's plan, the benefits could include more mobile data, broader roaming privileges, a higher broadband speed tier and Wi-Fi extender pods. O2 Priority access was also extended to Virgin Media customers. These initiatives were intended to demonstrate the practical value of the merger rather than simply combine the corporate ownership of the brands. The company continued to reshape its operations after the merger. In 2023, Virgin Mobile UK customers were moved onto the O2 network, and Virgin Mobile ceased offering new plans and services. Virgin Media O2 also acquired Upp, a regional broadband operator in eastern England; the business was later transferred to Nexfibre in the context of the network's ownership arrangements. The company announced staff reductions during the same period, reflecting cost and integration pressures that also affected other UK telecommunications providers. In 2025, Virgin Media O2 pursued further mobile investment, including a reported £700 million transformation programme and a proposed spectrum acquisition from Vodafone. It also announced a partnership with Starlink to extend connectivity in rural locations where terrestrial mobile coverage is unavailable. The company remained a private joint venture, operating the Virgin Media and O2 brands across the UK rather than replacing them with a single consumer-facing brand. Its continuing strategy centres on converged connectivity, network investment and the integration of fixed, mobile and entertainment services.
