Overview
Victory Capital is an American investment management company headquartered in San Antonio, Texas. The company manages investment strategies and distributes financial products to institutional investors, financial advisers, retirement plans, and individual investors. Its international investment professionals and offices extend beyond the United States to London, Hong Kong, and Singapore. The business traces its institutional heritage to Cleveland Trust, a Cleveland, Ohio bank established in 1894. Cleveland Trust later developed a broader holding-company structure under CleveTrust, was renamed AmeriTrust Corporation in 1979, and received a national charter in 1983. After AmeriTrust was weakened by the real-estate downturn of the late 1980s, Society Corporation acquired it in 1991. The associated investment-management operation was organized as Society Asset Management in 1993. Following Society Corporation's merger with KeyCorp in 1994, Society Asset Management became Key Asset Management. KeyCorp also brought other investment firms into the organization, including Gradison McDonald Investments and Spears, Benzak, Salomon & Farrell. In 2001, Key Asset Management and related operations adopted the Victory Capital name, while some of the underlying businesses initially retained operational independence. A major turning point came in 2013, when Victory Capital partnered with Crestview Partners to complete a management buyout from KeyCorp. The transaction made Victory Capital an independent investment manager and included its broker-dealer affiliate, Victory Capital Advisers. At the time of the buyout, the firm managed approximately $22 billion in assets. The independent company expanded through a series of acquisitions and product initiatives. It acquired Munder Capital Management and Integrity Asset Management in 2014, bought Compass EMP in 2015 to establish an exchange-traded-fund capability, and acquired RS Investments in 2016. The Compass EMP ETF business was subsequently renamed VictoryShares. Victory Capital also expanded its investment capabilities through the Sophus Capital emerging-markets platform and additional 2021 acquisitions, including THB Asset Management, New Energy Capital Partners, and WestEnd Advisors. Victory Capital completed its initial public offering in February 2018 and began trading on Nasdaq under the ticker VCTR. In 2019, it acquired USAA Asset Management Company for approximately $850 million and moved its headquarters from Cleveland to San Antonio. The USAA investment operation was later renamed Victory Income Investors in 2023. In April 2024, Victory Capital agreed to acquire Amundi's U.S. business. The proposed combination involved a U.S. operation reported to manage approximately $104 billion in assets and employ about 480 people. Under the announced structure, Amundi would receive a 26.1% stake in Victory Capital and gain access to Victory Capital's U.S. products and client relationships. The transaction represented a further expansion of Victory Capital's scale and distribution reach in the U.S. asset-management market.
History
Victory Capital's history is rooted in the development of Cleveland-based trust and investment-management institutions. Cleveland Trust was established in 1894 with $500,000 in capital and merged with Western Reserve Trust Company in 1903. During the early 1970s, the organization created CleveTrust as a holding company, allowing it to establish affiliates across Ohio without being subject to all of the limitations that applied to individual banks. By 1977, the trust company was reported to manage $7 billion in trust funds for clients. CleveTrust adopted the AmeriTrust Corporation name in 1979. In 1983, the organization obtained a national charter, enabling it to expand beyond Ohio. The real-estate market collapse of the late 1980s weakened AmeriTrust, and Society Corporation acquired it in September 1991. The investment-management operation under Society was organized in 1993 as Society Asset Management, a registered investment adviser. Society Corporation merged with KeyCorp in March 1994. Society Asset Management was then renamed Key Asset Management. KeyCorp also owned or acquired other investment businesses, including Gradison McDonald Investments and Spears, Benzak, Salomon & Farrell. These businesses became part of the wider asset-management structure while retaining elements of their own operating identities. William G. Spears served as chairman and chief executive of Key Asset Management from 1996 to 1999. By 1999, the organization managed approximately $72 billion in assets. In 2001, Key Asset Management adopted the Victory Capital name. Gradison McDonald and Spears, Benzak, Salomon & Farrell also moved toward the Victory Capital brand, although their operations remained independently managed at that stage. This naming change created the foundation for the modern Victory Capital organization. Victory Capital separated from KeyCorp through a management buyout completed in February 2013. Crestview Partners participated in the transaction, which was valued at $246 million and included Victory Capital Advisers, the company's broker-dealer affiliate. The newly independent firm reported approximately $22 billion in assets under management at the time. After independence, Victory Capital pursued a multi-boutique expansion strategy. In October 2014 it acquired Munder Capital Management and its subsidiary Integrity Asset Management. In May 2015, the acquisition of Compass EMP added an exchange-traded-fund platform. Victory acquired RS Investments from The Guardian Life Insurance Company of America in July 2016, and the firm's emerging-markets team was rebranded as Sophus Capital. The Compass EMP ETF operation was renamed VictoryShares in January 2017. Victory Capital held its initial public offering on February 8, 2018, becoming a Nasdaq-listed company. In November of that year it announced an agreement to acquire USAA Asset Management Company for approximately $850 million. The transaction was completed in 2019, and Victory announced that it would move its headquarters from Cleveland to San Antonio, Texas. The relocation strengthened the company's connection with the USAA investment platform and its client base. The company continued to add specialized capabilities in 2021 through acquisitions of THB Asset Management, New Energy Capital Partners, and WestEnd Advisors. In 2023, the former USAA Investments operation was renamed Victory Income Investors, aligning it with the broader Victory Capital brand architecture. In April 2024, Victory Capital agreed to acquire Amundi's U.S. business. The proposed transaction involved a U.S. operation reported as managing $104 billion in assets and employing 480 people. Amundi was to receive a 26.1% stake in Victory Capital, while the combination would give Amundi access to Victory's U.S. products and clients. The agreement represented the latest stage in Victory Capital's transformation from a KeyCorp asset-management subsidiary into a publicly traded, diversified investment manager.
