Overview

U.S. Cellular was an American regional wireless communications company formed in 1983 as a subsidiary of Telephone and Data Systems, Inc. It built a mobile network concentrated in the Midwest, Northeast, South and selected rural markets, competing with nationwide carriers by emphasizing local presence, network coverage and customer service. The company operated under the legal name United States Cellular Corporation and used the U.S. Cellular brand nationally from 1999, later adopting the stylized UScellular identity in 2020. The business expanded through acquisitions, spectrum transactions and network investment. Its purchase of PrimeCo Wireless Communications in 2002 strengthened its position in the Chicago market, while later asset exchanges and market entries broadened its footprint. U.S. Cellular introduced EVDO-based mobile broadband in the late 2000s, began deploying 4G LTE in 2012, and launched commercial 5G service in Iowa and Wisconsin in 2020. It also participated in roaming arrangements and network partnerships, including a period as a network provider for Google Fi. The company was publicly traded under the ticker USM, although TDS retained a controlling economic and voting interest. Its services included voice and messaging, smartphones, mobile data, LTE and 5G connectivity, device financing and protection, business wireless services, and fixed or home-internet offerings in selected markets. The brand also maintained extensive regional sponsorships, including relationships with the Milwaukee Brewers, Green Bay Packers, state fairs, universities and community venues. U.S. Cellular's strategic position changed substantially in the 2020s. TDS announced in 2023 that it was reviewing strategic alternatives for the business. On May 28, 2024, T-Mobile US announced an agreement to acquire U.S. Cellular's wireless customers and retail locations, approximately 30 percent of its wireless spectrum, and access to more than 2,000 towers. The transaction was valued at $4.4 billion. U.S. Cellular retained other spectrum and infrastructure assets, while AT&T and Verizon separately agreed to purchase portions of its remaining spectrum holdings. The Federal Communications Commission approved the T-Mobile transaction in July 2025, and the acquisition closed on August 1, 2025. Following the closing, the U.S. Cellular identity continued in connection with the retained infrastructure and spectrum business, while customers and stores were expected to transition to T-Mobile.

History

United States Cellular Corporation was incorporated on December 23, 1983, as a subsidiary of Telephone and Data Systems. It began operations in Knoxville, Tennessee, and Tulsa, Oklahoma, before expanding through licenses, acquisitions and network construction. The company went public in 1988 and adopted the USM ticker on the American Stock Exchange. In 1999, the company refreshed its nationwide brand identity as U.S. Cellular. A major expansion came in 2002 with the acquisition of PrimeCo Wireless Communications, which helped it establish a stronger presence in Chicago. It launched Chicago service on November 22 of that year and subsequently used local marketing, including a national spokesperson relationship with Joan Cusack, to support the brand. In 2003, the company acquired naming rights to the Chicago White Sox ballpark, which became U.S. Cellular Field until the naming agreement ended in 2016. It also exchanged wireless assets with Cingular, now part of AT&T Mobility, receiving spectrum and market assets in 13 states. U.S. Cellular entered the St. Louis market in 2005. In 2008 it introduced Mobile Broadband using EVDO technology, providing substantially faster data than its earlier mobile offerings. The company later developed a 4G strategy and announced LTE plans in 2011. LTE service began in the first quarter of 2012, initially in portions of Iowa, Wisconsin, Maine, North Carolina, Texas and Oklahoma, followed by additional markets. Its LTE network relied heavily on lower-frequency spectrum, including the 700 MHz and 850 MHz bands, which supported coverage across its geographically dispersed regional footprint. The company sold several markets, including Chicago, to Sprint during the 2010s, changing the shape of its operating footprint. In 2016, Google announced that U.S. Cellular would participate in Google Fi's multi-network service alongside T-Mobile and Sprint. U.S. Cellular began VoLTE trials in 2016 and launched its first commercial VoLTE market in early 2017. It acquired millimeter-wave spectrum in an FCC auction in 2019 and announced plans for 5G later that year. Commercial 5G service launched in 2020 in parts of Iowa and Wisconsin. The company also rebranded from U.S. Cellular to UScellular and introduced an updated logo in 2020. Its network relationships continued to evolve. A prior T-Mobile roaming arrangement wound down in 2022, while roaming arrangements with AT&T and Verizon supported customer access beyond U.S. Cellular's own footprint. Google Fi ended U.S. Cellular's official network-partner status in 2023. In January 2024, UScellular shut down its 2G and 3G CDMA network and redirected spectrum toward LTE and 5G. That year, TDS said it was exploring strategic alternatives, culminating in T-Mobile's agreement to acquire most of the wireless business. The T-Mobile transaction, announced on May 28, 2024, covered U.S. Cellular's wireless customers and retail outlets and 30 percent of its wireless spectrum. U.S. Cellular retained the balance of its spectrum and its cell-site infrastructure, while T-Mobile received access to more than 2,000 towers. Separate agreements provided for AT&T and Verizon to acquire portions of the remaining spectrum. The FCC approved the transaction on July 11, 2025, and closing occurred on August 1, 2025. The post-transaction business is associated with retained wireless infrastructure and spectrum assets, while the transferred customer relationships and retail operations are being integrated into T-Mobile.
