History
United Biscuits was formed in 1948 through the merger of McVitie & Price and MacFarlane Lang, two Scottish family-owned baking companies. The company was incorporated as a public company and listed on the London Stock Exchange on 27 July 1948. Its early development reflected the consolidation of the British biscuit industry, combining established manufacturing capabilities with nationally distributed brands. The group expanded through a series of acquisitions. In 1962 it bought William Crawford & Sons, a Scottish bakery founded in Leith in 1813. In 1965 it acquired William MacDonald & Sons, bringing Penguin into the United Biscuits portfolio. Carr's of Carlisle, known for Table Water biscuits, was acquired from Cavenham Foods in 1972. These transactions strengthened the company's presence across sweet and savoury biscuit categories and added brands with regional and national recognition. United Biscuits also pursued diversification outside its traditional British biscuit base. It acquired the American Keebler Company in 1974 and owned the Wimpy fast-food restaurant chain from 1977 until 1989, when that business was sold to Burger King. In May 2000, United Biscuits was delisted from the London Stock Exchange after being acquired by Finalrealm, a consortium of financial investors, together with Nabisco Holdings Corporation. The transaction brought Nabisco's European businesses into the group but also led to a substantial reshaping of the international portfolio. Certain Scandinavian, continental European and Asian operations, along with brands and interests including TUC and a stake in Fazer Keksit, were transferred or sold as part of the restructuring. Young's Bluecrest was sold in 2001 as United Biscuits moved toward a stronger concentration on sweet biscuits. The company expanded its UK biscuit platform again in September 2004, acquiring Groupe Danone's UK Jacob's Biscuit Group. The deal added Jacob's Cream Crackers and Twiglets, among other products, and complemented the existing McVitie's and Penguin businesses. In July 2006, United Biscuits sold its Southern European biscuits operation to Kraft Foods. Later that year, MidOcean Partners sold United Biscuits to an investor consortium led by Blackstone and PAI Partners; the transaction was completed in December 2006. Under its later private-equity ownership, United Biscuits continued to operate as a major British biscuit manufacturer while reducing exposure to adjacent categories. The sale of KP Snacks to Intersnack, agreed in December 2012, further focused the portfolio. On 3 November 2014, Blackstone- and PAI-managed funds announced the sale of United Biscuits to Yıldız Holding. The business subsequently became part of pladis, Yıldız Holding's international snacking group. United Biscuits' present industrial footprint extends beyond the United Kingdom. The company has manufacturing operations in the Netherlands, France and Belgium, as well as a manufacturing site in India. Its headquarters is at Chiswick Business Park in west London, while its principal UK distribution centre is at Ashby-de-la-Zouch.
