Overview

Finanziaria Tosinvest S.p.A. is an Italian financial holding company and the central finance vehicle of the Tosinvest Group. Founded in 1988 by Antonio Angelucci, it is owned by Angelucci through the Luxembourg-based company Three, which also controls Gruppo San Raffaele. The name Tosinvest derives from the nickname of its founder, "Tonino", and the name of his first wife, Silvana Paolini. The company is headquartered in Rome and operates primarily in Italy. Tosinvest's core business spans three main sectors: real estate, finance and media, with additional activities in facility management. In real estate, the company manages a portfolio of prestigious properties, offices and healthcare facilities, both directly and through subsidiaries and affiliates. In finance, it centralizes the group's financial operations, including treasury, relationships with financial institutions and consultancy. In media, Tosinvest directly or indirectly controls the national newspapers Libero, Il Tempo and il Giornale, and previously controlled Il Riformista and the Gruppo Corriere local newspaper group. The company has a long history of investments and acquisitions. In 1998 it entered the capital of L'Unità Editrice Multimediale with a 24% stake, exiting in 2000. In 2000 it participated in the acquisition of the investment bank Cofiri from IRI, which led to stakes in MedioCredito Centrale and Capitalia, yielding a capital gain of approximately 430 million euros upon Capitalia's merger with UniCredit. In 2003 it acquired real estate and debts from the Democrats of the Left (DS), including the former PCI headquarters in via delle Botteghe Oscure in Rome. In 2006 it founded Tosinvest Editoria and TMS Edizioni (later Editoria Italia). In 2013 it acquired Gruppo Corriere S.r.l., and in 2016 it acquired Il Tempo S.r.l. In 2023 it acquired 70% of Società Europea di Edizioni S.r.l. (SEE), publisher of il Giornale, from Paolo Berlusconi's PBF S.r.l., and participated in the founding of Fast Check ID with an 18% stake. Tosinvest is a private company, not listed on any stock exchange. It is one of the most dynamic business entities active in the Italian market, with over 40 years of experience and 45 professionals according to its official website. The group's activities are mainly attributable to the parent company Finanziaria Tosinvest S.p.A., with subsidiaries in real estate, media and facility management.

History

Finanziaria Tosinvest was founded in 1988 by Antonio Angelucci. The name derives from the initials of Angelucci's nickname, Tonino, and the name of his first wife, Silvana Paolini. The company was conceived as a financial holding to manage the various activities of the Angelucci family not related to the healthcare sector, which remained under Gruppo San Raffaele. In 1998, the financial company entered the capital of L'Unità Editrice Multimediale, publisher of the newspaper l'Unità, with a 24% stake; Tosinvest had granted a bridge loan to the PDS to repay UEM's debts but exited in 2000. A second entry into the publisher's capital was planned between 2007 and 2008 through the Luxembourg company New Papers Holding, which was to acquire 82% of the shares held by AD S.r.l. for 50 million euros. A significant boost to the company's expansion came from financial investments: in 2000, the company participated in the acquisition of the investment bank Cofiri from IRI for 984.2 billion lire as part of the Dutch holding Galway (also participated by Fineldo of Vittorio Merloni and Faber Factor of Gilberto Gabrielli), which in turn controlled the company Loto to which the formal transfer took place. Through Cofiri, Tosinvest entered the share capital of MedioCredito Centrale and then Capitalia until the latter's merger with UniCredit, earning a capital gain of approximately 430 million euros from the liquidation of its stake. In 2003, the company acquired properties and debts (those owed to Capitalia) from the DS, including the former headquarters of the Italian Communist Party in via delle Botteghe Oscure in Rome, at a settlement and write-off of 50.1% for 42.6 million euros from Beta Immobiliare (a company in liquidation since May 2003 and owner of the party's properties). Two mortgages of 13 million euros each (for a total of 26 million euros) were required from Banca Popolare di Lodi (BPL) and Unipol Banca. The building in via delle Botteghe Oscure, transferred to the company Tosimmobiliare Trading, was mortgaged as security for the loan with BPL and then leased in 2022 to a joint venture between AG Group and Gruppo Rossfin (which assigned it to the Thompson brand of the US group Hyatt for the opening of a five-star hotel). In the early 2000s, the financial company was among the two owners of the newspaper Il Riformista (controlled by Claudio Velardi), of which it acquired full control in 2006. The ownership of the newspaper was strongly contested by the Autorità per le garanzie nelle comunicazioni (AGCOM), which considered the ownership of the newspapers Libero and Il Riformista as "harmful to competition" in light of the public funding received by the two publishing companies (both controlled by Tosinvest). In 2011, Tosinvest confirmed the sale of the newspaper to the cooperative Edizioni Riformiste, already publisher of the same, and then in 2019, through its subsidiary TMS Edizioni, announced its sale again to the entrepreneur Alfredo Romeo. In 2006, the subsidiary Tosinvest Editoria was founded to manage the publishing division, and in July of the same year TMS Edizioni was founded (later renamed Editoria Italia). 2007 saw the creation of Tosinvest Real Estate S.p.A., later incorporated into Finanziaria Tosinvest in 2017. On 6 September 2016, the formal agreement was signed for the acquisition of Il Tempo S.r.l. (publisher of the newspaper of the same name and in composition with creditors for about a year) from the entrepreneur Domenico Bonifaci for approximately 12.5 million euros. In 2013, it acquired Gruppo Corriere S.r.l. from Edi. B. S.p.A. (of the Cementerie Barbetti group), publisher of several local newspapers in central Italy (Corriere dell'Umbria, Corriere di Siena, Corriere di Arezzo, Corriere di Maremma, Corriere di Rieti and Corriere di Viterbo). At the end of 2022, Gruppo Corriere (except for the Rieti and Viterbo editions, which remained with Tosinvest, as well as the Grosseto edition, closed in 2015) was resold to Polimedia (a company controlled by Monte Finanziario Europeo and with partners the online university eCampus and Link Campus University). In 2023, PBF S.r.l., a company of Paolo Berlusconi, sold 70% of Società Europea di Edizioni S.r.l. (SEE), publisher of the newspaper il Giornale and, through its subsidiary il Giornale on line S.r.l., also of the corresponding digital version, to Tosinvest. Also in 2023, the financial company participated in the establishment of Fast Check ID (with an 18% stake), an IT company controlled by the investigative agency Phersei (65%) of Marzio Ferrario. Subsidiaries include, in real estate: DUE A S.r.l. (founded in 2008, active in real estate development in Rome through the Giardino di Faonte and Colle Veio projects) and Santa Lucia 2000 S.r.l. (operating in the management of commercial premises for lease). In publishing: Il Tempo S.r.l. (publisher of the newspaper).
