Overview
Silver Fern Farms Limited is a New Zealand multinational meat company and one of the country's largest exporters of red meat. Its business is built around the procurement, processing, marketing and international distribution of sheepmeat, beef and venison sourced primarily from New Zealand farmers. The company operates across the meat supply chain, with activities and investments involving livestock processing, manufacturing, transport, export logistics, meat marketing and related agricultural technology. The business was established in 1948 as the Primary Producers Cooperative Society, initially in New Zealand's South Island and with a strong focus on sheepmeat marketing. It later became known as PPCS Limited. For much of its early history, PPCS was a relatively small participant in the national meat industry, but changes in agricultural policy and industry structure during the 1970s created opportunities for expansion. The removal of subsidies, the weakening of the New Zealand Meat Board's monopoly over sheepmeat marketing and excess processing capacity allowed the cooperative to use its accumulated financial strength more aggressively. During the 1980s, PPCS expanded beyond its original limited processing base by acquiring or taking over meat-processing cooperatives and companies. Expansion began in the South Island and later extended into the North Island. In 1986, the company created Apex Limited as a holding structure through which it acquired Canterbury Frozen Meat, while also returning released asset value to farmer shareholders. The consolidation of New Zealand's meat sector continued during the 1990s. A major difficulty arose from the company's involvement with Richmond Meats. In 2006, PPCS took over the Hawke's Bay-based business in circumstances connected with a previously undisclosed investment that had begun in the late 1990s. The transaction left the cooperative carrying substantial additional debt and contributed to later financial pressure. In 2008, PPCS adopted the Silver Fern Farms name, using one of its established consumer and export brands. A proposed acquisition by PGG Wrightson subsequently collapsed during the global financial crisis. PGG Wrightson had made an unconditional offer to acquire half of the business for NZ$220 million, but could not complete the financing required for the transaction and defaulted. It paid Silver Fern Farms NZ$42 million in compensation and recorded total costs of approximately NZ$50 million after including due-diligence expenses. The company undertook a significant restructuring after accumulating losses through 2013. On 1 October 2014, it reorganised its operations into species-based business units, including newly created wholly owned subsidiaries for beef and venison. The restructuring helped restore profitability; the company reported a net profit after tax of NZ$15.4 million for 2017 and NZ$70.7 million for 2019. In October 2015, Silver Fern Farms accepted a proposal for a 50/50 investment partnership with Shanghai Maling Aquarius, a subsidiary of China's Bright Food Group. The transaction, valued at NZ$261 million and subject to regulatory approvals, was completed in late 2016. The resulting ownership structure combined the cooperative representation of approximately 16,000 New Zealand sheep, cattle and deer farmers with the capital and market connections of a major Chinese food-industry group. Silver Fern Farms markets products under the Silver Fern brand, Silver Fern Farms Premier Selection and the Grass-fed Premier Selection Reserve beef line. It operates a nationwide processing network covering facilities such as Belfast, Charlton, Dargaville, Finegand, Hāwera, Hokitika, Kennington, Te Aroha, Takapau, Pareora, Rotorua, Waitane, Waitōtara, Waitoa and Whakatu. The business has also been associated with logistics, automation, agricultural information systems and collaborative red-meat initiatives. History
Silver Fern Farms began in 1948 as the Primary Producers Cooperative Society, a South Island meat-marketing cooperative formed primarily to serve sheep farmers. The organisation later adopted the PPCS name. It remained a comparatively minor industry participant until the 1970s, when policy and market changes altered the competitive environment. The removal of producer subsidies, the New Zealand Meat Board's loss of its exclusive sheepmeat-marketing role and excess capacity in meat processing enabled PPCS to expand its commercial activities. In the 1980s, PPCS moved from a limited processing presence toward a broader national network. It took over meat-processing cooperatives and companies first in the South Island and later in the North Island. In 1986, Apex Limited was established as a holding vehicle connected with the acquisition of Canterbury Frozen Meat and the release of asset value to farmer shareholders. The cooperative remained active in the consolidation of New Zealand's meat industry during the 1990s. The company's most difficult period followed its involvement with Richmond Meats. In 2006, PPCS was compelled to take over the Hawke's Bay business after problems associated with a secret investment initiated in the late 1990s. The transaction increased the cooperative's debt burden. In 2008, PPCS changed its name to Silver Fern Farms, drawing on an established brand. A proposed purchase of half the company by PGG Wrightson collapsed when the buyer could not raise the necessary funds during the global financial crisis. PGG Wrightson paid NZ$42 million in compensation and incurred additional costs. By 2013, accumulated losses led to a major restructuring. On 1 October 2014, the business was reorganised into species-based units, including wholly owned beef and venison subsidiaries. The reorganisation was followed by a return to profitability, with reported net profit after tax of NZ$15.4 million in 2017 and NZ$70.7 million in 2019. A decisive ownership change occurred in 2015 when Silver Fern Farms agreed to a 50/50 partnership with Shanghai Maling Aquarius, a Bright Food subsidiary. The NZ$261 million transaction completed in late 2016 after regulatory approvals. The company thereafter combined farmer cooperative ownership with strategic investment from a major Chinese food group. Its activities include livestock procurement, processing, manufacturing, logistics and international meat marketing. Silver Fern Farms also has associated interests in logistics, automation, agricultural information systems and red-meat industry collaboration. The company processes beef, lamb and venison through a network of New Zealand facilities and sells branded products in domestic and overseas markets.
