Overview
SIA S.p.A. was an Italian information and communications technology company focused on payment infrastructure, banking technology, financial-market platforms, and secure connectivity. It was established in 1977 as Società Interbancaria per l'Automazione by Banca d'Italia, ABI, and a group of Italian banks to automate and modernize interbank services. Over time, it became one of Italy's principal providers of the technical infrastructure supporting payments and financial-market operations. The company played an important role in the development of Italy's interbank ecosystem. During the 1980s it created and operated the Rete Nazionale Interbancaria, or RNI, a national network connecting central-bank systems, financial institutions, data centers, payment processors, and other participants. It also contributed to the modernization of Italian payment systems following Banca d'Italia's 1987 policy framework. SIA launched Bancomat in 1983 and introduced point-of-sale payments in 1987, helping establish the infrastructure behind widespread electronic payments in Italy. SIA's activities expanded beyond domestic payment switching. In 1992, its electronic-money activities were separated into SSB, which developed payment-card, prepaid-wallet, and chip-card initiatives. In 1999, SIA merged with Cedborsa and broadened its role in the automation of Italian securities markets, including systems associated with e-MID and MTS. In the early 2000s it developed the technology platform for STEP2, a pan-European automated clearing house for euro retail payments, and supplied real-time gross-settlement platforms for central banks in several countries. The 2007 merger of SIA and SSB created SIA-SSB S.p.A.; the company adopted the shorter SIA S.p.A. name in 2011. In the following decade it pursued international expansion through network contracts, card-processing acquisitions, mobile-payment products, and central-bank projects. Its capabilities covered clearing and settlement, card issuing and acquiring, merchant terminals, ATM management, fraud and dispute services, mobile and contactless payments, financial-market technology, data management, and specialized connectivity. SIA also became a significant outsourced processor for banks. In 2016 it agreed to acquire UniCredit Business Integrated Solutions' card-processing operations in Italy, Germany, and Austria for €500 million, covering millions of cards and large fleets of payment terminals and ATMs. In 2018 it agreed to acquire First Data's card-processing activities in seven Central and Southeastern European countries for €375 million. These transactions strengthened its position as a regional payments processor. SIA's ownership included FSIA Investimenti and CDP Equity, with additional holdings by Italian banking groups and other financial institutions. The company announced a merger with Nexi in 2020. The merger deed was signed in December 2021 and became effective on 1 January 2022, integrating SIA into the enlarged Nexi payments group and ending SIA's existence as an independent company.
History
SIA was founded in 1977 by Banca d'Italia, ABI, and participating Italian banks as Società Interbancaria per l'Automazione. Its original mission was to provide shared technology for the Italian banking system. During the 1980s, the company developed the Rete Nazionale Interbancaria, linking major banking and payment-system participants, and helped implement the country's interbank-payments architecture. Bancomat was launched in 1983, followed by point-of-sale payment services in 1987. In 1992, SIA's electronic-money activities were transferred to SSB, a specialist company that worked on Bancomat and Pagobancomat cards, FASTpay, the MINIpay electronic purse, and the transition from magnetic-stripe cards to chip cards. SIA expanded into securities-market infrastructure in 1999 when it merged with Cedborsa. The enlarged business supported the automation of Borsa Italiana markets and the introduction of the e-MID and MTS wholesale-market systems. During the early 2000s, SIA developed the platform for STEP2, the first pan-European automated clearing house for euro retail payments. It also delivered real-time gross-settlement platforms for central banks and payment authorities in countries including Sweden, Norway, Egypt, and Palestine. In 2003, it helped develop Romania's interbank payment system, supporting the country's preparation for European Union membership. The merger of SIA and SSB in May 2007 created SIA-SSB S.p.A.; the company simplified its name to SIA S.p.A. in 2011. SIA then pursued major European infrastructure contracts. With Colt, it was selected in 2012 to provide network infrastructure for the European Central Bank's TARGET2-Securities environment. In 2013, the same partnership won a related central-bank network contract for large-value payments and securities settlement. SIA also incorporated its Belgian card-processing subsidiary SiNSYS and acquired Emmecom, a telecommunications-network company. The company broadened its consumer-payments activity in 2014 with Jiffy, a smartphone service for real-time transfers between contacts. It later consolidated additional subsidiaries and payment-gateway activities. In 2016, SIA acquired a majority stake in UBIQ, bought UniCredit's card-processing business in Italy, Germany, and Austria for €500 million, and formed P4cards and PforCards to manage those operations. It also developed or supported central-bank payment platforms in New Zealand and Iceland and entered partnerships for mobile wallets, digital card applications, and other payment services. In 2017, SIA marked its fortieth anniversary and reported substantial transaction volumes across clearing, cards, payments, financial markets, and network traffic. Its international card-processing footprint grew further in 2018 through an agreement to acquire First Data businesses in Greece, Croatia, the Czech Republic, Hungary, Romania, Serbia, and Slovakia for €375 million. Nicola Cordone became CEO in November 2018. SIA announced a combination with Nexi in October 2020. Nexi signed the merger deed in December 2021, and the transaction became effective on 1 January 2022. SIA consequently ceased to operate as a standalone corporate group and its activities became part of Nexi's broader payments organization.
