Overview

RSA Insurance Group is a British multinational general insurer whose corporate identity was created in 1996 through the merger of Sun Alliance and Royal Insurance. The group developed from two long-established British insurance businesses into a broad general-insurance network serving personal, commercial and specialty customers. Its activities have included motor, household, pet, travel, commercial, marine, liability and other property-and-casualty products, delivered under a portfolio of local and specialist brands. Before its acquisition, RSA was headquartered in London and had substantial operations in the United Kingdom, Ireland, Scandinavia and Canada. It also supplied insurance in many other countries through local partners and international distribution arrangements. Important brands associated with the group included More Than in the United Kingdom, Johnson in Canada, 123.ie in Ireland, Trygg-Hansa in Sweden and Insurance Corporation in the United Kingdom. More Than became particularly visible to British consumers through its direct-to-consumer home and pet insurance business and advertising featuring Lucky the Dog. The group experienced a major strategic and financial restructuring after Stephen Hester became chief executive in February 2014. The restructuring concentrated the company on core markets and reduced exposure to non-core overseas businesses. RSA sold or exited several international operations, including its Latin American insurance activities, and used disposals to strengthen its finances and simplify the group. This period followed earlier difficulties involving asbestos liabilities, historic life and annuity exposures, and other legacy obligations that had placed pressure on reserves and profitability. RSA remained a London-listed company until it was acquired by Danish insurer Tryg and Canadian insurer Intact Financial Corporation. The buyers announced a cash offer valued at approximately £7.2 billion in November 2020, in one of Europe's largest insurance takeover proposals that year. The transaction completed on 1 June 2021. Intact took the principal international RSA entity together with the Canadian and United Kingdom businesses, while Tryg assumed control of the Swedish and Norwegian operations. The Danish Codan business was initially jointly controlled and was subsequently sold to Alm. Brand in 2022. After the acquisition, the RSA name continued to be used across parts of the operating businesses, although the portfolio and market footprint changed. The company subsequently left the United Kingdom personal motor market, transferring the introduction of More Than customers to Swinton Insurance. Its Middle Eastern operations were also transferred to National Life & General in stages during 2022. In 2023, Intact announced an agreement to acquire NIG and Farmweb from Direct Line Group for £520 million, expanding the United Kingdom commercial-insurance platform associated with RSA. RSA therefore represents both a historic British insurance group and a continuing collection of operating businesses within the Intact and Tryg ownership structure.

History

RSA Insurance Group was created in 1996 when Sun Alliance merged with Royal Insurance. The combination brought together two established British insurance businesses and created a large general-insurance group with domestic and international operations. The group traded for many years under the Royal & Sun Alliance identity before adopting RSA as its principal corporate branding. The early 2000s exposed the risks associated with historic insurance liabilities and non-core financial businesses. Royal & Sun Alliance became involved in litigation concerning asbestos-related injuries among workers connected with Turner & Newall and Clyde shipyards. In 2002 the company increased its asbestos reserves by £384 million. Together with claims connected with the 11 September 2001 attacks, those charges eliminated its 2001 profit. RSA also faced substantial obligations related to guaranteed annuities and regulatory issues concerning pension mis-selling. It sold several businesses, including asset-management, offshore life and group-risk operations, and closed its life business in 2002, resulting in significant job losses. The Turner & Newall litigation continued into 2003. RSA argued that policy exclusions and the insured company's own arrangements meant it should not bear the relevant asbestos liabilities. In May 2003, the High Court ruled that RSA was liable for the compensation claims. Later that year the company sought additional capital and reduced its workforce while continuing to dispose of assets and reassess its international footprint. A new restructuring phase began after Stephen Hester became chief executive in February 2014. Management sold non-core overseas operations and sought to concentrate resources on the United Kingdom, Ireland, Scandinavia and Canada. The Latin American insurance operations were sold to Grupo Sura in 2015 for approximately £403 million. These disposals substantially reduced the size of the group while supporting a more focused operating model. RSA's consumer and commercial activities were conducted through a mixture of group brands and local subsidiaries. In the UK, More Than served direct personal-lines customers, while other businesses addressed commercial and specialist risks. The group also operated or owned prominent local brands in Canada, Ireland and Scandinavia. Its international distribution network allowed it to provide insurance in countries where it did not necessarily maintain a full operating subsidiary. In November 2020, Tryg and Intact Financial launched an approximately £7.2 billion offer for RSA. The transaction completed on 1 June 2021, after which RSA ceased to be an independent London-listed group. Intact acquired the main international RSA entity and the Canadian and UK businesses; Tryg took the Swedish and Norwegian operations. The Danish Codan business was initially shared and was later sold to Alm. Brand, with completion in May 2022. The post-acquisition businesses continued to change. RSA's Middle Eastern subsidiary was transferred to National Life & General in two transactions during 2022. In 2023, the group announced its departure from UK personal motor insurance, with More Than customers being introduced to Swinton Insurance. Later in 2023, RSA agreed to acquire NIG and Farmweb from Direct Line Group. The contemporary RSA identity is consequently best understood as a continuing insurance operating platform and brand portfolio within the ownership structures of Intact Financial and Tryg, rather than as the formerly independent public company.
