Overview

Rithm Capital is an American investment management and real estate finance company headquartered in New York. The business originated in 2013, when Newcastle Investment Corp., a real estate investment trust managed by Fortress Investment Group, separated its residential mortgage-related assets into a new publicly traded REIT called New Residential Investment Corp. New Residential was created around investments connected with mortgage servicing rights, or MSRs, and was listed on the New York Stock Exchange under the symbol NRZ. In its early structure, New Residential was externally managed by Fortress. The management agreement gave Fortress significant economic participation, including a share of funds from operations and profits from asset sales. Michael Nierenberg, formerly Bank of America's head of global mortgages and securitized products, joined Fortress in 2013 to lead the new mortgage-focused platform. Under his leadership, the company expanded beyond a narrow MSR investment strategy into mortgage origination, servicing, consumer credit, residential lending infrastructure and other real estate-related assets. The company's expansion included the acquisition of Home Loan Servicing Solutions in 2015, a large portfolio of mortgage servicing rights from Citigroup in 2017, and Mortgage Lender Shellpoint Partners later that year. It also participated in a consortium transaction involving unsecured consumer-loan forward flows from Prosper Marketplace. During the restructuring of the U.S. mortgage industry, New Residential acquired Ditech's forward mortgage business in 2019. Its operating platform Newrez subsequently agreed to acquire Caliber Home Loans from Lone Star Funds in 2021, broadening its lending and servicing capabilities. New Residential also acquired Genesis Capital from Goldman Sachs in 2021, adding a platform focused on loans to residential real-estate investors and developers. A defining corporate change occurred in June 2022. New Residential terminated its external management agreement with Fortress, paid a reported $400 million termination fee, and adopted the Rithm Capital name. The company also changed its NYSE ticker from NRZ to RITM and became internally managed. The change was intended to reduce recurring costs, estimated at approximately $60 million to $65 million annually, and to make the company more attractive to institutional investors that prefer internally managed structures. Fortress personnel supporting the business became employees of Rithm rather than remaining part of an external manager. Following the rebrand, Rithm continued to combine mortgage and real estate operations with broader alternative-investment activities. In 2023 it acquired a substantial portfolio of consumer loans associated with Goldman Sachs's Marcus consumer-lending business. It also pursued the acquisition of Sculptor Capital Management, an alternative-asset manager. After an initial agreement and a competing proposal from a consortium of investment firms, Rithm increased its offer. Sculptor and Daniel Och ultimately supported the revised transaction, and the acquisition closed in November 2023 after shareholder approval. Rithm's business identity therefore rests on two connected capabilities: acquiring and managing mortgage-related and real-estate assets, and operating or investing in platforms that originate, service or finance those assets. Its activities have included mortgage servicing rights, residential lending, loan servicing, consumer loans, real-estate investment lending and alternative asset management. The company remains publicly traded as RITM and presents itself as a diversified real estate and alternative-investment manager rather than solely as a mortgage REIT.

History

Rithm Capital's history begins with Newcastle Investment Corp., a Fortress Investment Group-managed real estate investment trust. On May 16, 2013, Newcastle separated its residential mortgage-related assets into New Residential Investment Corp. The new REIT was listed on the New York Stock Exchange as NRZ and was designed to invest primarily in mortgage servicing rights and related residential-credit assets. Fortress remained New Residential's external manager under a management agreement that provided Fortress with economic participation in the vehicle's operating results and asset-sale profits. Fortress recruited Michael Nierenberg in September 2013 to lead New Residential. Nierenberg brought experience from Bank of America, where he had led global mortgages and securitized products. During the following years, New Residential expanded its asset base and operating reach. In February 2015, it acquired Home Loan Servicing Solutions for approximately $1.3 billion. In January 2017, it bought a large portfolio of Citigroup mortgage servicing rights, covering approximately $97 billion of unpaid principal balance, for about $950 million. The transaction reflected Citigroup's decision to exit the mortgage-servicing business. New Residential also moved into consumer credit and mortgage origination. In February 2017, it joined a consortium with Jefferies, Third Point Management and Soros Fund Management to acquire unsecured consumer-loan forward flows from Prosper Marketplace. In December of the same year, it bought Mortgage Lender Shellpoint Partners for approximately $190 million. Shellpoint added mortgage-lending and servicing capabilities and became part of the broader platform later associated with Newrez. The company continued to acquire mortgage businesses during the sector's post-financial-crisis consolidation. Ditech filed for bankruptcy in 2019, and in October of that year New Residential acquired Ditech's forward mortgage business for approximately $1.2 billion. In April 2021, Newrez agreed to acquire Caliber Home Loans from Lone Star Funds for approximately $1.675 billion. The transaction would have expanded Newrez's mortgage-origination and servicing scale. New Residential also acquired Genesis Capital from Goldman Sachs in October 2021. Genesis specialized in financing real-estate investors and developers, broadening the company's exposure beyond conventional residential mortgage servicing. In June 2022, New Residential made its most important structural change. It terminated its external management agreement with Fortress, paid a reported $400 million termination fee and became internally managed. At the same time, the company adopted the Rithm Capital name and changed its NYSE ticker from NRZ to RITM. Management said the reorganization was intended to remove the costs and conflicts associated with the external structure, produce estimated annual savings of approximately $60 million to $65 million and improve access to institutional investors that avoid externally managed companies. Employees previously associated with Fortress's management of the business became permanent Rithm employees. Rithm's post-rebrand strategy retained its mortgage and real-estate foundation while increasing its emphasis on diversified credit and alternative investments. In July 2023, after Goldman Sachs closed its Marcus consumer-lending operation, Rithm acquired approximately $1.4 billion of Marcus loans. That transaction complemented its earlier consumer-credit activities and demonstrated the company's willingness to purchase portfolios from financial institutions exiting selected lending businesses. Rithm also expanded into alternative-asset management through its pursuit of Sculptor Capital Management. In July 2023, Rithm agreed to acquire Sculptor for approximately $639 million, equivalent to $11.15 per share. The proposal faced competition in August from a consortium led by Saba Capital Management and including Pershing Square Capital Management and Avenue Capital Group. Daniel Och, Sculptor's founder, expressed dissatisfaction with the initial Rithm price, arguing that it did not reflect the value of the business. Rithm raised its proposal in October to approximately $720 million, or $12.70 per share. Sculptor and Och accepted the revised transaction, while a higher consortium proposal was rejected because Sculptor determined that it carried greater execution uncertainty. The acquisition closed on November 17, 2023, following shareholder approval. Today, Rithm is best understood as a diversified real estate and alternative-investment company rather than simply a mortgage REIT. Its activities have included mortgage servicing rights, residential loan origination and servicing, consumer-loan portfolios, real-estate investment lending and alternative-asset management. The company remains publicly listed under the RITM symbol and retains the operating platforms and investment capabilities assembled during its development from New Residential into Rithm Capital.
