Overview
REC Limited, formerly known as Rural Electrification Corporation Limited, is an Indian public-sector infrastructure finance company focused on the power sector. It was established in July 1969 during a period of severe drought and deficient monsoons, when the Government of India needed to expand agricultural electricity supply and help state electricity boards energise irrigation pump sets. From that original rural-electrification mandate, REC developed into a broad lender, project appraiser, consultant, monitoring agency and policy-programme intermediary for India’s electricity infrastructure. The company provides debt and related financial support to central and state power utilities, state electricity boards, rural electric cooperatives, nongovernmental organisations and private power developers. Its work has covered rural and semi-urban household electrification, transmission and distribution networks, system improvement, pump-set energisation, intensive electrification, tribal and historically disadvantaged areas, and large generation projects. REC also undertakes financial and technical appraisal, assesses transmission and distribution investment requirements, monitors projects physically and financially, and acts as a nodal agency for selected Government of India programmes. REC’s original business was concentrated on transmission and distribution and on small generation schemes. In June 2002, its financing mandate was expanded to include generation projects without a restriction on project size or geographical location. This change enabled REC to become a more significant lender to generation developers, including private-sector borrowers, while retaining its public-policy role in electricity access. The company later broadened its infrastructure-finance scope beyond conventional power projects to areas such as airports, metro systems, railways, ports and bridges. A major part of REC’s public role has been its appointment as nodal agency for national electrification schemes. From 2005, it supported the Rajiv Gandhi Grameen Vidyutikaran Yojana, which financed rural electricity infrastructure and household connections with substantial government capital support. REC has also been associated with the SAUBHAGYA programme for household electrification. Its GARV mobile application, launched in 2015, provided real-time information on electrification progress in thousands of previously unelectrified villages and illustrated the company’s use of digital tools for programme monitoring. REC finances renewable-energy projects as well as conventional power infrastructure. Its renewable-energy activity has included solar, wind, small hydro, biomass, cogeneration and hybrid projects. The company has also participated in international development-finance arrangements, including a concessional credit line with Germany’s KfW and cooperation involving Japan International Cooperation Agency. In addition, REC is a participant in Energy Efficiency Services Limited, a joint venture of major Indian power-sector public enterprises created to implement energy-efficiency projects and promote efficient appliances and energy-service-company models. It is also an equity partner in Indian Energy Exchange. REC became publicly listed in 2008, following an initial public offering that was substantially oversubscribed, and subsequently issued additional equity in 2010. In March 2019, Power Finance Corporation agreed to acquire a controlling stake in REC, making REC a subsidiary of PFC and strengthening the connection between two major Indian public-sector power financiers. Although a merger was discussed at the time, REC has stated that a PFC–REC merger was no longer under consideration. REC was included in the MSCI Global Standard Index from September 2023. The company operates through a network of 22 regional offices and remains under the administrative control of India’s Ministry of Power. Its present positioning combines public-policy execution, utility finance and increasingly diversified infrastructure lending.
History
REC was created in July 1969 as a response to India’s rural power and agricultural-development needs. Three consecutive years of weak monsoons and drought had increased pressure to improve irrigation and agricultural production. Its initial role was to help state electricity boards energise pump sets and extend electricity infrastructure into rural areas. The company combined financing with technical appraisal, consultancy and project monitoring, allowing it to support institutions that often lacked the capacity to design and supervise large electrification programmes. During its early decades, REC concentrated on rural electrification, transmission and distribution. Its portfolio included household and area electrification, intensive electrification, system-improvement work, and schemes serving tribal and disadvantaged communities. Up to around 2000, generation lending was primarily associated with mini- and micro-generation projects of up to 25 MW. REC also established a training institution in Hyderabad in 1979, later known as the REC Institute of Power Management & Training, to develop technical and managerial skills among power-sector personnel and REC staff. India’s economic liberalisation after 1991 changed the context in which REC operated. Reforms opened parts of infrastructure and power development to private participation and created a need for institutions capable of appraising and financing increasingly complex projects. In April 2006, the Government of India identified a group of transmission projects for development through private participation and selected REC as one of two nodal agencies involved in transferring these projects to private developers. REC also began lending to manufacturers of transmission and distribution equipment. A significant mandate expansion occurred in June 2002, when REC became eligible to finance generation projects without limits based on size or location. Generation finance subsequently became an important area of growth, including lending to private-sector developers, while the company continued to finance the transmission and distribution systems needed to connect new capacity. From 2005, REC served as nodal agency for the Rajiv Gandhi Grameen Vidyutikaran Yojana, a national programme designed to build rural electricity infrastructure and provide connections to underserved households. The company later served as nodal agency for the SAUBHAGYA household-electrification programme. Its monitoring responsibilities extended beyond lending: REC tracked physical progress, evaluated financing needs and supported implementation of government schemes. REC’s capital-markets history includes its listing on the National Stock Exchange and Bombay Stock Exchange in March 2008. Its initial public offering in February 2008 involved 156.12 million equity shares and was heavily oversubscribed. A further equity issue in February 2010 added to its public-market capital. The company also developed international borrowing and development-finance relationships, including arrangements involving KfW and the Japan International Cooperation Agency, and it expanded its renewable-energy lending to solar, wind, small hydro, biomass, cogeneration and hybrid projects. REC became part of a broader public-sector energy-finance structure through the 2019 acquisition by Power Finance Corporation. PFC agreed to buy a 52.63% controlling interest for ₹14,500 crore and announced that payment had been completed later in March. Although a merger was initially contemplated, REC later stated that combining the two companies was no longer an option. REC has continued as a separate operating company and subsidiary of PFC. In the contemporary period, REC has diversified beyond its historic rural-electrification identity. Its infrastructure-finance coverage includes power generation, transmission and distribution as well as airports, metro systems, railways, ports and bridges. It is involved in Energy Efficiency Services Limited with other major Indian power public-sector companies and holds an equity position in Indian Energy Exchange. With corporate headquarters in Gurugram, a registered office in New Delhi and 22 regional offices, REC remains under the administrative control of the Ministry of Power. Its role now spans public-policy execution, utility and project finance, renewable energy, infrastructure development and technical oversight.
