Overview

Pironet NDH is a German information technology company headquartered in Cologne. Founded in 1995, it grew into a management holding that bundled specialised IT businesses across two operating segments, with a portfolio spanning consulting, software, integration and managed operations services. Its best-known software assets were the pirobase CMS and pirobase PIM products and, after the 2005 acquisition of Imperia AG, the imperia CMS. The group also operated its own data centre in Hamburg and, through Pironet NDH Datacenter GmbH, delivered ITK outsourcing, Software as a Service and cloud computing to German mid-market customers. The company listed on the Neuer Markt in 2000 and later traded in the Regulated Market. In late 2013 Cancom SE made a voluntary public takeover offer for Pironet NDH shareholders, and by the end of June 2014 Cancom held 78.1% of the shares. Pironet NDH requested the end of its Regulated Market listing in March 2015, though the stock continued to trade over the counter on the Hamburg Stock Exchange. The Imperia AG subsidiary was converted into a GmbH and renamed pirobase imperia GmbH in May 2015, then sold on 30 June 2015 to a holding company advised by Allegra Capital GmbH; since May 2023 pirobase imperia GmbH has been a subsidiary of axxessio GmbH. Pironet NDH Datacenter AG & Co. KG remained the Cologne-based IT services entity, reporting 204 average employees and consolidated revenue of EUR 42.3 million in 2014.

History

Pironet NDH was founded in 1995 with its headquarters in Cologne. The following year, 1996, saw the first release of the pirobase CMS, marking the group's early entry into enterprise content management software. In 2000 the company was listed on the Neuer Markt, the growth segment of the German stock exchange at the time. In 2005 Pironet NDH acquired Imperia AG, expanding its product portfolio with imperia CMS; in the same year the first version of pirobase PIM was released. Imperia AG, based in Cologne, remained a wholly owned subsidiary between 2005 and 2015. The group also held an interest in Prudsys AG of Chemnitz, which developed and integrated real-time analytics solutions for structured data and supplied recommendation technologies. By the early 2010s the group operated through two business segments and a management holding structure integrating three companies from different fields. Its subsidiary Pironet NDH Datacenter GmbH, headquartered in Cologne, served German mid-market customers as an ITK outsourcing provider, running business applications and ITK infrastructures under concepts such as Software as a Service and cloud computing. The group maintained its own data centre in Hamburg. Financial reporting showed a declining scale over this period: average employees fell from 406 in 2010 to 379 in 2011, 283 in 2012 and 204 in 2014, while consolidated revenue moved from EUR 55.4 million in 2010 to EUR 52.92 million in 2011, EUR 43.18 million in 2014 and EUR 42.3 million in 2014. In mid-November 2013 Cancom SE issued a voluntary public takeover offer for Pironet NDH shareholders, initially scheduled to run until 16 December 2013. By the end of June 2014, 78.1% of Pironet shares were attributed to Cancom SE. In March 2015 the company's stock exchange admission in the Regulated Market ended at its own request, although the share continued to be traded over the counter on the Hamburg Stock Exchange. In May 2015 Imperia AG was converted into a GmbH and renamed pirobase imperia GmbH. On 30 June 2015 Imperia AG was sold to a holding company advised by Allegra Capital GmbH. The renamed pirobase imperia GmbH continued to offer content management and product information management solutions, including imperia CMS, pirobase CMS and the pirobase PIM product information system, along with expertise in integrating content applications. Since May 2023 pirobase imperia GmbH has been a subsidiary of axxessio GmbH, an IT service provider focused on digital transformation.
