Overview

PhonePe is an Indian digital payments and financial services platform headquartered in Bengaluru. The company was incorporated in December 2015 by Sameer Nigam, Rahul Chari, and Burzin Engineer. Its core product is a mobile application built around India's Unified Payments Interface (UPI), the interoperable payment infrastructure administered by the National Payments Corporation of India. The app went live in August 2016 through a partnership with YES BANK and expanded digital payments beyond simple money transfers into a broad consumer-finance and merchant-services ecosystem. PhonePe became part of the Flipkart group early in its development. Flipkart acquired the company in April 2016, and PhonePe received the transfer of the FxMart prepaid-payment licence, which was subsequently associated with the PhonePe wallet. Sameer Nigam became the company's chief executive. The relationship with Flipkart gave PhonePe access to a major Indian e-commerce ecosystem while the company developed a separate identity around UPI payments, merchant acceptance, bill payments, and financial services. The PhonePe application supports transactions in 11 Indian languages. Its principal consumer functions include sending and receiving money, mobile and direct-to-home television recharges, utility-bill payments, in-store payments, and other digital-payment services. Its business has also extended into financial products and adjacent digital commerce. PhonePe has obtained regulatory authorization to operate a semi-closed prepaid payment system and has introduced services connected with international UPI payments, investments, stock broking, mutual funds, hyperlocal commerce, and mobile applications. PhonePe and Flipkart announced a partial separation in December 2020. Walmart retained majority ownership of PhonePe, while PhonePe and Flipkart began operating as separate businesses. PhonePe subsequently shifted its domicile from Singapore to India in 2022 and completed its separation from Flipkart. The change supported a more independent corporate and strategic structure while preserving Walmart's controlling interest. The company has pursued expansion beyond payments through several branded products. Pincode, introduced in 2023, is a hyperlocal shopping application built on the Open Network for Digital Commerce. Share.Market, launched through PhonePe Wealth Broking in 2023, provides stock-broking and mutual-fund investment services. In 2024, PhonePe introduced Indus Appstore, an Android-focused mobile application marketplace. These initiatives position PhonePe as a broader consumer technology and financial-services group rather than solely a wallet or payment utility. PhonePe has raised substantial private capital from General Atlantic, Ribbit Capital, Tiger Global, TVS Capital Funds, and Walmart. In 2023, disclosed fundraising included a $350 million General Atlantic investment at a reported pre-money valuation of $12 billion, followed by additional primary investments. The company converted from PhonePe Private Limited to PhonePe Limited in April 2025 as part of preparations for a possible public offering. Its principal market remains India, where it operates in a highly competitive and regulated environment alongside banks, payment companies, digital wallets, and large technology platforms.

History

PhonePe was incorporated in December 2015 by Sameer Nigam, Rahul Chari, and Burzin Engineer. It entered the market during the rapid development of India's digital-payment infrastructure, particularly the Unified Payments Interface. In April 2016, Flipkart acquired PhonePe. The transaction also involved the transfer of the FxMart licence, which was rebranded in connection with the PhonePe wallet. Sameer Nigam became chief executive as the company developed its payment application and merchant network. In August 2016, PhonePe launched a UPI-based mobile application in partnership with YES BANK. UPI allowed users to transfer money directly between bank accounts using a common national payments infrastructure. PhonePe built its consumer proposition around this capability and added mobile recharges, DTH recharges, utility payments, peer-to-peer transfers, and payments at physical stores. The application was made available in 11 Indian languages, supporting a broad domestic customer base. The company encountered a regulatory and operational dispute in January 2017. ICICI Bank blocked PhonePe transactions, stating that the service did not satisfy NPCI rules. NPCI initially instructed ICICI to permit the transactions, but reversed that instruction shortly afterward after concluding that PhonePe had breached UPI norms. Airtel also blocked transactions through its platforms during the dispute. PhonePe stopped operating on Flipkart's website to comply with the revised position and reported resolution of the issues with ICICI and Airtel by February 2017. PhonePe remained closely associated with Flipkart while expanding its own platform. In December 2020, Flipkart and PhonePe announced a partial separation. Walmart continued to hold majority ownership in PhonePe, but the two businesses were organized to operate independently. PhonePe moved its domicile from Singapore to India in 2022 and completed its separation from Flipkart, creating a more distinct corporate structure under Walmart's ownership. Expansion continued beyond domestic payments. In 2022, PhonePe introduced international UPI payments, allowing Indian users traveling abroad to use UPI at participating foreign merchants. The company also obtained Reserve Bank of India authorization to operate a semi-closed prepaid payment system. These developments extended PhonePe's role from an application layer for bank transfers into a regulated payments and financial-services business. PhonePe raised new private capital during 2023. General Atlantic invested $350 million at a reported pre-money valuation of $12 billion. Additional primary capital came from Ribbit Capital, Tiger Global, TVS Capital Funds, Walmart, and General Atlantic. The company used its scale in payments as a base for adjacent services. Pincode, launched in April 2023, targeted hyperlocal commerce through the ONDC network. Share.Market, introduced in August 2023 through PhonePe Wealth Broking, entered stock broking and mutual-fund investments. In February 2024, PhonePe launched Indus Appstore, broadening its ambitions into mobile application distribution. In April 2025, the company converted from PhonePe Private Limited to PhonePe Limited. The change was described as part of preparations for a possible initial public offering. PhonePe's continuing business scope combines consumer payments, merchant acceptance, prepaid instruments, financial products, investments, digital commerce, and mobile technology. Its principal competitive and regulatory arena remains India, where UPI-based payments are offered by banks, fintech companies, wallets, and large digital platforms.
