Overview

Panmure Gordon was a London-based investment bank with roots stretching back to 1876. The firm began as Gordon & Co., founded by Harry Panmure Gordon, and initially concentrated on arranging debt offerings for foreign governments. It later developed a significant brokerage and corporate-finance practice, including work for British and American brewing companies and, over time, a broader range of listed businesses. The business remained relatively small compared with major universal banks, but its longevity and specialization gave it a durable position in the City of London. It operated as a broker, research provider, investment bank and sales-and-trading platform, distributing investment ideas and securities to clients in the United Kingdom, continental Europe and the United States. Its principal client base consisted of small and mid-cap public companies, for which it provided corporate broking, equity capital-markets services, fund-raising, mergers and acquisitions advice, nominated-adviser and broker services, research and institutional sales. Panmure Gordon's ownership changed several times during the modern era. It was acquired by NationsBank in 1987, later became part of WestLB, and was sold by WestLB to Lazard in 2004. In 2005, Lazard combined it with the listed brokerage business Durlacher. That transaction restored a degree of independence while leaving Lazard with a minority holding, and the enlarged company traded on London's Alternative Investment Market. Panmure Gordon subsequently expanded its capabilities through a financing joint venture with Bank of Scotland and the acquisition of United States investment bank ThinkEquity Partners. During the global financial crisis, the company sought outside capital. BlueGem Capital Partners initially provided new funding, but QInvest, Qatar's major investment bank, subsequently became the strategic investor and acquired a substantial stake in 2009. In 2017, Panmure Gordon was acquired by Ellsworthy Limited, an entity controlled by QInvest LLC and a subsidiary of a fund managed by Atlas Merchant Capital. Rich Ricci became chief executive in 2020 and led the firm during its final period as a standalone business. The company employed approximately 150 people and was headquartered at 40 Gracechurch Street in London. On 1 July 2024, Panmure Gordon merged with Liberum Capital to form Panmure Liberum. The combined business moved to Ropemaker Place, and Panmure Gordon ceased operating as a separate standalone brand. Its legacy is therefore that of a specialist British investment bank whose business model centered on research-led corporate broking and capital-markets advice for smaller listed companies.

History

Panmure Gordon traces its origins to 1876, when Harry Panmure Gordon established Gordon & Co. in London. The firm was later renamed H. Panmure Gordon & Company. Its earliest business focused on debt offerings for foreign governments, reflecting the international character of late-nineteenth-century London finance. It also handled securities offerings for industrial and brewing companies, including the San Francisco Brewing Company in 1890. Gordon himself was a prominent member of London's financial community and published Land of the Almighty Dollar in 1892, a critical examination of the United States and its major commercial centers. For much of its early history, the firm remained a small but influential broker, particularly in dealings connected with foreign governments. Unlike many City firms, it largely avoided the extensive consolidation that reshaped British financial services during the 1960s and 1970s. Its principal acquisition in that period was Windsor & Mabey in 1961. The business retained its specialist character while larger financial institutions expanded around it. A major change came in 1987, when Panmure Gordon was acquired by NationsBank, an institution that later became part of Bank of America. This ended more than a century of independence. In 1996, the firm was sold to German bank WestLB. Its performance subsequently weakened as WestLB encountered broader difficulties in the late 1990s and early 2000s. As part of WestLB's restructuring, Panmure Gordon was sold to Lazard in 2004. Lazard paid a nominal amount reported as $18 million for the business, although the figure is not treated here as a current financial measure. In February 2005, Lazard combined Panmure Gordon with Durlacher, a small listed brokerage that had suffered losses after attempting to build a venture-funding operation during the dot-com era. The enlarged company again operated with an independent identity. Lazard retained a 33% interest, while Panmure Gordon was listed on the London Stock Exchange's Alternative Investment Market. The firm pursued selective expansion after the Durlacher combination. In 2006 it formed Panmure Capital, a joint venture with Bank of Scotland intended to provide financing to companies approaching initial public offerings on AIM. In March 2007, it acquired ThinkEquity Partners, a United States investment bank, broadening its reach beyond the United Kingdom. By 2007, Lazard had sold its remaining interest. The global financial crisis created a new need for capital. In April 2009, Panmure Gordon announced a £17.3 million cash injection from BlueGem Capital Partners. A higher bidder subsequently emerged, and on 6 August 2009 the company announced completion of the sale of a 47.1% stake to QInvest, described as Qatar's largest investment bank. QInvest became a strategic investor and later participated in the ownership structure that led to the 2017 acquisition by Ellsworthy Limited, an entity controlled by QInvest LLC and an investment fund managed by Atlas Merchant Capital. In its final standalone phase, Panmure Gordon operated as a specialist investment bank providing corporate broking, capital raising, advisory, research, sales and trading. Its principal clients were small and mid-cap listed companies, and its distribution network covered the United Kingdom, Europe and the United States. The firm was headquartered at 40 Gracechurch Street in the City of London, employed approximately 150 people and was led from 2020 by chief executive Rich Ricci. On 1 July 2024, Panmure Gordon merged with Liberum Capital. The new business was named Panmure Liberum and moved to Ropemaker Place, 25 Ropemaker Street, London. The merger ended Panmure Gordon's existence as a separate operating firm and marked the transition of its specialist corporate-broking franchise into the combined investment bank.
