Overview

Noble Energy, Inc. was an independent exploration and production company focused on finding, developing, producing and selling crude oil, natural gas and natural gas liquids. Its corporate history traced back to Samedan Oil Corporation, founded in 1932 by Lloyd Noble. The name Samedan was derived from the names of Noble's children, Sam, Ed and Ann. The business initially developed onshore oil and gas interests and later expanded into offshore exploration, becoming part of a broader corporate structure that included Noble Affiliates and Noble Drilling. Noble Affiliates became a public company through a 1972 initial public offering and first listed on the New York Stock Exchange in 1980. The company broadened its portfolio through acquisitions, divestitures and exploration programs across North America and international offshore regions. It changed its name to Noble Energy in 2002, reflecting a wider energy business that at the time also included methanol and electricity interests. The company relocated its headquarters from Ardmore, Oklahoma, to Houston, Texas, during the 2000s and subsequently operated from a substantial Houston office presence. In the United States, Noble Energy developed positions in several important hydrocarbon regions. Its principal domestic assets included the Wattenberg and Denver Basin areas in Colorado, the Delaware Basin and the Eagle Ford Group. Acquisitions such as Patina Oil & Gas, Rosetta Resources and Clayton Williams Energy expanded its Rocky Mountain, Eagle Ford and Permian Basin positions. Noble also bought and sold assets in the Gulf of Mexico, the Mid-Continent, the Marcellus Shale and the Bakken Formation as it adjusted its portfolio toward areas it considered strategically attractive. The company's most consequential international business developed in the Eastern Mediterranean. Noble discovered the Leviathan natural-gas field offshore Israel in 2010 and held a major working interest in the project. It also held an interest in the Tamar gas field and participated in regional gas commercialization, including sales to Israel, Jordan and Egypt after domestic contractual obligations were met. Noble held exploration acreage connected with the Aphrodite gas field offshore Cyprus and maintained interests in oil fields offshore Equatorial Guinea, Cameroon and Gabon. Noble's activities included exploration drilling, field development, production operations, transportation arrangements and marketing of hydrocarbons. Its proved reserves at the end of 2018 were reported as 1,929 million barrels of oil equivalent, with natural gas representing the largest component. The portfolio was geographically divided among the United States, Israel and Equatorial Guinea, although the company's asset mix changed through subsequent transactions. After moving its share listing from the New York Stock Exchange to the Nasdaq Global Select Market in December 2019, Noble Energy was acquired by Chevron in October 2020. The acquisition ended Noble Energy's existence as an independent publicly traded company. Its assets and operations became part of Chevron's upstream portfolio, making Noble Energy a defunct standalone corporate brand rather than an active independent operator.

History

Noble Energy's origins lay in Samedan Oil Corporation, established in 1932 by Lloyd Noble. The name Samedan combined the names of three of Noble's children. The company built its early business around hydrocarbon exploration and production and later expanded into offshore activity. In 1968, it acquired its first offshore block in the Gulf of Mexico, marking an important step beyond its earlier onshore base. During the 1970s, Noble Affiliates, Inc. was organized as a holding company for Samedan Oil Corporation and Noble Drilling Corporation. Noble Affiliates went public in 1972 through an offering on the newly established Nasdaq system and later received a New York Stock Exchange listing in 1980 under the symbol NBL. In 1985, it separated Noble Drilling through a spin-off. The company also acquired Energy Development Corporation in 1986. Noble Affiliates announced in 2000 that it would move its headquarters from Ardmore, Oklahoma, to Houston, Texas. Charles Davidson became president and chief executive officer that year. By 2002, the company had broadened its activities into methanol and electricity production and adopted the Noble Energy name. Although the company continued to describe itself primarily through exploration and production, its operating history thereafter was shaped by repeated portfolio changes and a combination of domestic and international growth. The acquisition of Patina Oil & Gas in 2005 gave Noble Energy additional Rocky Mountain acreage. The company sold Gulf of Mexico assets in 2006 while continuing to explore offshore, including a significant Raton prospect announcement. It later acquired Denver-Julesburg Basin assets from Petro-Canada and Suncor Energy in 2010. That year also brought the discovery of the Leviathan gas field offshore Israel, one of the defining events in the company's modern history. Noble subsequently became a major participant in the development and commercialization of Eastern Mediterranean gas, including interests in Leviathan and Tamar and exploration acreage offshore Cyprus. Noble continued to pursue deepwater opportunities in the Gulf of Mexico. Its Deep Blue exploration well in 2010 reached more than 32,000 feet, and in 2011 the company received the first deepwater drilling permit issued by the United States Department of the Interior after the moratorium associated with the Deepwater Horizon disaster. The company moved into a large Houston office facility in 2012 and sold Mid-Continent assets that year as part of continuing portfolio management. International development remained important. Noble announced plans in 2014 to support an energy-technician training center at Israel's Ruppin Academic Center. In the United States, it acquired Rosetta Resources in 2015, adding Eagle Ford acreage, and acquired Clayton Williams Energy in 2017, strengthening its Delaware Basin position. It also divested Marcellus midstream and shale assets in 2017. The company sold part of its Tamar interest in 2018, sold additional Gulf of Mexico assets, and acquired interests in the Eagle Ford and Bakken formations. Noble's reported reserve base at the end of 2018 totaled 1,929 million barrels of oil equivalent. Approximately 52 percent was in the United States, 43 percent in Israel and 5 percent in Equatorial Guinea. Natural gas represented 62 percent of proved reserves, natural gas liquids 14 percent and petroleum 24 percent. The company changed its stock-market venue from the New York Stock Exchange to Nasdaq in late 2019. In October 2020, Chevron acquired Noble Energy. The transaction brought Noble's upstream assets into Chevron and concluded Noble Energy's life as an independent company.

Products and positioning

Independent exploration and production company with a portfolio spanning United States onshore hydrocarbons and international offshore natural-gas developments, particularly in the Eastern Mediterranean.

  • Hydrocarbon production

    Crude oil

Crude oil was one of Noble Energy's principal produced hydrocarbons. The company held oil interests in United States onshore basins, including the Delaware Basin, Eagle Ford Group and Bakken Formation, as well as offshore African fields. Oil was marketed as part of the company's upstream exploration and production business.

  • Hydrocarbon production

    Natural gas

Natural gas became the largest component of Noble Energy's proved reserves. The company produced and commercialized gas from United States assets and major Eastern Mediterranean developments, particularly Tamar and Leviathan offshore Israel. Regional sales also reached Jordan and Egypt after satisfying contractual obligations in Israel.

  • Hydrocarbon production

    Natural gas liquids

Natural gas liquids formed part of Noble Energy's proved-reserve and production mix. They were recovered alongside natural-gas operations in the company's United States upstream portfolio and marketed as hydrocarbon products rather than as a separate consumer-facing brand.

  • Offshore natural-gas development · 2010

    Leviathan gas development

Leviathan was Noble Energy's signature Eastern Mediterranean discovery. Located offshore Israel, the field became the basis for a major regional gas-development and export program. Noble held a substantial working interest and participated in arrangements to supply gas to Israel and neighboring markets.

  • Offshore natural-gas development

    Tamar gas interests

Tamar was another important offshore Israeli gas asset in which Noble Energy held a working interest. The company participated in its production and commercialization before selling part of its interest in 2018.
