Overview
Nihon Form Service Co., Ltd. (日本フォームサービス株式会社), often branded as FORVICE, is a Japanese manufacturer and seller of IT infrastructure, storage, security, and disaster-prevention products. It was founded on October 3, 1956, in Minato-ku, Tokyo, by Takayuki Yamashita, originally to manufacture and sell office equipment. Over the decades it shifted its focus toward AV-related products, storage and security equipment, and disaster-related products, and today it is known for 19-inch racks, server-room facility products, digital signage, medical device support products, environmental and energy products, and security and disaster-prevention products. The company is headquartered in Kameido, Koto-ku, Tokyo, with a factory in Chiba Prefecture (Yokoshibahikari, Sanbu District) and a Kansai sales office and showroom in Osaka. Its products include the ICEraQ® series of liquid immersion cooling systems, developed under a license agreement with US-based Green Revolution Cooling (GRC), as well as large LED displays, earthquake countermeasures, and key management systems. It also operates the BiSCaOWater online shop and a data center solutions site. Nihon Form Service was listed on the over-the-counter market (later JASDAQ) in 1997. In 2019 it became subject to a special supervision designation by the Tokyo Stock Exchange following an accounting misconduct investigation, and in 2021 it was taken private through a tender offer by NFS Co., Ltd., a company led by founder's grandson Shugo Yamashita. It was delisted from JASDAQ on April 26, 2021, and became a wholly owned subsidiary of NFS on April 28, 2021. Its former care-business subsidiary was transferred to Forvice Life Co., Ltd. in 2022, marking its withdrawal from the nursing-care business. Today the company positions itself around the slogan of turning ideal "wouldn't it be nice if..." ideas into standards, and it emphasizes a 70-year history of trust and achievement. It serves data center, medical, and industrial customers with enclosure design and related solutions.
History
Nihon Form Service Co., Ltd. was founded on October 3, 1956, in Minato-ku, Tokyo, by Takayuki Yamashita, with the purpose of manufacturing and selling office equipment. In 1956 it produced visible recorders and magnetic tape storage cabinets. In 1960 it opened the Itabashi Factory in Itabashi-ku, Tokyo, which was closed in 1963 and replaced by the Hirai Factory in Edogawa-ku, Tokyo. The head office moved to Edogawa-ku in 1969. In 1978 the company launched a magnetic tape (MT) storage robot and developed a static electricity removal device (patented) and a fall prevention device (utility model). In 1990 it built and moved its head office to Kameido 4-chome, Koto-ku, Tokyo. In 1992 it entered the silver (senior) equipment field through a business alliance with American Golden Technologies. In 1994 it formed a business alliance with US-based Ergotron for the manufacture and sale of monitor racks ("Monicon Rack"). In 1995 it began development and sales of products for IDCs (Internet Data Centers) and launched 19-inch racks; it also closed the Hirai Factory and opened the Chiba Factory in Yokoshibahikari, Sanbu District, Chiba Prefecture. In 1996 it began developing and selling products for office efficiency based on ergonomics, such as LCD monitor arms and mobile work stands. In 1997 the company listed its shares on the over-the-counter market (later JASDAQ). In 1999 it obtained ISO 14001 certification (Chiba Factory) and entered the nursing-care business. In 2002 it obtained ISO 9001 certification. In 2003 it established Forvice Techno Co., Ltd. in Kagoshima Prefecture. In 2005 it entered the digital signage field, leveraging its mounting solution technology. In 2011 it began selling steel bases for solar panel installation. In 2013 it established Forvice Link Co., Ltd., a wholly owned subsidiary engaged in electrical construction. In 2014 it received a Good Design Award. In 2016 it celebrated its 60th anniversary. In 2017 it moved its head office to Kameido 6-chome, Koto-ku. In 2019, following external allegations of improper accounting, the company set up a third-party committee on April 5, which reported on June 21 that there had been intentional accounting manipulation recognized by management, improper accounting treatment, and concentration of authority in then-President Takehide Yamashita. On June 26 the company filed corrected reports with the Kanto Local Finance Bureau covering the fiscal year ended September 2014 through the first quarter of the fiscal year ended September 2019. It was revealed that the company had submitted false securities reports for the fiscal years ended September 2016 and 2017, reporting profits despite actual losses. On August 8, 2019, the Tokyo Stock Exchange designated the shares as a special supervision issue (特設注意市場銘柄) due to the lack of an established internal control system. The company abolished shareholder benefits from the end of September 2019, and on September 26, 2019, President Takehide Yamashita resigned and was replaced by Tayasu Saito, then president of Forvice Techno Co., Ltd. On December 26, 2019, the company announced an improvement plan including banning former President Yamashita from its head office and sales offices, but on November 13, 2020, the Tokyo Stock Exchange decided to continue the special supervision designation, citing that the former president's influence had not been eliminated and that persons involved in the accounting fraud were still involved in management. Because former President Takehide Yamashita continued to refuse to transfer his shares to third parties, NFS Co., Ltd., led by Shugo Yamashita (grandson of founder Takayuki Yamashita), announced on December 23, 2020, that it would make a tender offer to make Nihon Form Service a wholly owned subsidiary. The tender offer succeeded on February 11, 2021. Nihon Form Service was delisted from JASDAQ on April 26, 2021, and became a wholly owned subsidiary of NFS on April 28, 2021, through a share consolidation. On June 30, 2021, it absorbed NFS Co., Ltd. On February 1, 2022, its nursing-care business was transferred to Forvice Life Co., Ltd., and all shares of Forvice Life were transferred to Cascade Tokyo Co., Ltd., marking its withdrawal from the nursing-care business. In 2020 the company signed a license agreement with US-based GRC and began selling the 24U liquid immersion cooling unit "ICEraQ® MicroJapan Edition." In 2021 it participated in a demonstration experiment toward realizing a small data center using the ICEraQ® liquid immersion cooling unit. In 2023 it opened the BiSCaOWater online shop and a data center solutions site. In 2024 it carried out design, planning, and construction of a facility compliant with NIST standards, opened "FORVICE Business Center 171," opened an Osaka showroom at its Kansai sales office, and temporarily relocated its head office due to rebuilding of the head office building (Kameido 6-chome, Koto-ku).
