Overview
Nexperia B.V. is a semiconductor manufacturer headquartered in Nijmegen, the Netherlands. It develops and produces high-volume, relatively fundamental semiconductor components that are combined with more complex integrated circuits to form electronic systems. Its portfolio includes bipolar transistors, diodes, Schottky and rectifier devices, electrostatic-discharge and transient-voltage protection, electromagnetic-interference filters, MOSFETs, gallium nitride and silicon-carbide power devices, insulated-gate bipolar transistors, load switches, logic devices, LED drivers and electronic fuses. These products are used across automotive electronics, power conversion, industrial equipment, mobile devices, communications hardware and consumer products. The company became independent on 6 February 2017 after NXP Semiconductors separated its Standard Products business. That business inherited manufacturing assets, engineering capabilities and product families with roots in Philips Semiconductors. The historical manufacturing network includes semiconductor operations in Nijmegen and Hamburg, the former Mullard facility at Hazel Grove in Greater Manchester, a plant in Cabuyao in the Philippines and facilities in Malaysia and China. Nexperia therefore combines a relatively young corporate identity with industrial operations that trace back many decades. Nexperia was initially owned by a consortium including JAC Capital and Wise Road Capital. In October 2018, Wingtech Technology acquired the company in a transaction reported at approximately US$3.6 billion. Wingtech is a Shanghai-listed Chinese technology manufacturer with partial ownership links to state-backed entities. The ownership structure later became central to regulatory scrutiny in the United Kingdom and the Netherlands, particularly concerning semiconductor technology, supply-chain resilience and the transfer of manufacturing and intellectual property. Nexperia operates front-end wafer facilities in Hamburg, Germany, and Greater Manchester, England, and assembly and testing operations in China, Malaysia and the Philippines. Its research and development footprint includes the Netherlands, Germany, the United Kingdom, the United States, Malaysia, Japan and China. The company has expanded beyond traditional discrete products through power-management technology, energy-harvesting integrated circuits obtained through its acquisition of Nowi, and newer power semiconductor families based on silicon carbide and gallium nitride. Its corporate history has also been marked by substantial geopolitical and operational controversy. The proposed divestment of Nexperia's majority interest in the Newport wafer facility was ordered by the UK government in 2022 on national-security grounds, leading to a sale to Vishay Intertechnology. The acquisition of Dutch power-management company Nowi was separately reviewed and later approved by the Dutch government. In 2023, reports connected Nexperia components with Russian military equipment despite sanctions related to Russia's invasion of Ukraine. In 2024, the company experienced a ransomware incident involving theft of intellectual property, while labor disputes were reported at its Philippine operation. In October 2025, the Dutch government temporarily intervened in Nexperia's governance under the Goods Availability Act, citing national and European economic-security concerns. The intervention was suspended in November 2025, although the episode was followed by disputes over product exports from China, supply to European automotive customers and Wingtech's legal challenges. Nexperia remains an active global supplier, but its ownership, manufacturing geography and strategic importance place it at the intersection of semiconductor commerce and national-security policy.
History
Nexperia's industrial heritage reaches back to the European semiconductor activities of Philips. Philips' acquisition of Mullard brought the Hazel Grove facility in Greater Manchester into the historical production lineage, while Valvo connected the business to semiconductor operations in Hamburg. Philips began semiconductor production in Nijmegen and Hamburg during the early postwar period. A plant in Cabuyao, Philippines, was opened in 1981, and Philips established ITEC in 1991 as a semiconductor-equipment manufacturer. Philips and Motorola later created a semiconductor miniature-products joint venture in Seremban, Malaysia, which ultimately became part of Nexperia's manufacturing heritage. In 2006, Philips separated its semiconductor division as NXP Semiconductors and sold an 80.1 percent stake to private-equity investors. NXP subsequently became a public company through a 2010 Nasdaq initial public offering. In 2016, NXP announced the sale of its Standard Products business to a consortium consisting of JAC Capital and Wise Road Capital. The transaction closed on 6 February 2017. The new Nexperia inherited the Standard Products portfolio, management organization, manufacturing assets and approximately 11,000 employees associated with the transferred business. Wingtech Technology acquired Nexperia in October 2018. The deal gave Wingtech a major semiconductor manufacturing platform while making Nexperia part of a broader Chinese technology group. Because Nexperia supplied strategically important components and maintained European manufacturing and research assets, its ownership later attracted increased scrutiny from governments concerned about technology transfer and supply-chain dependence. Nexperia expanded its manufacturing and technology base during the early 2020s. In 2021, it purchased the former Inmos microprocessor facility in Newport, Wales. In November 2022, the UK government ordered Nexperia to sell 86 percent of its interest in the Newport facility, citing national-security concerns. Nexperia sought judicial review and later agreed to sell the site to Vishay Intertechnology for US$177 million. The UK approved that acquisition in March 2024. Nexperia also acquired Nowi, a Delft-based developer of power-management integrated circuits, in November 2022. Dutch authorities investigated the transaction on security grounds and approved it in November 2023. The company continued developing products in power and energy management. Its portfolio expanded to include silicon-carbide Schottky diodes, gallium-nitride FETs, newer MOSFET families, LED drivers, low-loss 600 V IGBTs and energy-harvesting power-management chips. The first Nexperia energy-harvesting product associated with Nowi technology, the NEH2000BY, was released in April 2023. In July 2024, Nexperia introduced the NPS3102 e-Fuse family, designed to provide resettable protection rather than the one-time operation of conventional fuses. Nexperia also faced a series of operational, labor and geopolitical controversies. In January 2023, reports linked its components to Russian military equipment, including a Kh-101 missile, during the period of sanctions related to Russia's invasion of Ukraine. In March 2024, a ransomware attack affected company servers and was reported to have exposed intellectual property. At the Philippines operation, union organizations reported dismissals and alleged interference with labor organizing, while Nexperia stated that four union officials had obstructed factory entrances and exits. In October 2025, the Dutch government temporarily took control of Nexperia's governance using the Goods Availability Act. Officials cited concerns about national security, European economic security, possible movement of operations to China and the protection of semiconductor intellectual property. The action produced a wider supply-chain dispute: Chinese authorities restricted exports of products packaged by Nexperia in China, and European automotive companies reportedly experienced shortages or limited deliveries. The Dutch intervention was suspended on 19 November 2025, but disputes continued. Wingtech challenged the Dutch action in the Netherlands, and subsequent legal proceedings addressed alleged mismanagement and claimed losses. These events left Nexperia as both an operating semiconductor manufacturer and a prominent case in debates about foreign ownership, strategic technology and European supply-chain sovereignty.
