Overview

New World China Land was the mainland China real-estate arm of Hong Kong conglomerate New World Development. The business was incorporated in the Cayman Islands in 1996 and registered in Hong Kong in 1999 before being spun off as a separately listed company on 16 July 1999. Its portfolio covered property development and investment in mainland China, including residential, commercial, integrated-use and hotel-related projects. The company operated within the wider New World Development group, a Hong Kong blue-chip property group that later became part of the Chow Tai Fook business family. The company’s scope extended beyond conventional property development. Through New World Hotel Management (BVI) Limited, trading as New World Hospitality, it acquired Rosewood Hotels & Resorts in 2011 for US$229.5 million. The hospitality platform was renamed Rosewood Hotel Group in 2013, and its brand portfolio included Rosewood as well as New World and penta hotels. In July 2015, New World China Land sold the hotel-management business and its subsidiaries to Chow Tai Fook Enterprises for HK$1.96 billion, separating the hospitality platform from the China property business. New World China Land also undertook portfolio disposals as part of the group’s capital and asset-management strategy. In December 2015, it sold three property portfolios to Evergrande Group for RMB13.5 billion. The following year, New World Development completed the privatization of New World China Land, ending its separate public-market identity and returning the business to the parent group. Although the listed company was privatized, the New World China name continued to appear in selected mainland China projects associated with New World Development. The business’s legacy therefore combines a period as an independent listed developer with its continuing role as a project and property platform within the broader New World group. Its public profile has also included corporate social responsibility activity: in January 2020, New World China Land announced a RMB10 million donation to support the response to the COVID-19 outbreak, while related New World and K11 initiatives supported hospitals and medical-supply deliveries in Wuhan.

History

New World China Land originated as the mainland China property business associated with New World Development, the Hong Kong property conglomerate. The legal entity was incorporated in the Cayman Islands on 28 August 1996 as New World China Limited. It was subsequently registered in Hong Kong as a non-Hong Kong company on 17 May 1999. On 16 July 1999, it became a separately listed company under the name New World China Land Limited, holding the China-focused portion of New World Development’s real-estate operations. During its independent listed period, the company developed and invested in mainland Chinese property assets. Its activities included residential and commercial developments, integrated urban projects and hotels. The company’s hospitality interests were distinct from the former New World Hotels (Holdings) structure but became strategically important through New World Hotel Management (BVI) Limited, which traded as New World Hospitality. In 2011, that subsidiary acquired Rosewood Hotels & Resorts for US$229.5 million. The hospitality platform was renamed Rosewood Hotel Group in 2013 and carried Rosewood alongside the New World and penta hotel brands. New World China Land later reorganized its asset base. In July 2015, it sold the hotel-management business and its subsidiaries to Chow Tai Fook Enterprises for HK$1.96 billion. The transaction transferred the Rosewood, New World and penta-related hotel operations to the wider Chow Tai Fook business group. In December of the same year, New World China Land sold three property portfolios to Evergrande Group for RMB13.5 billion. These transactions reduced the company’s directly held and managed assets and formed part of the wider group’s portfolio-management activity. In 2016, New World Development privatized New World China Land. The transaction ended the company’s separate Hong Kong-listed status and brought it back under the parent’s control. The New World China identity nevertheless continued to be used for certain projects after privatization. One cited example is the Wuhan Chow Tai Fook Finance Centre, associated with the New World China development legacy. New World Development also retained China-focused subsidiaries and sold or reorganized selected hotels in subsequent years. The company has also appeared in corporate philanthropy and emergency-response activity. On 27 January 2020, New World China Land announced a RMB10 million contribution to efforts addressing the COVID-19 outbreak. Related initiatives announced by K11 and other New World-affiliated entities supplied funds and medical equipment to Wuhan hospitals, including deliveries of surgical masks. These activities illustrate the continuing public-facing role of the New World China name even after the company ceased to be separately listed.
