History
Network18 began with the incorporation of SGA Finance and Management Services in February 1996. The dormant company was later acquired by the promoters of Television Eighteen India Limited, founded by Ritu Kapur and Raghav Bahl. Television Eighteen became a public company in 1999, and its capital-raising and ownership structure became important when Indian broadcasting rules required greater Indian promoter participation for certain news-channel operations. To address those regulatory conditions, the group created SGA News and reorganized its holdings around the CNBC relationship. CNBC Awaaz launched in January 2005 as a Hindi business-news service under a content-branding and franchise model. In parallel, Global Broadcast News formed a franchise partnership with CNN Worldwide and launched CNN-IBN in December 2005. The restructuring concluded in 2006, when SGA Finance was renamed Network18 Fincap, later becoming Network18 Media & Investments. Network18 became a public company in 2006 and was listed on the Bombay Stock Exchange and National Stock Exchange in 2007. From 2007 through 2011, the group pursued aggressive diversification. It developed television news, business information and websites, including Moneycontrol, while entering film production, home shopping, magazine publishing and general entertainment. By 2011, accumulated debt and weak advertising conditions created a serious financing crisis. Network18 entered discussions with Reliance Industries, leading to an arrangement announced in January 2012. Reliance funded Network18 and TV18 Broadcast through structures involving the Independent Media Trust and convertible debentures. The transaction also required Network18 to acquire interests in ETV-related broadcasters. The arrangement was completed in 2013 and ultimately enabled Reliance to convert its instruments and obtain majority control. The ownership transition was accompanied by internal controversy. Haresh Chawla resigned as chief executive in 2011, reportedly because he opposed the financing arrangement. In August 2013, Network18 implemented extensive layoffs and pay reductions, particularly in its news operations.
