Overview

National Bank of Canada, commonly branded as National Bank, is one of Canada's six largest commercial banks and the country's largest bank by Quebec market presence. Established in 1859 as Banque Nationale, it was created by francophone business interests seeking a locally controlled financial institution, although anglophone investors also participated in its original capitalization. The bank survived the banking pressures associated with the financial panics of 1873 and 1884 and later faced renewed strain during the Great Depression. In the 1930s, a legislatively supported combination with Banque d'Hochelaga produced Banque Canadienne Nationale, or Canadian National Bank. The modern National Bank emerged from the 1979 merger of Canadian National Bank and Provincial Bank of Canada. That transaction combined two Quebec-rooted institutions and created the National Bank of Canada name. The merged bank subsequently broadened its geographic reach and product capabilities through acquisitions and internal expansion. Its 1980s development included the purchase of brokerage businesses that eventually formed the basis of National Bank Financial. In the 1990s and early 2000s, it added General Trust of Canada assets, acquired First Marathon, and purchased the U.S. investment bank Putnam Lovell. These moves strengthened its securities, investment-banking, and institutional-client operations in Canada, the United States, and the United Kingdom. National Bank's business is organized around personal and commercial banking, wealth management, financial markets, and specialty finance and international operations. Retail offerings include deposit accounts, payment services, mortgages, consumer credit, investments, and digital banking. Commercial and corporate clients receive lending, treasury, cash-management, trade-finance, advisory, and capital-markets services. National Bank Financial provides investment-dealer and investment-banking capabilities, while the wealth-management business serves individuals, families, institutions, and advisors. The bank also operates National Bank Direct Brokerage and insurance-related businesses. Although National Bank has expanded across Canada, Quebec remains its defining market and strategic center. It serves millions of clients through branches, automated banking machines, digital channels, subsidiaries, and representative offices. Its international platform has included U.S. specialty finance and Natbank branches in Florida, as well as a major Cambodian presence through ABA Bank, which became fully owned by National Bank in 2019. In 2021, its brokerage platform became one of the Canadian institutions offering commission-free online direct brokerage. In 2024, National Bank announced an agreement to acquire Canadian Western Bank for approximately C$5 billion, subject to regulatory and shareholder approvals. Canadian Western Bank shareholders approved the transaction in September 2024, and the merger was completed in February 2025. The acquisition materially expanded National Bank's presence in Western Canada and represented a significant step in its long-term geographic diversification. The bank remains active under the National Bank brand, led by president and chief executive Laurent Ferreira and chaired by Robert Paré.

History

National Bank of Canada traces its origins to May 1859, when the Quebec legislature authorized the creation of Banque Nationale. The institution was backed principally by francophone business interests in Ontario and Quebec that wanted a bank under local control. Ulric-Joseph Tessier, a lawyer and legislator, became its first chairman. Despite periods of severe financial stress, the bank survived the banking crises associated with the panics of 1873 and 1884. The Great Depression created a more serious challenge. Banque Nationale was combined with Banque d'Hochelaga through an arrangement supported by Quebec legislation. The resulting institution adopted the name Banque Canadienne Nationale, translated as Canadian National Bank. In 1968, the bank joined other Canadian institutions in launching Chargex, described as the first credit card issued by a Canadian bank. During the 1970s, Provincial Bank of Canada expanded through acquisitions, while both it and Canadian National Bank continued to retain substantial Quebec operations. In November 1979, the two institutions agreed to merge. The combined bank adopted the name National Bank of Canada, creating the institution that would develop into one of Canada's six largest banks. During the 1980s, National Bank diversified through acquisitions in brokerage and financial services. Lévesque Beaubien and Geoffrion Leclerc were combined under the Lévesque Beaubien Geoffrion name. In 1993, the bank sold its lease-financing operations to GE Capital and acquired assets of General Trust of Canada. It began a limited U.S. presence in 1994 with branches in Florida and California, later concentrating its Natbank subsidiary in Florida. A representative office opened in Cuba in 1995 to support Canadian clients conducting business there. In 1999, National Bank completed the acquisition of Toronto brokerage First Marathon. First Marathon and Lévesque Beaubien Geoffrion were integrated to create National Bank Financial, the bank's investment-dealer and investment-banking platform. In 2002, the acquisition of U.S. investment bank Putnam Lovell expanded that business into New York, Toronto, and London. The bank later sold its shareholder-management-services operation to Computershare in 2006. National Bank continued international expansion through Cambodia. It acquired 90 percent of ABA Bank in 2016 and purchased the remaining 10 percent in 2019, making ABA a wholly owned subsidiary. In Canada, the bank has increasingly combined its historic Quebec strength with national growth in personal banking, commercial finance, wealth management, capital markets, and digital services. In 2021, National Bank Direct Brokerage began offering commission-free online brokerage. In June 2024, National Bank announced its proposed acquisition of Canadian Western Bank. Canadian Western shareholders approved the deal in September 2024, and the merger was completed in February 2025. The transaction broadened National Bank's Western Canadian platform and reinforced its strategy of becoming a more geographically diversified full-service bank while retaining Montreal and Quebec as important centers.
