Overview
Mutares SE & Co. KGaA is a Munich-based international investment holding company focused on special situations. Its principal activity is acquiring businesses that are being separated from larger corporations, often referred to as carve-outs, as well as companies that require restructuring, repositioning, or operational improvement. Rather than operating as a conventional diversified industrial manufacturer, Mutares acts as an active owner of a changing portfolio of industrial, infrastructure, consumer, logistics, and services businesses. The group was established in Munich in 2008 by Axel Geuer and Robin Laik. Its investment model is based on identifying businesses that may no longer fit the strategy of their former parent companies or that have potential for improvement under a more focused ownership structure. After acquisition, Mutares and the relevant portfolio-company management teams may pursue cost improvements, operational restructuring, add-on acquisitions, commercial development, and preparation for a later sale. The group has also divested businesses when an investment objective has been achieved or when portfolio priorities have changed. Mutares has invested in a broad range of sectors. Its portfolio has been organized into four principal areas: Automotive & Mobility; Engineering & Technology; Goods & Services; and Retail & Food. Businesses associated with the group have included automotive suppliers, railway-service providers, bridge and steel-construction companies, roofing and facade specialists, paper and packaging manufacturers, energy and industrial-equipment businesses, logistics companies, e-commerce operations, food and consumer businesses, and facility-services providers. The company’s development included a change from an April-to-March financial year to the calendar year in 2012. By 2013, the group reported nine investments and sales of €347 million for the relevant period. Mutares subsequently expanded its international presence, maintaining its headquarters in Munich and offices in cities including London, Paris, and Milan. Its acquisition history has included both relatively small industrial businesses and larger transactions involving complex corporate separations. Important portfolio examples include Elastomer Solutions, a producer of molded rubber components for the automotive sector; Klann Packaging, a manufacturer of decorated tinplate packaging; Eupec, a provider of pipeline coatings; STS, an automotive acoustics and trim group; Norsilk, a French wood-products business; Balcke-Dürr, an energy-equipment and filtration company; Cenpa, a recycled-paperboard producer; La Meusienne, a stainless-steel tubing manufacturer; and the Donges Group, which combined steel construction, bridge construction, roofing, and facade activities. Mutares also developed a presence in railway services through the Gemini Rail Group and Glasgow Works. The group’s portfolio has not been uniformly successful. Several businesses associated with Mutares entered insolvency proceedings or were liquidated, including Zanders, Pixmania, Platinum, and Artmadis. These cases illustrate the risks inherent in acquiring distressed or transitional assets. Mutares has also completed a number of disposals, including STS Group, Nexive, Klann Packaging, Fertigungstechnik Weißenfels, Geesinknorba, A+F Automation+Fördertechnik, Grosbill, Pixmania, Suir Pharma Ireland, SN CGVL, and HIB Trim Parts Solutions. More recent expansion has included the acquisition of Portugal’s EFACEC in 2023, selected Danish and Serbian Arriva operations and Polish bus activities in 2023, and the road-freight business of Finland’s VR in 2024. In 2025, Mutares acquired assets of S.M.A. Metalltechnik and its subsidiaries, while Asteri Facility Solutions was sold to SOL Facility Services. These transactions reflect the group’s continuing emphasis on industrial carve-outs, transportation, infrastructure, and business services. Mutares is therefore best understo…
History
Mutares was founded in Munich in 2008 by Axel Geuer and Robin Laik as an investment group focused on companies in special situations. Its core opportunity set consisted of businesses that larger corporations wanted to divest, together with companies facing transitional operational or financial circumstances. The model required Mutares to combine transaction execution with hands-on ownership and restructuring. The group made early investments in industrial businesses. In 2009 it acquired Elastomer Solutions from the Diehl Group. The company manufactured molded rubber parts for vehicle wiring and other automotive applications. In 2011, Mutares acquired the decorative business of HUBER Packaging and renamed it Klann Packaging. In 2012, it acquired Eupec from Korindo, adding pipeline-coating activities in France. Mutares expanded its automotive platform in 2013 through the acquisition of STS Acoustics from Autoneum. STS produced acoustic and thermal insulation as well as interior and exterior trim for passenger vehicles and commercial vehicles. The business later grew through add-on acquisitions and became an international supplier with operations on several continents. In the same period, Mutares reported nine investments and sales of €347 million for 2013. The group had changed its financial year to the calendar year in 2012; before that, its financial year ran from April through March. The portfolio broadened during the middle of the 2010s. Norsilk, a French wood-paneling and flooring business, was acquired from Metsä Group in 2015. In 2016, Mutares acquired Balcke-Dürr from SPX Corporation and Sonoco Paper France, restoring the latter’s historic Cenpa name. Balcke-Dürr supplied equipment and filtration systems for the energy industry, while Cenpa produced paperboard made from recovered paper. In 2017, Mutares acquired the steel-pipe business of Aperam and returned it to the La Meusienne name. It also bought Donges SteelTec from Mitsubishi Hitachi Power Systems. Donges subsequently became the basis of a wider construction and building-products platform. Kalzip, a roofing and facade business acquired from Tata Steel Europe, joined the group in 2018. Normek and FDT were added in 2019, creating a broader combination of bridge construction, structural steelwork, aluminum roofing, facades, and flat-roof technology. The transportation and railway portfolio also developed. Mutares acquired Glasgow Works from Knorr-Bremse in 2018. Together with Gemini Rail Services and Gemini Rail Technology, the railway businesses provided vehicle overhaul, refurbishment, modernization, engineering, traction-system integration, and related services to rail operators and rolling-stock owners in the United Kingdom and Ireland. Mutares has pursued a cycle of acquisitions and disposals rather than permanently retaining every portfolio company. Businesses sold over time included STS Group, Nexive, Klann Packaging, Fertigungstechnik Weißenfels, Geesinknorba, A+F Automation+Fördertechnik, Grosbill, Pixmania, Suir Pharma Ireland, SN CGVL, and HIB Trim Parts Solutions. The group’s history also includes difficult outcomes: Zanders, Pixmania, Platinum, and Artmadis were among portfolio companies that entered bankruptcy or liquidation processes. The group continued to pursue cross-border transactions in the 2020s. In 2023, it acquired EFACEC, a Portuguese state-owned engineering company, and bought selected Arriva operations in Denmark, Serbia, and Poland. In 2024, it acquired the road-freight business of VR. In 2025, Mutares acquired assets of S.M.A. Metalltechnik and its subsidiaries and sold Asteri Facility Solutions to SOL Facility Services. Today, Mutares operates as an international, publicly listed investment holding company. Its portfolio is organized around Automotive & Mobility, Engineering & Technology, Goods & Services, and Retail & Food. The group’s distinctive proposition is active ownership of companies that require separation from a parent, operational transformation, or a new strategic direction. Its record combines successful exits and platform-building with the inherent uncertainty and occasional insolvency risk of distressed and transitional investing.
