Overview

MoneyGram is an American financial-services brand focused on cross-border money transfers and related payment services. Its operations serve individuals and businesses through a combination of retail agents, financial institutions, digital channels, bank-account deposits, mobile wallets, and other payout methods. The company’s network reaches more than 200 countries and territories and has historically included hundreds of thousands of agent locations worldwide. The brand’s corporate history is rooted in two predecessor businesses. Travelers Express was founded in Minneapolis in 1940 and became a major American provider of money orders. Separately, Integrated Payment Systems was established within the First Data and American Express corporate lineage. MoneyGram began as a service and subsidiary associated with Integrated Payment Systems and was later developed through a partnership with Thomas Cook. In the 1990s, the MoneyGram name expanded from a transfer service into a broader international payments identity. Ownership and corporate structure changed repeatedly. Viad acquired MoneyGram Payment Systems in 1998 and combined it with Travelers Express. The MoneyGram business later changed hands in connection with Travelex’s acquisition of Thomas Cook Financial Services, while Travelers Express ultimately obtained full ownership of the MoneyGram network. Travelers Express was renamed MoneyGram International in 2004, and the company became an independently traded public company later that year. MoneyGram expanded internationally during the 2000s, adding online transfers, bill payment, and wider agent coverage alongside its traditional money-transfer and money-order businesses. Its financial condition was severely affected during the global financial crisis after losses on mortgage-related securities. The company received a capital infusion from Thomas H. Lee Partners and Goldman Sachs, returned to profitability in 2009, and subsequently pursued restructuring and cost reductions. Pamela Patsley became executive chair in 2009 and chief executive later that year; the global headquarters moved to Dallas in 2010. The company has also invested in digital delivery and technology partnerships. Its consumer-facing services include MoneyGram Online and mobile applications, while MoneyGram as a Service provides infrastructure and payment capabilities to enterprise partners. Partnerships have included digital-wallet distribution in the United Arab Emirates, blockchain-related arrangements with Ripple and Stellar, and integrations supporting account and wallet payouts. MoneyGram has faced significant regulatory and consumer-protection scrutiny. In 2012 it admitted anti-money-laundering and wire-fraud-related violations arising from the misuse of its services in mass-marketing and phishing scams, agreeing to a victim-compensation fund and enhanced compliance oversight. It later reached a multistate settlement over allegations that customers were deceived into sending money to fraudsters. In 2022, the Consumer Financial Protection Bureau and New York attorney general brought a complaint alleging failures involving transfer delays, inaccurate completion information, and complaint handling. In February 2022, Madison Dearborn Partners agreed to acquire MoneyGram for approximately $1 billion in cash. The transaction was completed on June 1, 2023, ending MoneyGram’s period as a public company. The brand continues to operate as a privately owned international money-transfer and payments business, with both physical and digital distribution channels.

History

MoneyGram’s origins extend to Travelers Express, a Minneapolis company founded in 1940 that became one of the largest American suppliers of money orders. In 1965, Travelers Express was acquired by The Greyhound Corporation, later known as Viad, and continued operating as a major financial-paper-products business. A second lineage began with Integrated Payment Systems, a business associated with First Data and, earlier, American Express. MoneyGram was formed within that structure in 1988. Thomas Cook and First Data later cooperated on a redesigned international transfer service that used the MoneyGram name. Integrated Payment Systems became publicly traded in 1996 and was renamed MoneyGram Payment Systems. In 1997, MoneyGram International was established through a venture involving MoneyGram Payment Systems and Thomas Cook. Viad acquired MoneyGram Payment Systems in 1998 for $287 million and combined the business with Travelers Express. In 2000, the MoneyGram brand and related business were sold to Travelex in connection with Travelex’s purchase of Thomas Cook Financial Services. Travelers Express subsequently gained full ownership of the MoneyGram network. In 2004, Travelers Express adopted the MoneyGram International name, and Viad later separated the business as an independently traded company. The company expanded its agent network and international reach during the 2000s, adding bill payment and online transfer capabilities. The 2008 financial crisis produced severe losses from mortgage-related securities and caused a dramatic collapse in the company’s share price. MoneyGram sold a majority stake to Thomas H. Lee Partners and Goldman Sachs in exchange for capital, returned to profitability in 2009, and continued rebuilding under Pamela Patsley. The company moved its global headquarters to Dallas in 2010 while retaining operational and technology facilities in Minnesota. After losing a relationship with Walmart in 2014, MoneyGram undertook restructuring and cost reduction. It closed or reduced several U.S. operations and moved some positions to Warsaw, Poland. At the same time, it continued developing its international agent network, including expansion in Africa and relationships with postal and financial institutions. A proposed acquisition by Ant Financial in 2017 failed after review by the Committee on Foreign Investment in the United States. MoneyGram subsequently pursued additional digital and technology partnerships. It announced a Ripple partnership in 2019, ended that relationship in 2021, and later announced a Stellar-related arrangement involving blockchain transactions and the USDC stablecoin. It also worked with Digital Financial Services in the United Arab Emirates to enable wallet users to initiate transfers to more than 200 countries and territories. Compliance and consumer-protection issues have been a continuing part of MoneyGram’s corporate history. In 2012, the company admitted violations connected to anti-money-laundering controls and the use of its network in fraud schemes. It created a $100 million victim-compensation fund, strengthened fraud controls, terminated implicated agents, and operated under an extended corporate-monitoring arrangement. In 2016, it agreed to a $13 million multistate settlement concerning allegations that scam victims were induced to use MoneyGram. A separate 2022 federal and New York complaint alleged problems with transfer completion, delays, and complaint resolution. Madison Dearborn Partners agreed to acquire MoneyGram in 2022, and the transaction closed on June 1, 2023. MoneyGram therefore ceased to be a publicly traded company and continued as a privately owned international payments brand.
