Overview

Magna International Inc. is a Canadian multinational automotive supplier headquartered in Aurora, Ontario. The company develops and manufactures systems, assemblies, modules and components for vehicle manufacturers, while also providing vehicle engineering and complete-vehicle contract manufacturing through Magna Steyr. Its activities span body and structural systems, chassis, powertrain, seating, exterior systems, mirrors and lighting, electronics, active safety, automated-driving technologies and electric-vehicle hardware. Frank Stronach founded the business in 1957 as Multimatic Investments Ltd., initially operating from a rented garage in Toronto. Its first automotive contract, secured from General Motors in 1959, involved metal brackets for sun visors. The company expanded through the 1960s and became publicly traded in 1969 after combining with Magna Electronics Corporation, an aerospace, defense and industrial-components business. It adopted the Magna International name in 1973. A distinctive feature of Magna's governance is its corporate constitution and employee-participation model. The company has historically allocated a portion of pretax profits to employees and has emphasized a decentralized operating structure in which major business groups retain substantial autonomy. During the 1990s, Magna expanded internationally and created or spun off several publicly traded divisions before later bringing some of them back into the parent company. Magna is a major supplier to global automakers including General Motors, Ford, Stellantis, BMW, Mercedes-Benz, Volkswagen, Toyota, Tesla and Tata Motors. Its manufacturing and engineering footprint covers dozens of countries. The company has also pursued technologies associated with vehicle electrification, lightweighting, advanced driver assistance, automated driving, vehicle connectivity and flexible contract assembly. Its Magna Steyr operation in Austria has assembled vehicles for several manufacturers and remains an important part of the group's engineering and manufacturing proposition. The company has grown through acquisitions and partnerships, including investments in automotive transmissions, convertible-roof systems, lighting, seating, software, lidar and active-safety technologies. Notable transactions include the acquisition of Getrag in 2015, the purchase of Optimus Ride in 2022 and the acquisition of Veoneer's Active Safety business in 2022. Magna has also entered collaborative arrangements with companies such as Lyft, BAIC Group, Innoviz Technologies and BMW. In the 2020s, Magna's strategic focus has increasingly included electric-vehicle battery enclosures, electrified powertrain components, sensing and active-safety systems, software-enabled vehicle functions and outsourced vehicle production. Its scale and broad product portfolio allow it to supply individual components as well as integrated vehicle systems, while its contract-manufacturing capabilities enable automakers to launch lower-volume or specialized vehicles without building dedicated assembly capacity.

History

Magna International began in 1957 when Frank Stronach established Multimatic Investments Ltd. in Toronto. The early business focused on metalworking and tooling, and in 1959 it won a General Motors contract to supply metal sun-visor brackets. By the end of the 1960s, the company had expanded to eight plants. A 1969 merger with Magna Electronics Corporation brought the company onto the public markets and broadened its industrial base. The name Magna International was adopted in 1973. In 1974, Magna introduced an employee equity and profit-sharing arrangement that became part of its distinctive corporate model. The company later concentrated on automotive manufacturing, selling its aerospace and defense operations in 1981. Its business was organized into relatively autonomous divisions, supporting expansion into multiple vehicle systems and international markets. During the 1990s, Magna created publicly traded entities for businesses including Tesma, Decoma and Intier, then moved to reintegrate those operations in the first half of the 2000s. The company expanded its vehicle-assembly and systems capabilities through acquisitions. It acquired the Eurostar operation in Austria from DaimlerChrysler in 2002 and bought a controlling interest in New Venture Gear in 2004, later incorporating the business into Magna Powertrain. It also acquired CTS Fahrzeug-Dachsysteme from Porsche in 2005, strengthening its convertible-roof activities. In 2005, Magna began producing rearview-camera systems for Hummer vehicles. That work developed into a larger camera and driver-assistance business and reflected the company's increasing involvement in vehicle safety electronics. In 2015, Magna sold the battery-pack business of Magna Steyr to Samsung SDI and sold its interiors business to Grupo Antolin. The interiors transaction covered operations in Europe, North America and Asia. In the same year, Magna acquired German transmission supplier Getrag, expanding its powertrain portfolio and its position in China. Later acquisitions and partnerships added capabilities in vehicle software, lighting, seating, cybersecurity, lidar and automated driving. These included Haptronik, OLSA, Viza Geca and cooperation with Innoviz Technologies. Magna continued to diversify during the mobility transition. In 2018 it announced a self-driving-vehicle collaboration with Lyft and a smart-electric-vehicle partnership with BAIC Group. Donald Walker, who had led the company for many years, retired as chief executive at the end of 2020; Swamy Kotagiri became CEO in January 2021. Magna subsequently announced a Michigan battery-enclosure operation connected with General Motors' electric Hummer program. In 2022, Magna acquired Optimus Ride and acquired Veoneer's Active Safety business from SSW Partners. These moves reinforced its emphasis on automated driving and active safety. By the mid-2020s, the company was organized around seven principal groups: Cosma, Magna Electronics, Magna Powertrain, Magna Exteriors, Magna Seating, Magna Steyr, and Mechatronics, Mirrors & Lighting. Its portfolio combines traditional vehicle hardware with electrification, sensing, software and contract manufacturing. Magna has also been associated with development work for an electric version of the Ineos Grenadier, with production planned in Graz, Austria, subject to the stated program schedule.
