Overview

Lineage is a temperature-controlled logistics and warehouse real estate company headquartered in Novi, Michigan. It provides refrigerated and frozen storage, transportation, distribution, warehouse management, food processing support, port logistics, freight forwarding, and technology-enabled supply-chain services for food producers, distributors, retailers, restaurants, and other customers. Although its operations are commonly associated with the Lineage Logistics name, the company became Lineage, Inc. and a publicly traded real estate investment trust in 2024. The business was assembled through a consolidation strategy led by Adam Forste and Bay Grove. The platform's roots extend to Bay Grove's acquisition of Seafreeze in 2008, followed by purchases including CityIce, Flint River Services, Terminal Freezers of Santa Maria, and Richmond Cold Storage. Lineage was formally established in 2012 with a significant North American temperature-controlled warehouse network. Early growth combined acquisitions with development of new facilities near ports, food-production regions, and major distribution corridors. A defining turning point was the 2014 acquisition of Millard Refrigerated Services, which substantially increased Lineage's scale and made it one of the world's largest temperature-controlled warehousing operators. The company continued consolidating the sector through purchases such as Partner Logistics in Europe, Emergent Cold in the Asia-Pacific region, Preferred Freezer Services in 2019, and multiple North American, European, and Asian operators between 2020 and 2023. By the end of 2023, the company had acquired more than 100 businesses and operated more than 450 facilities across 18 countries, with capacity exceeding 3 billion cubic feet and approximately 26,000 employees. Lineage differentiates itself through a combination of physical infrastructure, real-estate ownership, supply-chain services, and automation. Its facilities support the movement of perishable products from producers and ports to distributors and retailers. The company has invested in warehouse automation, data systems, robotics, energy efficiency, and other technologies intended to improve throughput and reduce food waste. It reported more than 75 patents across multiple jurisdictions by March 2024. The company raised substantial private capital for expansion and technology before preparing for an initial public offering. It completed its Nasdaq IPO in July 2024, raising approximately $4.5 billion and receiving a valuation above $18 billion according to contemporary reports. Lineage remains associated with Bay Grove, which formed and backed the business. Its public-company profile combines the economics of a large industrial logistics operator with those of a specialized warehouse real estate investment trust. Beyond commercial operations, Lineage operates the Lineage Foundation for Good, an independent philanthropic organization focused on food insecurity, food waste, community support, and sustainable solutions. The foundation has worked with food banks and community organizations and has supported food donations, grants, volunteer activities, and hardship assistance for employees. Lineage's principal strategic challenge is managing the capital intensity, energy requirements, safety obligations, and integration complexity associated with a geographically dispersed cold-chain network.

History

Lineage developed from Bay Grove's strategy of consolidating fragmented temperature-controlled warehousing businesses. The platform's early transactions began with the acquisition of Seafreeze in 2008, followed by CityIce in 2009, Flint River Services in 2010, and additional refrigerated facilities in 2011. Adam Forste, a former Morgan Stanley investment banker, established Bay Grove Capital and formally organized Lineage in April 2012. At formation, Lineage had approximately 40 facilities in eight U.S. states. The network included sites near important ports such as Savannah, Seattle, and Norfolk, and the company offered warehouse management, consulting, and food-processing support in addition to storage. In 2012, it acquired Stanford Refrigerated Warehouses and Castle & Cooke Cold Storage. Bill Hendricksen, formerly associated with Castle & Cooke, became chief executive, and the company later moved its headquarters from Irvine, California, to Novi, Michigan. Lineage accelerated its expansion through acquisitions and new construction. It obtained financing in 2013 and added Seattle Cold Storage and a facility in University Park, Illinois. In 2014, it purchased Millard Refrigerated Services for approximately $1 billion, at the time its largest transaction. The deal significantly increased its warehouse footprint and global ranking. Other 2014 transactions included Loop Cold Storage, Oneida Cold Storage & Warehouse, Murphy Overseas, and facilities acquired from Dreisbach Enterprises. In 2015, the company added Pacific Northwest facilities from Columbia Colstor and was ranked among the world's largest temperature-controlled warehouse operators. The company continued investing in strategically located infrastructure. It opened a large facility near the Port of Charleston in 2016 and acquired Consolidated Distribution Corporation, strengthening its redistribution capabilities. A proposed Kansas development was abandoned in 2017 after opposition and litigation from local residents. That same year, Lineage entered Europe through the acquisition of Partner Logistics and added further American facilities. In 2018, it acquired numerous companies, including the United Kingdom's Yearsley Group, while outside investors including Stonepeak Partners and D1 Capital Partners purchased minority interests. The acquisition of Preferred Freezer Services, reported in 2019, was a major consolidation event. In 2020, Lineage expanded in North America and internationally through purchases involving Maines Paper & Food distribution assets, Emergent Cold, New Orleans Cold Storage, Henningsen Cold Storage, and Pago in Poland. These transactions expanded both its storage capacity and its service offering, including distribution and transport logistics. The company also entered Canada through Ontario Refrigerated Services. Growth continued in 2021 and 2022. Lineage acquired Crystal Creek, Frigorificos de Navarra, UTI Forwarding, Kloosterboer Group, Claus Sorensen's cold-storage division, Kantaro, Auscold Logistics, Van Tuyl Logistics, selected Dutch facilities, MTC Logistics, VersaCold Logistics, and Mandai Link Logistics. These deals extended the network into e-commerce fulfillment, freight forwarding, Spain, Italy, Australia, Canada, Singapore, and major U.S. ports. Cold Storage Nelson expanded the company's New Zealand presence in 2022. In 2023, Lineage acquired Grupo Fuentes in Spain, entered a joint venture with SK Logistics in northern Vietnam, and purchased warehousing and e-commerce assets from Burris Logistics. By the end of that year, Lineage had acquired more than 100 companies and operated more than 450 facilities in 18 countries. It also opened a modern 17,000-square-meter facility in Harnes, France, as a European logistics hub. Technology became increasingly central to Lineage's operating model. The company raised $1.6 billion in equity in 2020 and $1.9 billion in 2021 for technology, greenfield development, facility expansion, mergers and acquisitions, and research and development. It partnered with 8VC in 2021 to invest further in logistics technology and had received more than 75 patents across jurisdictions by 2024. Lineage prepared for public ownership during the early 2020s and completed its Nasdaq IPO in July 2024. The company also developed a social-impact platform through the Lineage Foundation for Good, launched in 2021 with a $3 million company gift. The foundation has supported food donations, grants, food-bank partnerships, volunteer work, and employee hardship assistance. Lineage's present identity therefore combines global cold-chain infrastructure, specialized warehouse real estate, logistics services, automation, and philanthropic programs addressing food waste and food insecurity.
