On December 18, 2020, Liberty Broadband Corporation acquired GCI Liberty, Inc. via a stock-for-stock merger (the "combination"). At the effective time of the combination, each share of GCI Liberty Series A common stock outstanding immediately prior to the effective time was converted into 0.580 of a share of Liberty Broadband Series C common stock, each share of GCI Liberty Series B common stock outstanding immediately prior to the effective time was converted into 0.580 of a share of Liberty Broadband Series B common stock, and each share of GCI Liberty Series A Cumulative Redeemable Preferred Stock outstanding immediately prior to the effective time was converted into one share of newly issued Liberty Broadband Series A Cumulative Redeemable Preferred Stock. On July 14, 2025, Liberty Broadband completed the spin-off of GCI Liberty from Liberty Broadband and distributed 0.20 of a share of GCI Liberty's Series A GCI Group common stock, Series B GCI Group common stock and Series C GCI Group common stock (collectively, the "GCI Group common stock") for each whole share of the corresponding series of Liberty Broadband common stock held as of the Record Date by the holder thereof. Cash (with no interest) was paid in lieu of fractional shares of GCI Group common stock.
