Overview

Laird plc was a British-based industrial and electronics group whose history extended from shipbuilding in the nineteenth century to specialized electronic components and systems in the twenty-first. The business began in 1824 when John Laird founded Birkenhead Ironworks in Birkenhead, on the Wirral. In 1903, the company combined with Charles Cammell & Company Limited and operated as Cammell Laird, becoming one of Britain’s prominent shipbuilders. Its shipbuilding activities included vessels for the Royal Navy and formed the historical foundation from which the later Laird group developed. During the twentieth century, the company diversified beyond marine engineering. Its transport interests operated under the Metro-Cammell name and, in 1976, won a significant contract to manufacture mass-transit railway carriages for Hong Kong’s Mass Transit System. The shipbuilding business was nationalized in 1977, separating a major part of the historic operating base from the corporate group. In 1989, the company disposed of its mass-transit railway activities, continuing a broader process of restructuring and portfolio change. From the 1980s onward, Laird moved into security products, and during the 1990s it increasingly developed an electronics orientation. It exited automotive activities in 2000 and sold its security business to Lupus Capital in 2007. In 2008, the company changed its name from Laird Group PLC to Laird PLC, reflecting its increasingly focused position as an electronics and technology business rather than a diversified industrial group. Laird’s later activities centered on engineered components and systems used in communications, connected vehicles, thermal management, electromagnetic protection, and related electronic applications. Its operating structure included Performance Materials, Wireless and Thermal Systems, and Connected Vehicle Solutions. The group expanded through acquisitions, including Wisconsin-based LS Research in November 2015 and Germany-based Novero in December 2015. These transactions strengthened its capabilities in wireless connectivity and connected-vehicle technologies. In March 2018, Advent International announced an offer valuing Laird at approximately £1 billion. The acquisition was completed in July 2018, ending Laird plc’s existence as an independently listed public company. Advent subsequently separated and sold major parts of the business. Laird Connected Vehicles was sold to Molex Electronic Technologies in September 2018, Laird Thermal Systems was sold to Bregal Unternehmerkapital in July 2021, Laird Performance Materials was sold to DuPont in July 2021, and Laird Antennas was sold to TE Connectivity in November 2021. These transactions dispersed the former group’s principal technology businesses among new owners. Accordingly, Laird plc is best understood today as a former corporate group and historical brand, while several Laird-named product and business activities continued under successor ownership.

History

Laird plc traced its origins to Birkenhead Ironworks, founded by John Laird in 1824 in Birkenhead, Wirral. The company merged with Charles Cammell & Company Limited in 1903 and became Cammell Laird. Under that name, it developed a major shipbuilding operation and constructed numerous vessels for the Royal Navy. The group later broadened its industrial interests. Its transport activities operated as Metro-Cammell, which secured a substantial 1976 order to build railway carriages for Hong Kong’s Mass Transit System. In 1977, the shipbuilding business was nationalized. The company subsequently sold its mass-transit railway activities in 1989, continuing a long-term transition away from its original heavy-industrial base. In the 1980s, the group entered security products, followed by a stronger move into electronics during the 1990s. It disposed of its automotive activities in 2000 and sold its security business to Lupus Capital in 2007. The corporate name changed from Laird Group PLC to Laird PLC in 2008, marking a more concentrated electronics and technology identity. Laird’s later portfolio comprised businesses involved in performance materials, wireless and thermal systems, and connected-vehicle solutions. The group used acquisitions to build its electronics platform, acquiring LS Research of Wisconsin in November 2015 and Novero of Germany in December 2015. These additions expanded its presence in wireless communications and automotive connectivity. Advent International offered to acquire Laird in March 2018 in a transaction valued at approximately £1 billion. Completion in July 2018 removed Laird from independent public ownership. Advent then reorganized and sold the major operating businesses: Connected Vehicles went to Molex Electronic Technologies in September 2018; Thermal Systems went to Bregal Unternehmerkapital in July 2021; Performance Materials went to DuPont in July 2021; and Antennas went to TE Connectivity in November 2021. The former group therefore ceased to operate as a unified public company, with its principal businesses becoming part of different industrial and technology companies.
