History
Kobayashi Yoko traces its origins to May 1913, when Kobayashi Shoten was founded in Nihonbashi Ningyocho, Chuo-ku, Tokyo. In March 1949, the business was incorporated as Kobayashi Yoko Co., Ltd. with capital of 1 million yen. It joined the Tokyo Grain Exchange in 1952 and obtained commodity trading member licenses from the Ministry of Agriculture, Forestry and Fisheries and the Ministry of International Trade and Industry in 1971. During the 1980s and 1990s the company expanded through capital alliances and acquisitions. In 1986 it took a capital stake in Fujitomi Co., Ltd. In 1988, Kyowa Bank underwrote part of a third-party allotment of new shares and acquired 4.8% of Kobayashi Yoko, raising capital to 370 million yen; the company then issued 500 million yen in private bonds. In 1990 it carried out a 400,000-share (400 million yen) third-party allotment. In September 1990, Kobayashi Yoko and Tayama agreed to merge on April 1, 1991, with Kobayashi Yoko as the surviving company and capital of 662 million yen; the merger made the company the sixth-largest in its industry by sales. In 1994 it launched a mock commodity futures trading service called "Club First" and established Interes Capital Management as a joint venture with Fujitomi and Koyo Futures. In 1995 it opened a Taiwan branch and established a local subsidiary in Singapore. In 1998 it launched the internet-based home trading system "Futures Net" and began handling FX margin trading through it; it also announced a capital alliance with Kyowa Securities. In 1999 it acquired Yamanashi Shoji for 3.7 billion yen and made it a wholly owned subsidiary, moving the group from seventh to fifth in industry sales. In 2000, Kobayashi Yoko listed on the Second Section of the Tokyo Stock Exchange, with Paribas Securities and New Japan Securities as lead managers; its consolidated subsidiary Fujitomi was listed on JASDAQ. In 2001 it was designated to the First Section of the Tokyo Stock Exchange, and in 2002 it was selected as a marginable stock. In 2005 it increased capital to 2 billion yen and obtained commodity investment sales licenses from the Financial Services Agency, MAFF and METI. In 2007 it registered as a financial futures trader with the Kanto Local Finance Bureau, joined the Tokyo Financial Exchange, and launched exchange FX margin trading "FX Major's" (Click 365). In 2008 it launched over-the-counter FX margin trading "Dolphin FX." In 2010 it transferred commodity futures brokerage operations to subsidiaries and began internet advertising agency operations. In 2011 it discontinued FX operations, transferred the internet advertising business to Kobayashi Corporation (renamed Kobayashi Yoko Communications Co., Ltd.), and transitioned to a holding company structure. In 2013 a business hotel (Sotetsu Fresa Inn Nihonbashi Ningyocho) opened. In 2015 it made Sanshin Dengyosha Co., Ltd. and Kanban Shizai Co., Ltd. wholly owned subsidiaries. On August 1, 2021, consolidated subsidiary Fujitomi changed its name to Fujitomi Securities Co., Ltd. On February 16, 2022, Fujitomi Securities delisted from the Tokyo Stock Exchange JASDAQ (Standard), and on February 21 it became a wholly owned subsidiary through a share exchange. In the 2000s the commodity futures industry faced declining profitability due to stricter solicitation regulations under the amended Commodity Exchange Act and the liberalization of small-lot face-to-face commissions. Kobayashi Yoko closed or abolished branches including Shinano, Kyoto, Utsunomiya, Mito, Yokohama, Hiroshima, Shinjuku, Nagoya and Fukuoka, and effectively withdrew from face-to-face commodity futures sales. It sold its stake in Interes Capital Management in 2007, established Eco & Eco in 2008 (later sold in 2012), and shifted toward FX and commodity CFDs. In 2011 it decided to move to a holding company structure. It dissolved and liquidated Marume in 2011, Phoenix Securities in 2013, and Kyowa Trust in 2015. In 2017 Fujitomi acquired H.S. Life Small Amount Short-Term Insurance (renamed Fukurou Small Amount Short-Term Insurance in 2018), which was sold to Kufu Company in 2020. In 2021 Fujitomi Securities was made a wholly owned subsidiary via share exchange. The company continues to seek new business entries to ensure stable and sustained earnings.
