Overview

Kioxia is a Japanese semiconductor and storage group headquartered in Tokyo. Its principal operating company, Kioxia Corporation, develops, manufactures, and sells NAND flash memory, solid-state drives, memory cards, USB flash products, and storage solutions for consumer, enterprise, data-center, automotive, industrial, and mobile applications. The group is headed by Kioxia Holdings Corporation, which became publicly traded on the Tokyo Stock Exchange Prime Market in December 2024. The business originated inside Toshiba. Toshiba engineers led by Fujio Masuoka demonstrated an early flash EEPROM cell in 1984 and developed NAND flash memory in 1987. Toshiba commercialized NAND products during the early 1990s, establishing the technological lineage from which Kioxia's modern memory business developed. The business later expanded from commodity and embedded memory into three-dimensional NAND, client and enterprise SSDs, and specialized low-latency memory technologies. Toshiba created Toshiba Memory Corporation on April 1, 2017, separating its memory and related-products activities from the parent company. The move followed Toshiba's severe financial difficulties associated with the failure of Westinghouse's nuclear-construction business and the resulting need to strengthen Toshiba's finances. A Bain Capital-led consortium acquired the memory business from Toshiba in June 2018 for approximately ¥2 trillion. Toshiba retained a substantial investment, while Hoya also became an investor. Toshiba Memory Holdings Corporation was formed in March 2019 as the group's holding company, with Toshiba Memory Corporation continuing as the operating subsidiary. Both companies adopted the Kioxia name on October 1, 2019. The name combines kioku, the Japanese word for memory, with axia, a Greek-derived term associated with value. The rebranding positioned the company as an independent global memory specialist while preserving its technical connection to Toshiba's flash-memory heritage. Kioxia's core technology platform is BiCS FLASH, its brand for three-dimensional NAND flash. The company has progressed through successive generations with increasing layer counts, higher density, and improved performance and cost efficiency. It also develops XL-FLASH, a low-latency storage-class memory intended to narrow the performance gap between DRAM and conventional flash. Its manufacturing base is concentrated in Japan, particularly the Yokkaichi facility in Mie Prefecture and the Kitakami facility in Iwate Prefecture. Kioxia operates these sites in cooperation with SanDisk through joint manufacturing arrangements that distribute production output between the two groups. The company has experienced the cyclicality typical of the memory industry. Production was disrupted by a power outage at Yokkaichi in 2019 and by contamination of production materials at Yokkaichi and Kitakami in 2022. Kioxia also pursued acquisitions, including Toshiba's purchase of OCZ's assets and the later acquisition of Lite-On's SSD business, to broaden its storage portfolio. A proposed combination with Western Digital's flash-memory business was discussed in 2023 but did not proceed after opposition from SK Hynix, an indirect Kioxia investor. Kioxia postponed a planned 2020 initial public offering amid market volatility and COVID-19 uncertainty. It revived the listing as NAND demand and pricing conditions improved, aided by inventory recovery and demand associated with artificial-intelligence infrastructure. Kioxia Holdings began trading in Tokyo on December 18, 2024. The group continues to focus on high-density flash, SSDs, manufacturing scale, and storage technologies for rapidly expanding data-center and connected-device markets.

History

Kioxia's history is rooted in Toshiba's semiconductor operations. In the 1980s, Toshiba researcher Fujio Masuoka and colleagues worked on nonvolatile memory technologies. Toshiba presented a flash EEPROM memory cell in 1984 and developed NAND flash memory in 1987. The company commercialized a 4-megabit NAND device in 1991, helping establish the architecture as a foundation for high-density removable, embedded, and solid-state storage. Toshiba expanded its memory manufacturing infrastructure over subsequent decades. The Yokkaichi facility, established in 1992, shifted from DRAM toward NAND flash after Toshiba withdrew from commodity DRAM production in 2001. Toshiba later introduced three-dimensional flash technology and commercialized early BiCS FLASH products. The move to vertically stacked memory cells enabled greater density without relying solely on increasingly fine planar manufacturing geometries. The modern Kioxia group was created during Toshiba's financial restructuring. After Toshiba disclosed large potential losses connected with Westinghouse's nuclear business, it decided to separate the memory operation and seek outside capital. Toshiba Memory Corporation began operating on April 1, 2017, as a wholly owned subsidiary responsible for memory research, development, manufacturing, marketing, and sales. Toshiba agreed to sell the business to K.K. Pangea, a special-purpose acquisition vehicle backed by a Bain Capital-led consortium. The transaction closed on June 1, 2018. Toshiba retained an important ownership position, and Hoya also invested. In August 2018, Pangea merged with Toshiba Memory Corporation. A new holding company, Toshiba Memory Holdings Corporation, was incorporated on March 1, 2019, to oversee group strategy while the operating company continued its technical and commercial activities. The group adopted the Kioxia identity on October 1, 2019. The new name combined the Japanese word kioku, meaning memory, with axia, a Greek-derived word associated with value. The rebrand marked the transition from a Toshiba division to an independent international memory company. Kioxia also expanded its storage portfolio through the acquisition of Lite-On's SSD business, completed in 2020. Earlier, Toshiba had acquired assets of OCZ Technology Group and operated OCZ Storage Solutions as an SSD subsidiary. Kioxia's principal business remains NAND flash, including its BiCS FLASH 3D architecture. The company has introduced successive generations with higher numbers of stacked layers and has developed complementary SSD controllers, firmware, packaging, and storage products. XL-FLASH, announced in 2019, targets applications requiring lower latency than conventional flash and greater persistence than ordinary working memory. Manufacturing is conducted primarily at Yokkaichi and Kitakami in Japan. Kioxia shares production infrastructure and output with SanDisk through joint operations. The relationship began with SanDisk and continued after Western Digital acquired SanDisk in 2016; Western Digital's flash-memory activities were later separated into Sandisk Corporation. The partnership has allowed the companies to share capital-intensive manufacturing capacity while retaining separate product businesses. The group has faced operational interruptions and the normal pricing cycles of the NAND industry. A 2019 power outage affected Yokkaichi output, while contamination in 2022 disrupted production at two sites. Kioxia and Western Digital also explored a corporate combination in 2023, but the talks did not result in a transaction. Kioxia initially planned a public offering for 2020 but postponed it amid financial-market volatility and pandemic uncertainty. As NAND conditions improved, the company revived the plan. Kioxia Holdings Corporation completed its initial public offering and listed on the Tokyo Stock Exchange Prime Market on December 18, 2024. The publicly traded holding company oversees a group whose operating activities continue to center on flash-memory research, manufacturing, and storage solutions.
