Overview

KGI Financial Holding Co., Ltd. is a Taiwan-based financial holding company whose businesses span commercial banking, securities brokerage and investment banking, private equity, asset management, and life insurance. The group operates through key subsidiaries and business units including KGI Bank, KGI Securities, CDIB Capital Group, and KGI Life. It was formerly known as China Development Financial Holding, or CDF, and adopted the KGI Financial Holding name in August 2024 as the group brought its principal customer-facing businesses under the KGI identity. The group's institutional roots reach back to 1959, when China Development Corporation was established with the involvement of Taiwan's Economic Stabilization Committee, the World Bank, and public capital. The original institution focused on direct investment and industrial development rather than conventional retail banking. In 1999 it was reorganized as China Development Industrial Bank, commonly known as CDIB. The holding-company structure was created in December 2001 through a stock swap, establishing China Development Financial Holding as a listed financial group capable of coordinating several financial businesses. Securities became an important part of the group during the 2000s. CDF brought Grand Cathay Securities and Elite Securities into its corporate structure in 2002 and merged them in 2003. It also pursued Jinding Securities, accumulating a substantial stake over several years but failing to complete the intended merger after prolonged disagreement and controversy. The group's securities platform was significantly enlarged through its 2012 acquisition of KGI Securities, described at the time as Taiwan's largest securities-sector merger. The transaction was completed in January 2013, and KGI Securities subsequently absorbed Grand Cathay Securities. This created a larger platform for investment banking, bond underwriting, brokerage, and other capital-markets products. CDF expanded into commercial banking in 2014 by acquiring Cosmos Bank. Cosmos Bank was renamed KGI Commercial Bank in 2015, later becoming KGI Bank, and its activities incorporated corporate-finance and financial-markets capabilities that had previously been associated with CDIB. In parallel, the group repositioned its industrial-bank heritage. CDIB was transformed into CDIB Capital Group in 2017, with a greater emphasis on private-equity funds, alternative investments, and asset management. China Life joined the group in September 2017, adding life insurance to the holding company's main business portfolio; the insurer was renamed KGI Life in 2024. The group has also stated broader sustainability and governance objectives. In 2021 it committed to reaching net-zero carbon emissions by 2045 and approved the acquisition of the remaining shares of China Life. That year it also moved into a new headquarters, marking the twentieth anniversary of the holding company. The 2024 name change to KGI Financial Holding aligned the parent-company identity with the KGI brands used by its banking, securities, and insurance subsidiaries. Under Chairman Angelo Koo, a fourth-generation member of the Koo family, the group presents itself as an integrated Taiwanese financial platform rather than solely as an industrial-investment institution.

History

KGI Financial Holding developed from Taiwan's China Development Corporation, established in 1959 with public-sector, World Bank, and Economic Stabilization Committee participation to support direct investment and industrial development. The institution became China Development Industrial Bank in 1999. In December 2001, it was reorganized into China Development Financial Holding through a stock swap, creating a holding-company structure for multiple financial businesses. CDF built its securities presence through the addition of Grand Cathay Securities and Elite Securities in 2002 and their subsequent merger in 2003. Its attempted expansion into Jinding Securities lasted several years but did not produce the planned merger. A more consequential transaction came in 2012, when CDF agreed to acquire KGI Securities for NT$54.6 billion. Completion in January 2013 gave CDF full ownership, and KGI Securities later merged with Grand Cathay Securities in June of that year. The group entered commercial banking through the 2014 acquisition of Cosmos Bank. The bank was renamed KGI Commercial Bank in 2015, and corporate-finance and financial-markets functions were shifted into the banking platform. In 2017, CDIB was reshaped as CDIB Capital Group to focus on private equity and asset management. China Life became part of the group in September 2017, broadening its financial model to include life insurance. In 2021, the group announced a net-zero carbon ambition for 2045 and shareholders approved the purchase of the remaining China Life shares. The group also completed a headquarters move during its twentieth anniversary year. China Life was renamed KGI Life in 2024, and the parent company changed its name from China Development Financial Holding to KGI Financial Holding in August 2024. The group is chaired by Angelo Koo, representing the fourth generation of the Koo family associated with the business.
