Overview

Keppel Ltd. is a Singaporean multinational group headquartered at Keppel Bay Tower in HarbourFront. Formerly known as Keppel Corporation, it developed from a shipyard founded in 1968 after the British Royal Navy transferred Keppel Harbour to Singapore. The company initially concentrated on ship repair, shipbuilding, and offshore engineering, later diversifying into finance, property, telecommunications, logistics, utilities, and investment management. The Keppel name ultimately derives from Captain Henry Keppel, the British naval officer associated with the natural deepwater harbour at Tanjong Pagar. The harbour, previously called New Harbour, was renamed Keppel Harbour in 1900. In 1968, Temasek Holdings established Keppel Shipyard as Singapore took over the former naval facilities. During the 1970s and 1980s, the group expanded beyond its original Singapore base. It established an overseas shipyard venture in the Philippines in 1975, entered financial services in 1978 through Shin Loong Credit, and moved into real estate in 1983 through the acquisition and transformation of Straits Steamship Company. Keppel’s financial-services expansion accelerated in 1990 when it acquired Asia Commercial Bank. The later acquisition of Tat Lee Bank in 1997 created Keppel TatLee Bank. This banking business was subsequently divested in 2001, reflecting a shift away from financial services as a conventional banking operation. In parallel, the company consolidated its marine assets. Keppel Shipyard, Keppel FELS, and Keppel Singmarine were brought together in 2002 under Keppel Offshore & Marine. For much of the 2000s and 2010s, offshore and marine engineering was the group’s most internationally prominent activity. Keppel Offshore & Marine became one of the world’s leading builders of offshore drilling rigs and related energy infrastructure. The business served energy companies and contractors through shipyards and engineering operations in multiple markets. It also undertook ship repair, conversion, fabrication, and floating production, storage, and offloading projects. However, the offshore-energy downturn, project delays, and a major corruption investigation materially changed the group’s strategic direction. Keppel agreed to sell its Offshore & Marine division to Sembcorp Marine. The transaction was completed on 28 February 2023 for approximately S$3.34 billion as described in the reference material. Sembcorp Marine subsequently changed its name to Seatrium after shareholder approval in April 2023. The disposal marked the effective end of Keppel’s historic identity as a major offshore-rig builder. On 1 January 2024, Keppel Corporation adopted the name Keppel Ltd. and reorganised the group around four business platforms: Infrastructure, Real Estate, Connectivity, and Fund Management & Investment. Infrastructure includes energy, power, environmental services, and district cooling activities. Real Estate includes development and investment assets, notably through Keppel Land. Connectivity encompasses telecommunications, data centres, and logistics-related operations, including M1 and Keppel Data Centres. Fund Management & Investment includes Keppel Capital, Keppel REIT Management, and infrastructure-fund management activities. Keppel therefore operates less as a conventional industrial conglomerate and more as an asset manager, developer, infrastructure operator, and owner of real assets. Its geographic footprint remains international, with significant activity in Singapore and other Asian markets, alongside investments and operations elsewhere. The group’s current positioning combines urbanisation-related real estate, essential infrastructure, digital connectivity, and fee-generating or balance-sheet investment management.

History

Keppel’s corporate history is rooted in the development of Singapore’s maritime infrastructure. The company takes its name from Keppel Harbour, which was named in honour of Captain Henry Keppel in 1900 after he had been associated with the harbour’s discovery and use. Keppel Harbour had previously been known as New Harbour and served as an important naval and commercial location. In 1968, following the British withdrawal from Singapore, Temasek Holdings established Keppel Shipyard at the former naval facilities in Tanjong Pagar. The early business focused on ship repair and shipbuilding. Keppel later moved its principal shipyard operations to Jurong, where it developed a cluster of facilities serving shipbuilding, offshore engineering, fabrication, and marine repair. The group began regionalising in 1975 through the creation of Keppel Philippines Shipyard with Filipino partners. Keppel diversified during the 1970s and 1980s. It entered financial services in 1978 through Shin Loong Credit, later known as Shin Loong Finance, which provided services to marine contractors. In 1983, it acquired Straits Steamship Company, a shipping enterprise with substantial Singapore land holdings. The business was renamed Straits Steamship Land and redirected toward property development; it later became Keppel Land. The group expanded its banking presence in the 1990s. The 1990 acquisition of Asia Commercial Bank made banking and financial services a major business pillar. In 1997, Keppel Bank acquired Tat Lee Bank, producing Keppel TatLee Bank. Keppel subsequently divested its banking and financial-services operations in 2001. This disposal narrowed the group’s direct exposure to conventional banking while leaving it positioned to pursue industrial, property, infrastructure, and investment activities. Keppel also consolidated its marine businesses. In 1999, the shipyard operations moved from the historic Keppel Harbour area to facilities in Jurong, including yards around Tuas, Gul, and Benoi. The move supported expansion while freeing the harbourfront land for waterfront redevelopment. In 2002, Keppel Shipyard, Keppel FELS, and Keppel Singmarine were integrated into Keppel Offshore & Marine. Keppel Offshore & Marine became an internationally significant builder of offshore drilling rigs and energy-related marine infrastructure. Its activities included ship repair, ship conversion, offshore fabrication, and floating production, storage, and offloading projects. A 2015 FPSO conversion award illustrated the range of work undertaken by the division. The company also continued expanding its real-estate portfolio and developing businesses in telecommunications, utilities, logistics, and investment management. The offshore business later became the centre of a major corruption investigation. U.S. authorities said Keppel units had made approximately US$55 million in improper payments through shell companies to secure contracts connected with Petrobras and another company. Keppel Offshore & Marine USA pleaded guilty, and Keppel Offshore & Marine entered a deferred-prosecution agreement with U.S. authorities. The matter contributed to the strategic reassessment of the offshore business. On 28 February 2023, Sembcorp Marine completed its acquisition of Keppel’s Offshore & Marine division. The transaction was described in the reference material as being worth approximately S$3.34 billion. Sembcorp Marine later became Seatrium. The sale removed the business that had defined Keppel for much of its history. Effective 1 January 2024, Keppel Corporation was renamed Keppel Ltd. and reorganised around four platforms: Infrastructure, Real Estate, Connectivity, and Fund Management & Investment. The reorganisation presents Keppel as a global asset manager and operator rather than primarily as a shipyard and offshore-equipment manufacturer. Its current portfolio includes power and energy services, district cooling, property development, telecommunications, data centres, logistics-related interests, real-estate investment vehicles, and infrastructure funds.
