Keolis Australia is the Australian operating business of international public-transport company Keolis. Its activities span contracted bus operations, urban tram and light-rail networks, ferry services and on-demand transport. The business was previously known as Keolis Downer, a joint venture between Keolis and Australian infrastructure and services company Downer Group. Following Keolis's acquisition of Downer's 49% interest, the operation was renamed Keolis Australia in March 2026. The business established a major Australian presence in 2009 when the Victorian government selected Keolis Downer to operate Melbourne's tram network. The operator continued using the Yarra Trams brand inherited from the previous concessionaire. Its initial eight-year franchise began in November 2009 and was extended in 2017 after the operator met substantial performance requirements. The concession ended on 30 November 2024, after which Yarra Journey Makers, a joint venture between John Holland and Transdev, assumed responsibility for the network. Keolis Downer expanded beyond Melbourne through a series of operating contracts and acquisitions. It began running the Gold Coast G:link light-rail system in July 2014 and acquired Australian Transit Enterprises in March 2015. That acquisition brought the Hornibrook Bus Lines, LinkSA, Path Transit and SouthLink businesses into the group, together representing approximately 930 buses at the time. The company subsequently developed a multi-modal presence in New South Wales through Newcastle Transport, which took over Newcastle Buses and Ferries in July 2017 and commenced Newcastle Light Rail operations in February 2019. In South Australia, Keolis Downer began an eight-year contract to operate the Adelaide Metro rail network in January 2021. In April 2023, the South Australian Labor government announced an agreement to end the rail operating contract early. Rail operations returned to the state on 2 February 2025, while Keolis Downer continued to provide maintenance, customer and security services under arrangements extending to 2027. The company also retains bus activities in South Australia through LinkSA and SouthLink. In Sydney, the business has operated demand-responsive services in the Northern Beaches since November 2017 and began an eight-year contract for Region 8 of the Sydney Metropolitan Bus Service Contracts in October 2021. Its Australian portfolio also includes Path Transit bus operations in Perth and Geraldton, Hornibrook Bus Lines on the Redcliffe Peninsula in Queensland, and the G:link light-rail system on the Gold Coast. Keolis Australia developed from the Australian joint venture known as Keolis Downer, formed between French public-transport operator Keolis and Downer Group. The business built its national presence through government-awarded operating concessions and acquisitions of established bus operators rather than through a single nationwide consumer brand. Its first major Australian milestone came in June 2009, when the Victorian government awarded Keolis Downer the franchise to operate Melbourne's tram network. The eight-year concession started in November 2009. The operator retained the Yarra Trams name used by the preceding TransdevTSL operation, illustrating the model used across much of the business: Keolis Downer supplied operating expertise while established network brands remained visible to passengers. In September 2017, the franchise was extended to 30 November 2024 after the operator substantially satisfied performance requirements. Keolis Downer was not selected for the subsequent tram concession, and Yarra Journey Makers, a John Holland–Transdev joint venture, took over on 1 December 2024. The company expanded into Queensland light rail in July 2014, when it began operating the G:link system on the Gold Coast. In March 2015 it acquired Australian Transit Enterprises. The transaction added four operating businesses—Hornibrook Bus Lines, LinkSA, Path Transit and SouthLink—and approximately 930 buses. Keolis Downer entered a substantial South Australian rail role in January 2021 by commencing an eight-year contract to operate the Adelaide Metro rail network. In April 2023, the South Australian Labor government announced that it had reached an agreement with Keolis Downer to end that operating contract early. The state resumed rail operations on 2 February 2025. Keolis Downer nevertheless continued to provide maintenance, customer and security services under arrangements described as continuing until 2027. Its other South Australian activities include LinkSA regional bus services and SouthLink services operated under contract to Adelaide Metro. The business's portfolio after the Adelaide rail transition includes Newcastle Transport in New South Wales, Keolis Northern Beaches and Keoride in Sydney, G:link on the Gold Coast, Hornibrook Bus Lines in Queensland, LinkSA and SouthLink in South Australia, and Path Transit in Perth and Geraldton. The former Melbourne Yarra Trams and Adelaide Metro rail operating activities are historical rather than current core operations. In July 2025, Keolis agreed terms to acquire Downer Group's 49% shareholding in the joint venture. Completion took place in December 2025, making Keolis the sole owner. The former Keolis Downer business was subsequently rebranded Keolis Australia in March 2026. The rebrand marked a change in ownership structure and corporate identity, while the operating portfolio continued to be delivered through a mixture of Keolis Australia businesses, contracted networks and local service brands.
