ING Bank Śląski, commonly abbreviated as ING BSK, is a Polish universal bank headquartered in Katowice. It serves individual customers, entrepreneurs, companies, institutions and affluent clients through a combination of digital banking, branches, business platforms and specialist subsidiaries. Its principal activities include current and savings accounts, consumer finance, mortgages, payments, investment products, leasing, factoring, corporate lending, cash management and capital-markets-related services. The institution was created during the restructuring of Poland's banking system at the end of the 1980s. Bank Śląski began operations on 1 February 1989 after being separated from the National Bank of Poland, one of several newly independent commercial banks established as Poland moved away from a centrally planned, single-tier banking model. It was initially associated with the Silesian region but later developed into a nationwide institution. Bank Śląski was converted into a joint-stock company in 1991 and became one of the early Polish banks selected for privatization. ING Bank N.V. acquired a minority stake in 1994, when the bank was listed on the Warsaw Stock Exchange. ING increased its holding in 1996, becoming the majority shareholder. The privatization and initial share offering attracted substantial public controversy because the first-session market price was dramatically higher than the offer price and because regulators and public bodies questioned the quality of supervision and disclosure. Investigations, parliamentary reviews, regulatory actions and civil proceedings followed, although the criminal proceedings did not lead to convictions. The bank adopted its present ING Bank Śląski identity in 2001 after combining with ING's Polish branch. The transaction broadened its geographic reach, increased its capital base and supported a shift from a regional Silesian bank toward a national financial-services provider. ING has remained the controlling shareholder, while the Polish bank has retained a separate Warsaw Stock Exchange listing. ING Bank Śląski has expanded beyond conventional branch banking through subsidiaries and affiliated businesses. These include leasing, factoring, mortgage banking, investment and asset-management activities, online business services, accounting tools, payment services and robotic-process-automation solutions. History
Bank Śląski was legally established by a Polish Council of Ministers regulation dated 11 April 1988 and began operations on 1 February 1989. It was one of nine commercial banks separated from the National Bank of Poland during the late-1980s transformation of the Polish banking system. The reform divided central-bank and commercial-bank functions and created institutions that could operate in the emerging market economy. Bank Śląski was among the larger banks created in this process and was selected early for privatization. In October 1991, the institution was transformed from a state bank into a joint-stock company wholly owned by the State Treasury. The government began the privatization process in January 1994 by selling a minority stake to ING Bank N.V. The bank's shares were also introduced on the Warsaw Stock Exchange that month. The flotation became one of the most controversial early privatizations in post-communist Poland. The initial market price greatly exceeded the offer price, while the large number of public subscriptions resulted in severe reductions in individual allocations. Questions were raised about the conduct of the offering, brokerage activity, internal controls, disclosure and the role of government officials. The Securities Commission investigated the bank's brokerage operations, temporarily withdrew its brokerage authorization and later restored it with restrictions. It also imposed fines connected with reporting and oversight. The controversy contributed to the dismissal of president Marian Rajczyk and political changes involving officials responsible for the privatization. The Supreme Audit Office, parliamentary bodies and prosecutors examined different aspects of the transaction. Parliamentary reviews rejected several allegations, and criminal proceedings did not produce convictions, although civil claims connected with the episode resulted in judgments against the bank. The affair remained an important example of the difficulties surrounding Poland's early capital-market privatizations. ING expanded its stake in 1996 through transactions with the State Treasury. Its holding rose to a majority, making ING Bank Śląski one of the first major Polish banks to complete privatization with a foreign strategic investor. The new ownership supported investment in technology, products and geographic expansion. In 2000, the bank established a specialist mortgage institution, Śląski Bank Hipoteczny, and in 2001 it combined with ING's Polish branch. The enlarged entity adopted the ING Bank Śląski name and pursued a transition from a predominantly regional bank to a nationwide universal bank. During the early 2000s, the bank expanded its branch and ATM network and increased its individual-customer base. ING reduced its direct holding in 2005 by selling shares on the Warsaw Stock Exchange, while remaining the controlling shareholder. That year the bank also assumed administration of Wielkopolski Bank Rolniczy because of the institution's weak financial condition and subsequently absorbed it. ING introduced an instant-access savings account, helping reinforce its retail proposition. The bank continued to build a broader financial-services group. Its mortgage operations were reorganized several times: Śląski Bank Hipoteczny became ING Bank Hipoteczny in 2008, was absorbed into ING Bank Śląski in 2013, and a new mortgage-bank entity began operating in 2019. Leasing and factoring businesses became part of the bank's capital group, while ING Usługi dla Biznesu developed digital services such as the Aleo trading and tender platform, accounting tools and bill-payment services. Paymento Financial added online-payment capabilities, and the bank's internal automation program later became the standalone SAIO company. ING Bank Śląski was one of the founding banks behind the Polish Payment Standard consortium. The consortium launched BLIK in 2015, and the system subsequently became widely used for mobile payments in Poland. The bank also expanded services for entrepreneurs and corporates through lending, leasing, factoring, payments, treasury services and digital business administration. In the 2020s, ING Bank Śląski remained a major Polish bank by assets and customer numbers. It developed a dedicated private-banking proposition for affluent customers and continued investing in digital processes, including mortgage applications through the Moje ING platform. Leadership passed from Małgorzata Kołakowska to Brunon Bartkiewicz and later to Michał Bolesławski, who took office in April 2025. The bank's long-term identity combines Polish operating roots, ING Group ownership, a nationwide universal-banking model and a strong emphasis on digital distribution.
