Overview
HSBC Bank Bermuda Limited is the Bermuda-based banking entity formerly known as the Bank of Bermuda Limited. Its roots go back to 1889, when Bermudian merchants established a second bank to compete with the island's established N. T. Butterfield & Son. The institution was formally incorporated in 1890 and subsequently developed from a local bank into an international financial-services group with operations and offices in a number of offshore and financial centres. HSBC Group acquired the Bank of Bermuda in 2004 after shareholders accepted an offer valued at approximately US$1.3 billion. Following the transaction, many of the former Bank of Bermuda's overseas operations were integrated with HSBC offices. The Bermuda entity retained a significant role in the group's provision of selected fund-management, private-banking, custody and other internationally oriented services, while continuing to serve domestic customers. The bank's activities include retail banking and wealth management, commercial banking, global banking and markets, investment services, custody and fund administration. Retail and wealth-management activities include personal banking, Premier banking and services associated with HSBC Asset Management. Commercial banking serves businesses and institutional customers, while global banking and markets provides services to larger corporate, financial and international clients. The business has also historically included trust, private-banking and investment operations. The institution has periodically reshaped its geographic and product footprint. It sold a substantial portion of its Cayman Islands operations in 2014 and disposed of its private-banking operations at the end of April 2016. In 2015, its trust and investment-business operations were sold to N. T. Butterfield & Son, another major Bermuda financial institution. These transactions left the Bermuda business more concentrated on retail banking and wealth management, commercial banking, and global banking and markets. According to the cited historical reference, those three divisions together accounted for more than 90 percent of total revenue. HSBC Bank Bermuda operates in a market characterized by domestic banking demand alongside Bermuda's role as an international insurance, investment-fund and offshore-finance centre. Its positioning combines the local presence and regulatory responsibilities of a Bermuda bank with the international network, product capabilities and brand of HSBC Group. The bank is therefore distinct from HSBC's global holding company: it is a local operating subsidiary whose products and strategic scope have changed over time through acquisitions, integrations and disposals.
History
HSBC Bank Bermuda originated as the Bank of Bermuda, created by Bermudian merchants in 1889 to provide competition for N. T. Butterfield & Son. The institution took over a branch that the Merchants' Bank of Halifax had established in Bermuda in 1886, and it was formally incorporated in 1890. From this local foundation, the bank expanded its activities and built an international network serving financial and offshore centres. Before its acquisition by HSBC, the Bank of Bermuda had developed a presence in 17 locations, including Bahrain, the Cayman Islands, the Cook Islands, Dublin, Guernsey, Hong Kong, the Isle of Man, Japan, Jersey, London, Luxembourg, New York, New Zealand, Singapore, South Africa and Switzerland. The expansion reflected Bermuda's role as an international financial centre and the bank's concentration on cross-border banking, investment services, custody, fund administration and private-client activities. HSBC Group first made an offer for the Bank of Bermuda on 28 October 2003. Shareholders later accepted a transaction valued at approximately US$1.3 billion, and the acquisition was completed in February 2004. After the deal, much of the acquired overseas network was combined with existing HSBC operations. The Bermuda business continued under the HSBC name and became associated with selected fund-management, private-banking and institutional financial-services activities, while retaining a domestic banking franchise. The post-acquisition business was subsequently streamlined. In 2014, HSBC Bermuda sold much of its Cayman Islands operation. In 2015, it transferred its trust and investment-business operations to N. T. Butterfield & Son. The bank also disposed of its private-banking operations at the end of April 2016. These changes reduced the scope of the inherited international network and placed greater emphasis on the Bermuda franchise and core businesses. The remaining operating structure has been described as three principal divisions: retail banking and wealth management, including HSBC Asset Management and Premier banking; commercial banking; and global banking and markets. Together, these divisions represented more than 90 percent of total revenues according to the cited reference. The bank serves both local customers and international clients through banking, investment, custody and fund-administration capabilities. In 2018, Steve Banner replaced Mark Watkinson as chief executive. The leadership change was reported alongside the launch of a US Treasury Fund domiciled in Bermuda, illustrating the institution's continuing role in investment and wealth-management products. HSBC Bank Bermuda remains a subsidiary of HSBC Holdings plc and should be understood as the Bermuda operating bank rather than as the wider HSBC Group. Its identity combines a long-established Bermudian banking history with the resources, brand and international connections of its parent group.
